According to our information, your company will acquire the remaining ZZ shares of stock in ZZZ.
When the deals--scheduled for the next several days--are closed, we will need to call a Special General Meeting of the ZZZ stockholders to discuss some extremely important matters, including the procedures for the upcoming funding of ZZZ, which we will be representing jointly as shareholders.
In our opinion, there are several funding options for ZZZ, i.e.:
1. An additional issue of stock and a closely-held placement of it among the existing stockholders, pro rata to their current contributions to the capital, to channel these funds for the development of the company.
2. Securing loans to provide funding for ZZZ.
3. Using mixed funding, i.e. borrowing by ZZZ, and a concurrent proportional boost to the capital.
In our opinion, any one of these three options is possible. However, any specific decisions must be made at the upcoming General Meeting of the ZZZ shareholders.
