5.4 Confidentiality
Unless he obtains OWNER’s prior written consent, CONTRACTOR shall neither before or after the completion of the CONTRACT, disclose or make available to any third party or use directly or indirectly any information and data obtained from OWNER or otherwise by CONTRACTOR in connection with the performance of the CONTRACT, and/or which is stamped by OWNER to this effect, for a period of ten (10) years from the date of the Final Acceptance Certificate of the PLANT.
CONTRACTOR shall be liable for disclosure of information and data to any third party unless he can provide written evidence that:
5.4.1 Such information and data was in the public domain prior to disclosure to CONTRACTOR,
5.4.2 Or such information and data has become part of the public domain through no fault of CONTRACTOR,
5.4.3 Or such information and data was given without restriction to CONTRACTOR by a third party duly authorized or otherwise entitled to do so, and who did not receive the same in any way from OWNER,
5.4.4 Or OWNER has given its prior written consent.
Although some portions of such information and data may be or become subject to one or more of the above exclusions,///// particular combination thereof will not fall within these exclusions//// unless the combination itself falls therein.
The above exclusions shall not apply to information of a specific nature disclosed to CONTRACTOR for the performance of the CONTRACT where information of a general nature relating to the same matter was already in the public domain or in CONTRACTOR’s possession prior to such disclosure to CONTRACTOR.
