Memorandum and Articles of Association

often shortened to "Articles of Association".
Just to clarify the difference in English law between the "Mem. & Arts.", as they are colloquially known, and By-laws.
The legal document setting up (creating) a company is the "Mem. & Arts.". The Memorandum sets out the "object" of the company (its business and what it may legally trade in. The Articles describe how the company is to be governed (size of the Board of Directors, shareholders' rights, etc).
By-laws are resolutions or sets of regulations enacted by the company AFTER it has been set up, and add more detail to the Articles e.g. how often the Board is to meet, etc.
Although you give very little context, I think you are talking about the Memorandum and Articles of Association.
(N.B.American terminology may be different).

agree trena : In American terminology, the company's charter document is normally called the "Articles of Incorporation"... the distinction between Articles and By-laws is the same as you describe.
