In questo contesto:

" **Make-Whole Amount** " means in relation to any early prepayment of the Fixed Rate
Tranche [...], the difference calculated between, if positive, X-Y whereby:

(i) X is an amount equal to the net present value of the aggregate of all future
repayments of principal in respect of the amount prepaid under the Fixed Rate
Tranche (the "Prepaid Amount") and all future payments of interest in respect of
the Prepaid Amount from the date on which the prepayment will occur until the
Final Maturity Date using the following discount rate: EURIBOR swap mid-market
rate of comparable weighted average life on the remaining tenor of the debt at
prepayment date plus 50 bps; and

(ii) Y is the Prepaid Amount;
