PREAMBLE
Reaching this Agreement shall enable Client to provide data processing services for CCC. Unless expressly agreed different in the respective order form Client shall not be entitled to use the software granted and the services and other materials provided pursuant to the terms and conditions of this Agreement for any other parties or purposes as explicitly authorized by this Agreement.
TERMS AND CONDITIONS
Upon completion of the Statement of Work, Client shall be granted a perpetual, non-exclusive, non-transferable right to use the “Work Product” for the purposes of internal operations of Client and for the processing of Client’s own data. The Client shall neither be entitled to use the Work Product for the benefit of any other third party nor to license the Work Product to any other third party.
BREACH AND TERMINATION
If Client breaches any term of this Agreement or of any Statement of Work, or fails to pay any valid invoice rendered by BBB. BBB shall have the right to terminate this Agreement immediately as well as all Statements of Work then in process and, in addition to all other rights of BBB all amounts which would have become due and payable under this Agreement including any Statement of Work will immediately become due and payable to BBB. Any invoice which is unpaid by Client when due shall be subject to an interest charge calculated pursuant to the higher of 2 % per month (or part thereof) or statutory interest. Client shall be entitled to terminate any portion of any Statement of Work by giving BBB thirty (30) days prior written notice. In case of such termination BBB is entitled to invoice the full fees and charges set forth in the Statement of Work for the whole project, less such expenses which BBB saves by the early termination.

WARRANTY
THIS WARRANTY IS EXPRESSLY IN LIEU OF ALL OTHER WARRANTIES OR CONDITIONS, EXPRESSED, IMPLIED OR STATUTORY, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR PARTICULAR PURPOSE.
The exclusive remedy under this warranty shall be the repair or replacement of the defective component at the Licensor option. The Licensor reserves the right to require that all applicable failed materials are available and/or returned to the Licensor for review and evaluation.
In no event shall the Licensor be liable for special, incidental, indirect, or consequential damages of any kind, including, but not limited to, towing, downtime, lost productivity, cargo damage, taxes, or any other losses or costs resulting from a defective covered component.
This is the entire agreement between the Licensor and the Licensee about warranty and no Licensor employee or dealer is authorised to make any additional warranty on behalf of the Licensor. This agreement allocates the responsibilities for the Licensor’s component failure between the Licensor and the Licensee.

DISTRIBUTION AGREEMENT
NOW THEREFORE THE PARTIES HERETO HAVE AGREED AS FOLLOWS:
1. The territory in respect of which the Distributor will act as the Company’s non-exclusive distributor is______________(hereinafter referred to as “the Territory”).
2. The products in respect of which Distributor will act are those products and related materials and spare parts made available by the Company for marketing in the Territory under the trademark “XXX”, and/or possibly such other trademarks as specified in Exhibit I hereto (hereinafter referred to as “the Products”).
The product range of Exhibit I may be altered or extended in mutual agreement between the parties, it being understood that the Company shall be entitled to withdraw products in the event of the discontinuation of their manufacture.
3. Distributor will buy sell the Products for its own account and at its own risk in accordance with the orders placed by Distributor and accepted by the Company for resale in the Territory. The Company supply the Products to Distributor at prices and conditions, including terms of payment, which will be communicated by the Company to Distributor from time to time in (a) separate letter(s) (Exhibit V) and which will be subject to alteration at the Company’s discretion, it understood that the General Conditions of Sale and Software License as attached hereto (Exhibit II) will be applicable to such supplies.

PREAMBUŁA
Zawarcie niniejszej Umowy będzie uprawniać Klienta do świadczenia na rzecz CCC usług przetwarzania danych. Klient nie jest uprawniony do wykorzystywania przekazanego oprogramowania, świadczonych usług i innych materiałów dostarczonych stosownie do postanowień i warunków niniejszej Umowy dla innych osób i celów niż te, do których został wyraźnie upoważniony w niniejszej Umowie, chyba że inaczej wprost uzgodniono w odnośnym formularzu zamówienia.
WARUNKI I POSTANOWIENIA UMOWNE
Po sporządzeniu Zestawienia Prac, Klient otrzymuje nieograniczone czasowo, nie będące przedmiotem wyłączności i nie podlegające przeniesieniu, uprawnienie do korzystania z „Wyrobu” w ramach wewnętrznych działań Klienta i w celu przetwarzania swoich danych. Klient nie jest uprawniony do użytkowania Wyrobu w interesie jakiejkolwiek osoby trzeciej ani do udzielenia pozwolenia jakiejkolwiek osobie trzeciej na korzystanie z Wyrobu.
NARUSZENIE WARUNKÓW UMOWY I WYPOWIEDZENIE UMOWY
Jeżeli Klient narusza jakiekolwiek postanowienie niniejszej Umowy lub jakikolwiek z warunków Zestawienia Prac, lub też jeżeli nie płaci wymagalnej faktury przedłożonej przez BBB, BBB ma prawo natychmiastowego wypowiedzenia Umowy, a także wszystkich realizowanych Zestawień Prac. Ponadto, niezależnie od wszystkich innych uprawnień przysługujących BBB, wszelkie należności, które stosownie do postanowień niniejszej Umowy i Zestawienia Prac stałyby się płatne i wymagalne, stają się natychmiastowo płatne i wymagalne. Od każdej wymagalnej faktury, która nie została opłacona przez Klienta, naliczane są odsetki określone na wyższym poziomie 2% w skali miesięcznej (lub części miesiąca) lub na poziomie odsetek ustawowych. Klient jest uprawniony do wypowiedzenia każdej części Zestawienia Prac przez skierowanie do BBB pisemnego oświadczenia z 30-dniowym wyprzedzeniem. W przypadku takiego wypowiedzenie BBB jest uprawnione do wystawienia faktury obejmującej pełne wynagrodzenie i koszty za cały projekt, ujęte w Zestawieniu Prac, pomniejszone o te wydatki, które BBB zaoszczędzi dzięki wcześniejszemu wypowiedzeniu umowy.

NINIEJSZA KLAUZULA GWARANCYJNA W SPOSÓB WYRAŹNY WYŁĄCZA STOSOWANIE WSZELKICH INNYCH WARUNKÓW LUB POSTANOWIEŃ UMOWNYCH USTANAWIAJĄCYCH ODPOWIEDZIALNOŚĆ Z TYTUŁU GWARANCJI JAKOŚCI LUB RĘKOJMI WYRAŹNEJ, DOROZUMIANEJ LUB USTAWOWEJ, WŁĄCZAJĄC W TO JAKĄKOLWIEK ODPOWIEDZIALNOŚĆ ZA PRZYDATNOŚĆ DO CELÓW ZWYKŁYCH ALBO TEŻ DO CELÓW SZCZEGÓLNYCH LUB INDYWIDUALNYCH .
Jedynym środkiem prawnym przysługującym z tytułu niniejszej klauzuli gwarancyjnej jest prawo do żądania naprawy lub wymiany wadliwego elementu, z zastrzeżeniem że Licencjodawca dokonuje wyboru sposobu spełnienia żądania. Licencjodawca zastrzega sobie prawo do żądania udostępnienia mu lub zwrotu wszelkich stosownych wadliwych materiałów w celu dokonania ich przeglądu i oceny.
W żadnym przypadku Licencjodawca nie będzie odpowiedzialny za wszelakiego rodzaju szkody o charakterze wyjątkowym, ubocznym, pośrednim bądź wtórnym, włączając w to w szczególności holowanie, okresy przestoju, obniżenie produktywności, szkody w ładunku, podatki, lub jakiekolwiek inne straty lub koszty spowodowane przez wadliwy element objęty niniejszą klauzulą.
Niniejsza umowa stanowi wyczerpujące i kompletne porozumienie pomiędzy Licencjodawcą i Licencjobiorcą odnośnie odpowiedzialności za wady i żaden z pracowników lub przedstawicieli handlowych nie jest upoważniony do składania w imieniu Licencjodawcy oświadczeń odnośnie rozszerzenia zakresu tej odpowiedzialności. Niniejszą umową dokonany został podział odpowiedzialności za wady elementu Licencjodawcy pomiędzy Licencjodawcę i Licencjobiorcę.

UMOWA DYSTRYBUCYJNA
STRONY NINIEJSZEJ UMOWY POSTANAWIAJĄ CO NASTĘPUJE:
1. Dystrybutor będzie działał jako niewyłączny przedstawiciel Spółki w ramach następującego Terytorium: __________________ (zwanego w dalszej treści umowy Terytorium).
2. Produkty, których dotyczyć będą działania Dystrybutora, to te produkty, związane z nimi materiały oraz części zamienne, które dostarczać będzie Spółka w celu ich sprzedaży na Terytorium i które objęte są znakiem towarowym “XXX”, oraz/lub ewentualnie objęte znakami towarowymi określonymi w Załączniku I do niniejszej umowy (zwane w dalszej treści niniejszej umowy „Produktami”).
Asortyment produktów określonych w Załączniku I może ulec zmianie lub rozszerzeniu na podstawie obopólnego porozumienia stron, z zastrzeżeniem że Spółka może wycofać produkty w razie zaprzestania ich produkcji.
3. Dystrybutor będzie kupował sprzedawał Produkty na własny rachunek i własne ryzyko, zgodnie z zamówieniami złożonymi przez Dystrybutora i zaakceptowanymi przez Spółkę, w celu ich odsprzedaży na Terytorium. Spółka dostarczy Produkty Dystrybutorowi na warunkach i po cenach, które będą Dystrybutorowi przekazywane co pewien czas w odrębnym(ych) liście(stach) (Załącznik V), i które mogą być zmieniane według uznania Spółki, z zastrzeżeniem że zastosowanie do takich dostaw mają Ogólne Warunki Sprzedaży i Udzielania Licencji na Oprogramowanie, które stanowią Załącznik II do niniejszej umowy.

Delegation by the Engineer
The Engineer may from time to time assign duties and delegate authority to assistants, and may also revoke such assignment or delegation. These assistants may include a resident engineer, and/or independent inspectors appointed to inspect and/or test items of Plant and/or Materials. The assignment, delegation or revocation shall be in writing and shall not take effect until copies have been received by both Parties. However, unless otherwise agreed by both Parties, the Engineer shall not delegate the authority to determine any matter in accordance with Sub-Clause 3.5 [Determinations].
Assistants shall be suitably qualified persons, who are competent to carry out these duties and exercise this authority, and who are fluent in the language for communications defined in Sub-Clause 1.4 [Law and Language].
Each assistant, to whom duties have been assigned or authority has been delegated, shall only be authorised to issue instructions to the Contractor to the extent defined by the delegation. Any approval, check, certificate, consent, examination, inspection, instruction, notice, proposal, request, test, or similar act by an assistant, in accordance with the delegation, shall have the same effect as though the act had been an act of the Engineer.

Delegowanie przez Inżyniera wykonania jego obowiązków i uprawnień
Inżynier może w każdym momencie przenieść swoje obowiązki i uprawnienia na swoich asystentów, i może także odwołać takie przeniesienie. W roli wskazanych w zdaniu poprzedzającym asystentów mogą występować zarówno inżynierowie nadzoru i/lub niezależni inspektorzy powołani, aby kontrolować bądź poddawać próbom Urządzenia bądź Materiały. Przeniesienie obowiązków bądź uprawnień, jak również odwołanie każdej z tych czynności wymaga zachowania formy pisemnej i nie wywoła skutków dopóki kopie stosownego oświadczenia nie zostaną doręczone Stronom. Jednakże Inżynier nie może przenieść uprawnienia do dokonywania jakichkolwiek ustaleń w trybie podpunktu 3.5 [Ustalenia], chyba że obie Strony dokonają odmiennych uzgodnień.
Role asystentów pełnić będą odpowiednio wykwalifikowane osoby, które posiadają kompetencje do wykonywania tych obowiązków i uprawnień, a ponadto biegle posługują się językiem określonym w podpunkcie 14 [Prawo i Język] jako język właściwy dla komunikowania się przez Strony umowy.
Każdy asystent, któremu zostały powierzone obowiązki lub przekazane uprawnienia będzie upoważniony do wydawania poleceń Wykonawcy tylko w takim zakresie jaki został określony przy delegowaniu uprawnień bądź obowiązków.
Wszelkie zatwierdzenia, sprawdzenia, zaświadczenia, zgody, badania, kontrole, polecenia, powiadomienia, propozycje, żądania, próby bądź inne podobne czynności podejmowane przez asystentów, zgodnie z treścią delegowanych obowiązków bądź uprawnień, wywołują takie same skutki jakby czynności zostały wykonane przez Inżyniera
