XXX, residente e domiciliada na Rua ........, Trancoso, Cidade de Porto Seguro, Bahia ; e XXX, qualificações..., e me foi dito que: CLÁUSULA PRIMEIRA: A CEDENTE é detentora do direito de duas servidões de passagem perpétua, sendo que uma foi outorgada por XXX e sua esposa XXX, através de Escritura Pública de Constituição de Servidão de Passagem lavrada perante o Cartório de Tabelionato desta Comarca, Livro nº extensão aproximada de 402,00m (quatrocentos e dois metros), que corta três terrenos urbanos, través de Escritura Pública de Constituição de Servidão de Passagem lavrada perante o Cartório de Tabelionato desta Comarca, Livro nº 82, fls. 189/190, nº 12.947, em data de 16/03/2005, que constitui o leito de uma Estrada Particular, com extensão aproximada de 1.933m (um mil, novecentos e trinta e três metros), que corta o Terreno Urbano sito no lugar denominado “Fazenda Conjunto Jericó”, situado no Rio Verde, neste Município de Porto Seguro, Estado da Bahia, com área total de 942.424,00 metros quadrados, de propriedade dos referidos outorgantes, que se encontra cadastrado junto à Prefeitura Municipal de Porto Seguro-BA sob o nº 09.02.009.2260.001, e junto ao CRIH desta Comarca sob a Matrícula nº 24.811; e a outra foi outorgada por Noris Renzo Sérgio Balzarini e sua esposa Luiziana Manoela Balzarini, através de Escritura Pública de Constituição de Servidão de Passagem lavrada perante o Cartório de Tabelionato desta Comarca, Livro nº 82, fls. 191/192, nº 12.948, em data de 16/03/2005, que constitui o leito de uma Estrada Particular, com, situados no Distrito de Trancoso, neste Município de Porto Seguro-BA, em terras aforadas pelo citado Município ao citados outorgantes, que se encontram cadastrados junto à Prefeitura Municipal de Porto Seguro-BA sob o nº 09.02.009.9873.001, 09.02.009.1022.001 e 09.02.009.9799.001, referidos aforamentos encontram-se registrados junto ao CRIH desta Comarca sob as Matrículas nº 22.651, 22.652 e 22.653; CLÁUSULA SEGUNDA: Através deste instrumento e na melhor forma em direito a CEDENTE resolve ceder aos CESSIONÁRIOS o direito que detém na sua totalidade, supra citado, dividido em três partes iguais, uma para cada um dos três CESSIONÁRIOS; CLÁUSULA TERCEIRA: O preço certo e ajustado da presente cessão é de R$ 306.000,00 (trezentos e seis mil reais), cujo pagamento é assumido em partes iguais pelos CESSIONÁRIOS, correspondendo à quantia de R$ 102.000,00 (cento e dois mil reais) para cada um deles. A parte que desejar se fazer representada por procurador no momento da assinatura da Escritura deverá providenciar a confecção de Procuração Pública com os poderes para tal, e nos passar um fax da procuração para que possamos incluir na Escritura os dados do procurador e da própria Procuração (Livro, fls., Cartório etc.);

As the ASSIGNESS XXX have already paid the ASSIGNOR the amount of one hundred and two thousand reais (R$ 102,000.00) each, the ASSIGNOR hereby provides full and irrevocable settlement of said installments, whereby the ASSIGNEE also provides full and final settlement of the remaining amount of one hundred and two thousand reais (R$ 102,000.00) due solely from ASSIGNEE XXX., for which settlement is hereby made; CLAUSE FOUR: All costs arising from infrastructure services and improvements to the private road for both aforementioned rights of way, shall be divided equally among the ASSIGNEES; Paragraph One: Costs for the maintenance of the aforementioned roads shall be divided between the ASSIGNEES in proportion to the use that each makes of said roads, which shall be calculated pursuant to the ASSIGNEE XXX. Access Security Point controls; Paragraph Two: The decision to carry out infrastructure, improvement, conservation and maintenance services on the aforementioned roads shall be the sole obligation of ASSIGNEE XXX. which shall provide the other parties with extrajudicial notification, informing them of the services carried out and the value to be paid by each one; Paragraph Three: The ASSIGNOR and the other ASSIGNEES shall make payment of said costs within a maximum period of three months from receipt of said notice, under penalty of any party not making said payment within the specified period losing the right of way acquired hereunder, and all other rights therein; CLAUSE FIVE: The ASSIGNEES hereby declare that they are fully aware of and hereby undertake joint liability with the ASSIGNOR, from this date, for all rights acquired by the ASSIGNOR and all duties undertaken in the Public Deeds for Constitution of Right of Way executed with Mr. Aquino and his wife and Mr. Noris and his wife, as set forth in clause one; CLAUSE SIX: As a result of the right assigned hereunder by the ASSIGNOR to the ASSIGNEES, the latter may authorize or permit the passage of any person or vehicle on said roads, and fully or partially assign that portion of the right acquired hereunder, without any consent; CLAUSE SEVEN: The ASSIGNEE XXX. hereby grants right of way on the property owned by it, set forth in Registration No. ___________ at the CRIH of this Judicial District to the ASSIGNOR, its owners, employees and all those residing and working within the lands adjoining the aforementioned through road, no extra cost, so that they may access the beach; CLAUSE EIGHT: As a non-compensatory penalty clause, the parties hereto hereby stipulate that the party withdrawing from the transaction or failing to fulfill any of the duties set forth herein shall pay each of the other parties a fine of twenty thousand reais (R$ 20,000.00) and shall be bound to return all sums received, and if the injured parties incur losses and damages, they may demand payment of the indemnity due from the party that caused the injury; CLAUSE NINE: For all legal purposes and effects, the parties hereto hereby declare that they accept this Public Deed in the express terms that they have been drawn up, which shall be binding on them, their heirs and successors in any way, and that the Deed is executed under the express condition that it is irrevocable and irreversible; CLAUSE TEN: The parties hereby elect the Legal District of Porto Seguro-Bahia to resolve any issues directly or indirectly arising hereunder, expressly renouncing all others, however privileged they may be; CLAUSE ELEVEN: The Registrar of the Real Estate Registry is hereby authorized to record this Partial Assignment of the Right of Easement in Records No. 24.811, 22.651, 22.652 and 22653, of this CRIH of this Judicial District. Arties wishing to be represented by attorneys at the signing of the Deed shall draw up a Public Power of Attorney with specific powers to this end, and send the power of attorney to use by fax so that we can include the information of the attorney and the power of attorney in the Deed (Ledger, folios, Registry Office, etc.)
The parties which are legal entities shall present copies of the Articles of Incorporation or By-Laws, to confirm the authorization of the persons signing the Deeds;
