Source text - English Article 4 - Responsibilities of the Parties during the Project Implementation.
4.1 During the Project:
(a) each Party shall be responsible for arranging any insurance policies that it may consider necessary to enter into to cover its risks and those of its agents, employees and sub-contractors for the implementation of the Project;
(b) each Party shall be responsible for the taxes, duties, levies and other fiscal charges (including VAT) which might become due in connection with the execution of its own part;
(c) each Party shall indemnify and/or save harmless the other Party in respect of all claims, damages or liabilities which arise out of or as a consequence of the execution of the Pre-Bidding Agreement, where the cause of such claim, damage of liability is properly attributable to the acts or omissions of such Party under the Pre-Bidding Agreement. If the cause of such claim, damage, or liability is clearly attributable to more than one Party, then the costs thereof shall be settled in proportion to the value of their respective part; and
(d) neither Party shall be liable to the other Party for any incidental, special, indirect or consequential damages, including but not limited to loss of profit, loss of business, loss of commercial opportunities, or loss of data under the Pre-Bidding Agreement, unless in the event of willful misconduct or gross negligence.
Article 5 - Licensing Rights
5.1 No right or license under any patent or other intellectual property right now or hereafter owned or controlled by a Party shall be deemed to be granted to the other Party under this Pre-Bidding Agreement or shall be implied from the disclosure of any information pursuant to the performance of the Parties' obligations hereunder.
Article 6 - Duration and Termination
6.1 This Pre-Bidding Agreement shall become effective upon its signature by authorized representatives of both Parties and shall terminate upon the first occurrence of one of the following events:
(a) the Client informs the Parties that it has awarded the Project to a company other than them ; or
(b) after the expiration of the validity of the Bid or any agreed upon extension thereof; or
(c) in the event a Party decides that it cannot or is not authorized to contribute to any Bid under the Agreement due to an objective understanding of the lack of likelihood of its success. In this case, the Party must value this aspect immediately in order to avoid loss of profit to the other Parties.
(d) In the event a Party does not receive the internal authorization to proceed to this Bid.
6.2 If a Party commits any material breach of its obligations under this Pre-Bidding Agreement and fails to remedy such breach within ten (10) days of receiving notice from the non-breaching Party, then in such event the other Party shall without prejudice to such other rights and remedies it or they may have, be entitled to terminate this Pre-Bidding Agreement by notice to the breaching Party.
Translation - Italian Articolo 4 – Responsabilità delle Parti durante l’Attuazione del Progetto.
4.1 Durante il Progetto:
(a) ciascuna Parte sarà responsabile di istituire ogni polizza assicurativa che possa considerare necessario sottoscrivere per coprire i propri rischi e quelli dei propri agenti, dipendenti e subappaltatori per l’attuazione del Progetto;
(b) ciascuna Parte sarà responsabile per tasse, dazi, imposte e altri oneri fiscali (inclusa l’IVA) che potrebbero maturare in relazione all’adempimento della propria parte;
(c) ciascuna Parte indennizzerà e/o riterrà esente da ogni responsabilità l’altra Parte rispetto a tutte le istanze, i danni o responsabilità che emergeranno da o come conseguenza dell’adempimento dell’Accordo di Pre-Bidding, laddove la causa di tale istanza, danno o responsabilità sia propriamente attribuibile agli atti od omissioni di tale Parte secondo l’Accordo di Pre-Bidding. Se la causa di tale istanza, danno o responsabilità è chiaramente attribuibile a più di una Parte, i costi relativi saranno suddivisi in proporzione al valore della loro rispettiva parte; e
(d) nessuna Parte sarà responsabile verso l’altra Parte per qualsiasi danno accidentale, particolare, indiretto o consequenziale, incluso ma non limitato a perdita di profitto, perdita di attività professionale, perdita di opportunità commerciali o perdita di dati secondo l’Accordo di Pre-Bidding, salvo in caso di dolo o colpa grave.
Articolo 5 – Diritti di Licenza
5.1 Nessun diritto o licenza secondo qualsiasi brevetto o altro diritto sulla proprietà intellettuale, di proprietà o controllato, ora o in seguito, da una Parte, potrà essere considerato come concesso all’altra Parte secondo il presente Accordo di Pre-Bidding o sarà implicato dalla rivelazione di qualsiasi informazione ai sensi dell’adempimento degli obblighi delle Parti in virtù del presente.
Articolo 6 – Durata e Termine
6.1 Il presente Accordo di Pre-Bidding avrà efficacia dalla firma da parte dei rappresentanti autorizzati di entrambe le Parti e terminerà al primo verificarsi di uno dei seguenti casi:
(a) il Cliente informa le Parti che ha assegnato il Progetto ad altra società; o
(b) dopo la scadenza della validità dell’Offerta o di qualsiasi altra estensione relativa concordata; o
(c) nel caso in cui una Parte decida che non è in grado o non è autorizzata a contribuire a qualsiasi Offerta, secondo l’Accordo, a causa dell’oggettivo riconoscimento di una mancanza di probabilità di successo. In tale caso, la Parte deve valutare questo aspetto immediatamente, allo scopo di evitare una perdita di profitto per le altre Parti.
(d) nel caso in cui una Parte non riceva l’autorizzazione interna a procedere con questa Offerta.
6.2 Se una Parte commette qualsiasi violazione materiale dei propri obblighi secondo il presente Accordo di Pre-Bidding e non pone rimedio a tale violazione entro dieci (10) giorni dalla ricezione della notifica dalla Parte non responsabile, allora in tal caso l’altra Parte sarà autorizzata, fatti salvi gli altri diritti ed azioni legali che essa o esse possano avere, a terminare il presente Accordo di Pre-Bidding tramite notifica alla Parte responsabile.
