Une phrase un peu compliquée que je divise en plusieurs parties afin de pouvoir créer plusieur entrées Kudoz-Merci!

"The Managers duty of care in the discharge of their duties to he Company and the Members is limited to refraining from engaging in grossly negligent conduct. In discharging such duty, the Managers shall be fully protected in relying in good faith upon the records of the Company and upon such information, opinions, reports or statements by the Members, agents or other persons as to matters the Managers reasonably believe are within such person's professional or expert competence, including without limitation information or statements as to the value or amount of the assets of the Company or any other facts pertinent to be existence and amount of assets from whiche distributions to Members might properly be paid.
