English term

express indemnity

English to French Law/Patents Law: Contract(s)
Bonjour,

Je ne comprends pas cette expression ici. (Dégagement de) responsabilité expresse ? Merci d'avance

Contexte : at completion (of the share purchase agreement), the sellers shall deliver to the buyer duly executed transfer of the shares in favour of the buyer accompanied by the share certificates (or an *express indemnity* in the agreed terms in the case of lost certificates)

No expert in this field... ...but I suspect 'express' here has the sense, not of speed, but of doing something deliberately (the sense of 'exprès' in FR, I think).

Better await confirmation, though, from the specialists!
