Third Party Diligence and Compliance Controls Protocol

1.0 Purpose

XXXX Brands Inc. and its subsidiaries (“XXXX” or the “Company”) shall ensure that third parties entering into a business relationship with XXXX do so only after appropriate Foreign Corrupt Practices Act (“FCPA”) and anti-corruption due diligence is conducted by XXXX, pursuant to this Third Party Diligence and Compliance Controls Protocol (“Protocol”).

2.0 Scope

This Protocol applies to consultants, agents, business representatives, professional services firms (including but not limited to law firms and accounting firms), customs brokers, freight forwarders, distributors, joint venture partners, franchisees and any other third party vendor who does or may act on behalf of XXXX outside the United States (each a “Third Party”). Additionally, any Third Party that serves franchisees based on a list of approved or prescribed vendors by XXXX are covered by the Protocol.

3.0 Policy

The XXXX International Anti-Corruption Policy (“Policy”) requires that:

Whenever a XXXX associate proposes to engage or retain an agent, broker, consultant or other Third Party outside the United States, XXXX will conduct a due diligence inquiry of the prospective Third Party pursuant to a this Protocol. The specific information to be obtained in connection with such due diligence shall be specified by, and the results of such investigation shall be reviewed and approved by, the local Law Department or other suitable department designated by the Law Department. Additional due diligence may be required depending on the Third Party’s risk profile results. Files supporting XXXX’s Third Party due diligence shall be maintained by the Law Department and updated from time to time as necessary to manage XXXX’s compliance risks.

Once XXXX retains a third party, XXXX will continue monitoring on-going activities for any corruption red flags or other concerns, and may periodically renew the diligence for certain representatives as deemed necessary. If any employee knows or reasonably believes that a payment or promise of payment prohibited by the FCPA, UK Bribery Act or any other law has been, is being or may be made by an agent, consultant or other Third Party intermediary for or on XXXX’s behalf, the employee shall immediately advise the local Law Department and shall use all reasonable efforts to prevent the payment or promise of payment from occurring. As part of the standard contract language XXXX will require most Third Parties to periodically certify their compliance with the Policy and FCPA.

4.0 Protocol

XXXX utilizes a risk based approach to protecting the Company from corruption risk posed by Third Parties. This Addendum to the Policy sets forth XXXX’s procedures for conducting a corruption-risk assessment when a Third Party enters into a business relationship with XXXX, and for structuring appropriate compliance controls to minimize potential risks when Third Parties enter into a business relationship with XXXX

“Diligencia debida” lamentablemente es un calco. Al tratarse de un término altamente arraigado en el ámbito anglosajón, lo más cercano que suene “español” es “indagación previa”. Es “creativo” y se puede “confundir” con actuaciones de una “fiscalía” (pero, no creo que se confunda en este contexto).

Propongo: “llevar a cabo indagaciones previas”.

El sentido general del término es el de debida diligencia, es decir, realizar algo con juicio, cuidado, prudencia, etc., pero como dicen los colegas, aquí tiene el sentido de una investigación previa que se realiza por ejemplo antes de adquirir una empresa, antes de una fusión, etc.
