English term

Qualifying Transaction

English to Dutch Bus/Financial Law: Contract(s)
"Subject to you remaining continuously employed with the Company or any subsidiary of the Company (collectively, the “Company Group”) through the first occurrence of a Qualifying Transaction and the other requirements set forth herein, you will be entitled to receive a one-time cash bonus (the “Transaction Bonus”) in an amount equal to the product of: (i) the Bonus Pool, multiplied by (ii) the Bonus Share, multiplied by (iii) the Individual Participation Percentage."

I'm at a loss! This part comes from a Transaction Bonus Letter. I hope this is enough context. If not, please let me know.
