English to Polish Law/Patents Law (general)

Without prejudice to any other rights or remedies it may have, but subject to the prior completion of the Dispute Resolution Procedure set out in Section 14, a Party may, by giving written notice to the other, immediately terminate this Agreement, (as of a date specified in the notice of termination) if any of the following circumstances occur or exist:
11.1.1 If the other Party commits a material breach of this Agreement, which (where the breach is capable of cure) breach is not cured within 45 (forty five) days after notice of breach from the other or
11.1.2 If the other Party commits a material breach of this Agreement which is not capable of being cured or
11.1.3 If an Insolvency Event affecting the other Party occurs, where an ‘Insolvency Event’ means the other Party being unable to pay its debts as they fall due or the taking of any steps by the other Party or any other person relating to any of the following:
11.1.3.1 the presentation of a petition for winding up of the other Party;
11.1.3.2 the application for an order or tabling of an effective resolution for winding up the other Party;
11.1.3.3 the application for an order or application for the appointment of a receiver (including an administrative receiver), administrator, trustee or similar officer in respect of the other Party
