Pursuant to a Master Agreement governed by English law between the Factor and the Originator, and a Factoring Agreement governed by English law between the Factor and the Originator (the Factoring Agreement and together with the Master Agreement, the Factoring Documents), the Factor has agreed, subject to the terms of the Factoring Documents, to purchase from the Originator, the Fundable Debts (as defined in the Factoring Agreement) which the Originator shall notify to the Factor from time to time.
