??Primary Capital Indebtedness?? means (i) any principal and interest payable in respect of the Loan and (ii) Subordinated Indebtedness, the right to payment by the Borrower by the terms whereof is, or is expressed to be, subordinated in the event of a Winding-Up of the Borrower to the claims of all or any of the creditors of the Borrower (including all or any of the creditors in respect of Subordinated Indebtedness) and which is expressed to be subject to loss absorption provisions so that it ranks pari passu with, or junior to, claims against the Borrower in respect of the Loan or is required by the terms of any agreement herebefore or hereafter entered into by the Borrower to be so subordinated but is not so subordinated.
