2. Pursuant to that certain Promissory Note between Borrower and Lender executed concurrently herewith (the “Promissory Note”), ALL of the approximately $1,300,000,000.00 Second Trust Deeds (the “Second Trust Deeds”) being purchased are acting as collateral and security for the satisfaction of the Promissory Note for a total loan to Borrower of Ten Million Dollars ($10,000,000.00 USD), and Borrower hereby agrees to place in escrow with the Escrow Agent, ALL of said Second Trust Deeds (the “Collateral”), and Escrow Agent agrees to hold the same pursuant to the terms and conditions of this Agreement.
