Law/Patents - Law: Contract(s)
Spanish term or phrase: facultades solidarias
I am confused here...
"El Consejo de Administración acuerda, por unanimidad, otorgar poder general tan amplio como en derecho sea necesario a favor de, D. xxxxxxxxxx, con D.N.I. número xxxxxxxx, mayor de edad, nacionalidad española, casado, con domicilio profesional en xxxxxxx, para que, de forma individual e indistinta, actúe en nombre y representación de la Sociedad, ejerciendo todas y cada una de las siguientes facultades solidarias"

He is one person being granted POA to act individually but his powers are 'solidarias'.... ('several' or joint and several'???). Does this refer to being several with the Company?? There is no-one else to be 'solidario' with...
(also 'indistinta' is a bit superfluous as there is no one to be separate from. Maybe they've used text from a POA where there are more than one, and not modified the text....)

Further on in the POA, he is given powers to act conjunta y mancomunadamente with a number of other attorney-holders, but in this first part, what do I put for 'facultades solidarias'???
many thanks

neutral  AllegroTrans: you may be right, but asker needs to know whether this is jointly and severally with the company; "boilerplate" (whatever that means) doesn't always work//OK,so who is the other party liable?

-> It isn't (because "jointly and severally with the company" is nonsense.

neutral  TechLawDC: Wrong context for "jointly and severally", in my experience.

Explanation:
"so that, in all relevant instances, he may act on behalf of and in representation of the Company, to exercise each and all of the following enumerated powers:"
("solidarias" is 100% redundant here. It just means "each and all".)

-> Good point. I did not read that part. Perhaps the entire sentence would help. (In the first instance, I think the Asker left something out at the end!!!)
