Prokura: \"prokura\"; full power of attorney; (ungenau) commercial procuration

And also says:

PRkura is the pwoer of attorney granted to the Prokurist under the provisions of the Commercial Code conferring authority to act on behalf of the principal (owner of a commercial firm) in respect of all transactions in and out of court within the scope of the mercantile trade. The prokura has to be entered in the commercial register.

1. Probably is a limited etc. PARTNERSHIP. If not and the phG is part of a ltd. co., then the gen. partner goes to 'personally liable member'.

2. Pin down the Gesamtprokura (§ 48 II HGB - German Comm. Code) to an authority to act and/or sign.

Has to be trade-regd.: § 53 I HGB. 'Beschränkung der Prokura, wil Gesamtprokuristen nur gemeinschaftlich handeln können'. Authority to act only with s.o. else.

3. General partner = personally liable member. Limited partner has liability limited up to the contribution paid in.
