документ, содержащий дополнительные сведения, т.н. "wrapper" Explanation: *** -------------------------------------------------- Note added at 22 мин (2009-12-05 19:52:39 GMT) -------------------------------------------------- Euronext regulators now accept documentation, filed with the SEC; to meet the EU Prospectus Directive. With Fast Path, a company avoids the need to draft and translate a separate prospectus in order to be admitted to trading. Documents filed with the SEC serve as the primary component to obtain approval from the competent Euronext regulator. The SEC documentation is combined with a ***summary “wrapper”; addressing any additional European and local requirements***, forming the company’s European prospectus. http://www.euronext.com/news/press_release/press_release-173... -------------------------------------------------- Note added at 23 мин (2009-12-05 19:53:33 GMT) -------------------------------------------------- When the Commission considers permitting the use of hypertext links from EDGAR filings, the Institute suggests that the Commission consider following a similar approach to liability for the hyperlinked material as it follows for "attachments" to paper filings. For example, paper prospectuses filed with the Commission ***may attach a document (e.g., a prospectus "wrapper")***, which is not considered part of the prospectus for liability purposes under the 1933 Act. http://www.sec.gov/rules/proposed/s7999/smith1.htm -------------------------------------------------- Note added at 25 мин (2009-12-05 19:56:12 GMT) -------------------------------------------------- The documentation that would form the EU Prospectus for purposes of the cross-listing on Euronext would consist of: ... A ***short wrapper in English*** containing, inter alia, the main characteristics of the issuer (including its corporate form, registered office and authorized and outstanding equity shares), characteristics of the listed securities (including the rights attached tothe securities and settlement data), specific information relating to taxation of dividends, and a responsibility statement from the issuer regarding the disclosure https://adr.db.com/FileView/Data.aspx?URL=dbdr/publication/D... -------------------------------------------------- Note added at 33 мин (2009-12-05 20:04:11 GMT) -------------------------------------------------- Companies that qualify as foreign issuers in the US are required to file extensive information for review with the SEC through Form 20-F and Form 6-K. If these companies intend to list on Euronext Amsterdam, the AFM is willing to approve a prospectus consisting of annual reports on Form 20-F for the latest three financial years, interim financial information and other SEC filings on Form 6-K and ***additional information included in a so-called EU wrapper***. This wrapper must contain some of the required items under the Prospectus Regulation (2004/809) to make the prospectus compliant with the Prospectus Directive. http://www.loyensloeff.com/en-US/AboutUs/CountryDesks/Docume... -------------------------------------------------- Note added at 35 мин (2009-12-05 20:05:34 GMT) -------------------------------------------------- В общем, практически везде стоит конструкция "so called". |
