1. RECHTEN DIE XCOMPANY VERLEENT AAN de teler
1.1 XCompany verleent hierbij aan De teler een niet-overdraagbare niet-exclusieve licen-tie, zonder het recht tot verlening van enige sublicentie, om:
a. jonge planten van Xflower Rassen af te nemen van XCompany;
b. de afgenomen jonge planten van Xflower Rassen uitsluitend op te planten op het eigen bedrijf van De teler en uitsluitend daar af te kweken tot eindproduct in potten, uitsluitend in de potmaten die schriftelijk met XCompany zijn overeengekomen, waarbij dient te worden aangetekend dat het zeer waarschijnlijk is dat afspraken over bepaalde potmaten niet in de testfase, doch eventueel pas later in de productiefase van de Xflower Rassen zullen worden gemaakt;
c. uitsluitend eindproducten in de met XCompany schriftelijk overeengekomen potmaten van Xflower Rassen te verhandelen via de gebruikelijke handelskanalen binnen de Europese Unie, bestemd voor de afzet als sierplant aan consumenten.
1.2 De teler mag uitsluitend eindproducten van Xflower Rassen verkopen in potten, bestemd voor de afzet als sierplant aan consumenten. De teler zal derhalve nooit hetzij rechtstreeks, hetzij indirect via een tussenhandelaar, planten van Xflower Rassen leveren aan de telers bestemd voor de verdere teelt. De teler zal daarnaast geen planten van Xflower Rassen leveren aan handelaren, waarvan hij weet of redelijkerwijs kan vermoeden dat de desbetreffende planten van Xflower Rassen zullen worden bestemd voor de verdere teelt.
1.3 Voor alle duidelijkheid wordt nogmaals gesteld dat De teler uitsluitend eindproducten mag telen en verhandelen in de potmaten die hij schriftelijk met XCompany is overeengekomen.
1.4 Teelt van snijbloemen van Xflower Rassen door De teler is uitsluitend toegestaan na voorafgaande schriftelijke toestemming van XCompany middels een snijbloementeeltcontract.
1.5 De teler zal geen planten van Xflower Rassen of delen daarvan op welke wijze ook vermeerderen en/of door derden doen vermeerderen.
1.6 De teler zal uitsluitend rechtstreeks bij XCompany jonge planten van Xflower Rassen inkopen, en derhalve nimmer plant materiaal van Xflower Rassen inkopen of op een andere wijze betrekken van derden, behoudens voorafgaande schriftelijke toestemming van geval tot geval van XCompany.
1.7 De teler begrijpt en verbindt zich ertoe dat hij geen enkele andere handeling met enig materiaal van Xflower Rassen mag verrichten, dan die handelingen waartoe hij expliciet ingevolge het bepaalde in de voorgaande leden van dit artikel door XCompany is geautoriseerd.
1.8 De teler verbeurt voor elke keer, dat zij enige uit dit artikel voor hem voortsprui¬tende verplichting niet nakomt een onmiddellijk opeisbaar boetebedrag van euro 50.000,00 (zegge: vijftigduizend euro’s) ten gunste van XCompany, onverminderd diens recht om van De teler algehele vergoeding voor de schade, welke uit de wanprestatie voor hem voortvloeit, te vorderen.

1. RIGHTS GRANTED BY XCOMPANY TO the grower
1.1 XCompany hereby grants to the grower a non-transmissible, non-exclusive license, without the right to grant sublicenses, to:
a. Purchase young plants of the XFLOWER breeds from XCompany;

Grow the young plants of the XFLOWER breeds exclusively in the grower’s own company until their end product stage in pots, solely with the pots sizes that were written and agreed together with XCompany. However, it should be noted that further agreements are very likely to take place, although not in the test phase but later in the production phase of the XFLOWER breeds, concerning pots sizes ;
c. Sell end products in the EU of the XFLOWER breeds with the pots sizes determined in written agreement, through the usual commercial channels within the European Union and destined for sale as decorative plant to consumers.
1.2 The grower may only sell end products of the XFLOWER breeds in pots, destined for sale as decorative plant to consumers. Consequently, the grower shall never deliver plants of the XFLOWER breeds whether directly or indirectly through an intermediate to growers for further growing.
1.3 For clarity purposes, it is once more pointed out that the grower may only grow and sell end products with pot sizes defined together with XCompany in a written agreement.
1.4 The cultivation of cut flowers of the XFLOWER breeds by the grower is only allowed after a preliminary written authorization by XCompany through a cut flowers cultivation contract.
1.5 The grower shall not multiply plants of the XFLOWER breeds or parts of it by whichever means and/or shall not multiply it through a third party.
1.6 The grower may only purchase young plants of the XFLOWER breeds directly from XCompany and therefore may never purchase or obtain plant material by whichever means from a third party, except in the case of a preliminary written authorization by XCompany on a case-by-case basis.
1.7 The grower understands and binds itself to this contract and accepts it may not conduct other businesses with the exclusive material of the XFLOWER breeds except those explicitly authorized and fixed by XCompany in the present contract.
1.8 For each time the grower does not observe the engagements described in this contract, a 50.000,00 Euros (Fifty Thousand Euros) fine, immediately demandable, will be imposed in favor of XCompany for undiminished rights to total compensation of the damage caused by the grower following its contract infringement.
