Chinese to English: Service Agreement Detailed field: Tourism & Travel
Translation - English Dormitory Buildings A & B Service Subsidiary Agreement
Party A: XXX
Party B: YYY
Both parties sign the Service Agreement pertaining to the rear service in 2006, and carry it out from January 2006.
Dormitory building A and B entered into using from September first, joint venture UG front line workers have been arranged inside for living.
Range of scope and expense in Service Agreement signed previously does not include range of service of dormitory A & B as well as expense.
After the negotiation, both parties have reached to the consensus of opinion pertaining to payment of dormitory building A and B service and service expenditure, signed this agreement, and shall follow it together.
I. Content of Service and Standard
1. Content of Service:
Party B provides Party A’s employees service of boarding house in dormitory building A and B, and be responsible for relevant management.
II. Standard of Service
Party B should provide the following service and reach standards of regulations
(1). Be responsible for sanitary sanitation of employees’ dormitories and public areas, such as, corridors, employees’ activity room etc, and clean up the outdoor environmental circumstance of buildings.
Requirements: Clean neat in dormitories, corridors, outdoor environment. No trash, no paper, no stub of cigarette, no vestige of spit, no abnormal smell in toilet rooms.
(2). Regularly wash and replace employees’ bed sheet, the bedding bag, the pillow covering and so on.
Requirements: Bed sheet sets neat and clean, have no dirt.
(3). Gate guard on duty 24 hours
Requirement: Carry on the registration to all people who do not live in the buildings and the external personnel, if any suspicious situation is discovered, Security Department should be prompt contacted to handle with it.
(4). Be responsible to service and maintain illumination facility in buildings. In the warranty period, the project contractor, the equipment providers should service and maintain. Party B is just maintain the room, replace illumination appliance in stairs and activity rooms; such as, replacement of bulb, lamp.
Requirements: Can guarantee the normal illumination in the rooms, the corridors and the activity rooms.
Other Maintenance:
If any facility beyond the range of scope of agreement is damaged and needs maintenance, service personnel should promptly inform Party B. Party B shall contact project contractor and equipment provider. Project contractor and equipment provider will maintain in timely manner.
II. Confirmation of Service Expense, Payment and Usage.
1. Range of Service Expense Payment
Service Expense in this agreement is reimbursed on an actual expenditure basis and only includes the relevant service expenditures pertaining to dormitory A and B.
(1). Expenditure of wages for service personnel of dormitory buildings A and B;
(2). Cleaning articles used inside and outside dormitory buildings A and B,
(3). Expenditure to replace the damageable articles beyond the warranty range of project dormitory buildings A and B, such as, lamp, bulb, etc.
(4). Relevant other expenditure pertaining to dormitory buildings A and B.
The following expenditures are excluded in this service expenses in this agreement.
(1). Relevant expenditure paid by Party A pertaining to dormitory building A & B;
(2). Washing articles and TV program fees supposed to be paid by employees.
2. Confirmation of Service Expense.
Party B should submit the relevant monthly service expenditures to Party A’s Administration Department for confirmation, then send copies to Internal Control and Finance Departments for archive saving.
3. Payment of Service Expense.
Service expense of dormitory buildings A and B, and service expense in Service Agreement shall be settled and paid after verification. Process of payment should be carried out according to payment approval procedure of Party A.
4. Others.
Party B should use assigned fund for assigned purpose after receiving service expense from Party A. The expenditure of this assigned fund should be daily supervised and audited regularly by Internal Control and Finance Departments from Party A; that is, assigned person shall be sent from Internal Control and Finance every half a year to particularly audit the using of service expenses.
III. Right and Obligation of Both parties
Right and Obligation of Party A:
1. Party A pays Party B service expense according to regulations in this agreement;
2. Evaluation Award and Penalty shall be carried out according to Item 1 and 2 in Service Contract.
Right and Obligation of Party B:
Party B should provide service to Party A according to items of service and standards confirmed in this agreement.
IV. Others
1. As a supplement of the service agreement signed previously, this subsidiary service agreement has the same legal effect compared with previous service agreement.
2. This agreement shall enter into force after it signed by bilateral parties. Time Duration of execution: From September 1, 2006 to December 31, 2006. Both parties may continuously sign contract via negotiation when contract expires.
3. Both parties can negotiate the issue that has not concluded in this agreement. If there is no result via negotiation, arbitration can be submitted to administration of arbitration.
4. This agreement is written in Chinese and English. Four copies for each language. Party A and the Party B will get two copies respectively and all copies have the same legal effect. Where any discrepancy arises between the English version and the Chinese version, the Chinese version shall prevail.
