English to Chinese: SHARE PURCHASE AGREEMENT
Source text - English A. As of the date of this Agreement, the Seller Entity legally and beneficially holds and owns 300,000 ordinary shares in ABC Group Limited , a limited liability company incorporated and existing under the laws of Hong Kong (the “Company”) free and clear of any Encumbrance (as defined below).
B. The Seller Entity desires to sell and transfer to the Purchaser, and the Purchaser desires to purchase from the Seller Entity, 300,000 ordinary shares of the Company, representing one hundred percent (100%) of the share capital of the Company (on a fully diluted basis) immediately before and after the Closing (as defined below) (the “Sale Shares”) on the terms and conditions set forth in this Agreement.
C. As of the date of this Agreement, each Group Company (as defined below) is and is only engaged in the Principal Business (as defined below).
