(Contrato entre partes independentes)

PARTES
CONTRATANTE: TECHLOG GLOBAL SOLUTIONS INC., sociedade empresária registrada no Estado de Delaware, com sede principal na 1000 N. King Street, Wilmington, DE 19801, Estados Unidos da América, doravante denominada "CONTRATANTE";
CONTRATADO: JOÃO DA SILVA, brasileiro, consultor independente, portador do CPF nº 123.456.789-00, residente na Rua das Flores, 200 – São Paulo, SP – Brasil, doravante denominado "CONTRATADO".
CONSIDERANDO que a CONTRATANTE deseja obter serviços de consultoria especializada em inteligência de mercado; e o CONTRATADO está disposto a prestar tais serviços nos termos aqui estabelecidos;
RESOLVEM as partes celebrar o presente contrato, que se regerá pelas seguintes cláusulas e condições.
CLÁUSULA 1 – OBJETO
1.1. O CONTRATADO prestará os serviços descritos detalhadamente no ANEXO A, parte integrante e indissociável deste contrato.
1.2. Os serviços incluem, sem caráter exaustivo: análise de concorrência, elaboração de relatórios setoriais e apresentação de recomendações estratégicas.
CLÁUSULA 2 – PRAZO E VIGÊNCIA
2.1. Este contrato entra em vigor na data da última assinatura e terá duração de 90 (noventa) dias corridos, salvo rescisão antecipada nos termos da CLÁUSULA 6.
CLÁUSULA 3 – REMUNERAÇÃO
3.1. A CONTRATANTE pagará ao CONTRATADO a quantia fixa de US$ 5.000,00 (cinco mil dólares americanos).
3.2. O pagamento será efetuado em até 30 (trinta) dias após a apresentação da fatura (invoice), a qual deverá ser enviada por e-mail para [email protected].
CLÁUSULA 4 – CONFIDENCIALIDADE
4.1. O CONTRATADO obriga-se a não divulgar, reproduzir ou utilizar, em benefício próprio ou de terceiros, qualquer informação confidencial da CONTRATANTE – incluindo, mas não se limitando a: segredos comerciais, estratégias de negócio, listas de clientes, algoritmos e documentos internos.
4.2. Esta obrigação subsistirá por 2 (dois) anos após o término do presente contrato.
CLÁUSULA 5 – PROPRIEDADE INTELECTUAL
5.1. Todos os relatórios, metodologias, apresentações e demais entregáveis produzidos pelo CONTRATADO no âmbito deste contrato serão de propriedade exclusiva da CONTRATANTE, que poderá usá-los livremente.
5.2. O CONTRATADO renuncia expressamente a quaisquer direitos morais sobre os entregáveis.
CLÁUSULA 6 – RESCISÃO
6.1. Qualquer das partes poderá rescindir este contrato mediante notificação por escrito com antecedência mínima de 15 (quinze) dias.
6.2. Em caso de descumprimento material de qualquer obrigação, a parte inocente poderá rescindir o contrato imediatamente, sem prejuízo de perdas e danos.
CLÁUSULA 7 – DISPOSIÇÕES GERAIS
7.1. INTEGRALIDADE DO CONTRATO – Este contrato, incluindo seus anexos, constitui o acordo integral entre as partes, substituindo qualquer entendimento anterior.
7.2. ALTERAÇÕES – Nenhuma modificação será válida a menos que feita por escrito e assinada por ambos os contratantes.
7.3. NÃO SOLIDARIEDADE – As partes são contratantes independentes; não há sociedade, vínculo empregatício ou solidariedade entre elas.
7.4. NOTIFICAÇÕES – Todas as comunicações serão enviadas aos endereços indicados neste contrato, por e-mail com aviso de recebimento ou carta registrada.
CLÁUSULA 8 – FORO E LEI APLICÁVEL
8.1. Este contrato será regido pelas leis do ESTADO DE DELAWARE, ESTADOS UNIDOS DA AMÉRICA.
8.2. Fica eleito o foro da Comarca de Wilmington, Estado de Delaware, para dirimir quaisquer controvérsias decorrentes deste contrato, com renúncia expressa a qualquer outro, por mais privilegiado que seja.
E, por estarem justas e contratadas, as partes assinam o presente instrumento em 2 (duas) vias de igual teor e forma.

CLIENT: TECHLOG GLOBAL SOLUTIONS INC., a business entity organized under the laws of the State of Delaware, with its principal place of business at 1000 N. King Street, Wilmington, DE 19801, United States of America (hereinafter referred to as "CLIENT");
CONSULTANT: JOÃO DA SILVA, an individual, independent consultant, resident at Rua das Flores, 200 – São Paulo, SP – Brazil (hereinafter referred to as "CONSULTANT").
WHEREAS, the CLIENT desires to obtain consulting services in market intelligence; and the CONSULTANT is willing to provide such services upon the terms set forth herein;
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows.
ARTICLE 1 – SCOPE OF SERVICES
1.1. The CONSULTANT shall perform the services as described in detail in EXHIBIT A, attached hereto and incorporated herein by reference.
1.2. Services include, without limitation: competitor analysis, industry reporting, and delivery of strategic recommendations.
ARTICLE 2 – TERM
2.1. This Agreement shall become effective on the date of the last signature and shall continue for a period of ninety (90) calendar days, unless earlier terminated as provided in ARTICLE 6.
ARTICLE 3 – COMPENSATION
3.1. The CLIENT shall pay the CONSULTANT a fixed fee of US$ 5,000.00 (five thousand U.S. dollars).
3.2. Payment shall be made within thirty (30) days after receipt of a proper invoice, which shall be sent via email to [email protected].
ARTICLE 4 – CONFIDENTIALITY
4.1. The CONSULTANT agrees not to disclose, reproduce, or use for his own benefit or for the benefit of any third party any confidential information of the CLIENT – including, but not limited to: trade secrets, business strategies, customer lists, algorithms, and internal documents.
4.2. This obligation shall survive for a period of two (2) years after termination of this Agreement.
ARTICLE 5 – INTELLECTUAL PROPERTY
5.1. All reports, methodologies, presentations, and other deliverables produced by the CONSULTANT under this Agreement shall be the sole and exclusive property of the CLIENT, and the CLIENT may use them without restriction.
5.2. The CONSULTANT expressly waives any and all moral rights in the deliverables.
ARTICLE 6 – TERMINATION
6.1. Either party may terminate this Agreement upon fifteen (15) days' prior written notice to the other party.
6.2. In the event of a material breach of any obligation, the non breaching party may terminate this Agreement immediately, without prejudice to any claim for damages.
ARTICLE 7 – GENERAL PROVISIONS
7.1. ENTIRE AGREEMENT – This Agreement, together with its Exhibits, constitutes the entire agreement between the parties and supersedes all prior understandings.
7.2. AMENDMENT – No modification of this Agreement shall be binding unless in writing and signed by both parties.
7.3. INDEPENDENT CONTRACTOR – The parties are independent contractors. Nothing herein shall create a partnership, joint venture, or employer employee relationship.
7.4. NOTICES – All notices shall be sent to the addresses set forth herein, via email with read receipt or certified mail.
ARTICLE 8 – GOVERNING LAW AND VENUE
8.1. This Agreement shall be governed by and construed in accordance with the laws of the STATE OF DELAWARE, UNITED STATES OF AMERICA.
8.2. Any dispute arising out of or relating to this Agreement shall be brought exclusively in the courts of New Castle County, Wilmington, Delaware. The parties hereby consent to the personal jurisdiction of such courts and waive any objection based on forum non conveniens.
IN WITNESS WHEREOF, the parties have executed this Agreement as of the date last written below.
