The execution and delivery of this subscription agreement, the Depositary Agreement and the Investment Fund Services Agreement, the observance and performance hereof and thereof and the consummation of the transactions contemplated hereby and thereby do not and will not result in any material breach of, or default under any instrument or agreement by which the Management Company is bound or (subject to compliance by the Subscribers with the representations, warranties and undertakings contained in this subscription agreement and to the next sentence of this Clause 6.4) violate any law or order of any court or any governmental or regulatory body or administrative agency having jurisdiction over the Management Company. Subject to compliance by the Subscribers with the rep-resentations, warranties and undertakings contained in this subscription agreement, no consent, approval, authorisation or order of any court or governmental instrumentality, agency, body or person is required for the consummation by the Management Company of the transactions contemplated herein, or in the agreements, except such as will have been obtained on or prior to the date hereof or which might reasonably be expected not to have a material adverse effect on such consummation.
