XXX. Consultancy Contract

TERMS & CONDITIONS:

1.The contract term is yearly on a revolving basis reviewed annually 30 days before inception date.
2.The annual consultancy charge will be calculated depending on the client’s requirements for the term.
3.XXX invoices will be provided by email bimonthly.
4.Invoice payments should be made within 10 days of receipt by the client.
5.Expenses: the basic monthly expenses charge is xxx dollars further expenses will be by prior agreement with the client.
6.Invoices should be paid to XXX UK account in US Dollars.
7.Cancellation of the contract by either party is by mutual agreement; a 3 month notice period should be given by either party in event of cancellation.
8.During the notice period in event of cancellation of the contract all charges and expenses will be due to XXX.
9.XXX will remain responsible for any unfinished projects in event of cancellation of the contract until completion to the client’s satisfaction.
10.XXX registered designs remain the property of XXX in event of contract cancellation by either party.
11.XXX Contracted suppliers in China will only supply the client with the agreement of XXX.
12.XXX will not disclose any confidential information of the clients business to any third party.
13.XXX will not supply exclusive designs to other clients without prior agreement.
14.XXX designs or products should not be supplied by the client to a third party without the agreement of XXX.
15.XXX will endeavour to protect the client’s product designs and brands where possible when conducting the clients business.
