Artykuł 9.
9.1 Wszystkie akcje Spółki są akcjami zwykłymi na okaziciela i nie podlegają zamianie na akcje imienne.
9.2 Akcje Spółki mogą być umarzane na zasadach uchwalonych przez Walne Zgromadzenie.
9.3 Spółka może emitować obligacje, w tym obligacje zamienne na akcje i obligacje z prawem pierwszeństwa objęcia akcji.
IV. WŁADZE SPÓŁKI

Władzami Spółki są:
A. Zarząd
B. Rada Nadzorcza
C. Walne Zgromadzenie
Artykuł 11.
A. ZARZĄD
11.1 Zarząd składa się z jednej do pięciu osób. Kadencja Zarządu trwa trzy lata i jest wspólna dla wszystkich członków zarządu.
11.2 Rada Nadzorcza powołuje Prezesa Zarządu oraz na wniosek Prezesa pozostałych Członków Zarządu, w tym pełniących funkcję Wiceprezesa (Wiceprezesów) Zarządu.
11.3 Rada Nadzorcza określi liczbę Członków Zarządu i zasady wynagradzania Członków Zarządu.
11.4 Rada Nadzorcza może odwołać Prezesa Zarządu, Członka Zarządu (Wiceprezesa Zarządu) lub wszystkich Członków Zarządu (w tym Prezesa i Wiceprezesów Zarządu) przed upływem ich kadencji.
Artykuł 12.
12.1 Zarząd wykonuje wszelkie uprawnienia w zakresie zarządzania spółką z wyjątkiem uprawnień zastrzeżonych przez prawo lub niniejszy statut dla pozostałych władz Spółki. Pracami Zarządu kieruje Prezes Zarządu.
12.2 Tryb działania Zarządu, a także sprawy, które mogą być powierzone poszczególnym jego Członkom, w tym Prezesowi i Wiceprezesom Zarządu, określi szczegółowo Regulamin Zarządu. Regulamin Zarządu uchwala Zarząd Spółki, a zatwierdza go Rada Nadzorcza.
12.3 Uchwały Zarządu zapadają bezwzględną większością głosów, a w przypadku równości głosów decyduje głos Prezesa Zarządu.
Artykuł 13.
Do składania oświadczeń i podpisywania ich w imieniu Spółki wymagane jest współdziałanie dwóch Członków Zarządu (w tym Prezesa, Wiceprezesa lub Wiceprezesów Zarządu), albo jednego Członka Zarządu (w tym Prezesa, Wiceprezesa lub Wiceprezesów Zarządu) łącznie z prokurentem.
Artykuł 14.
14.1 Rada Nadzorcza zawiera w imieniu Spółki umowy z Członkami Zarządu i reprezentuje Spółkę w sporach z Członkami Zarządu. Rada Nadzorcza może upoważnić, w drodze uchwały, jednego lub więcej członków do dokonania takich czynności prawnych.
14.2 Pracownicy Spółki podlegają Zarządowi. Zarząd zawiera i rozwiązuje z nimi umowy o pracę oraz ustala ich wynagrodzenie.
B. RADA NADZORCZA
Artykuł 15.
15.1 Rada Nadzorcza składa się z pięciu do dziewięciu członków wybranych przez Walne Zgromadzenie na wspólną kadencję.
15.2 Kadencja Członka Rady Nadzorczej trwa trzy lata.
Artykuł 16.
16. Rada Nadzorcza wybiera ze swego grona Przewodniczącego, jednego lub dwóch Zastępców Przewodniczącego i Sekretarza.
Artykuł 17.
17.1 Rada Nadzorcza odbywa posiedzenia co najmniej raz na kwartał.
17.2. Zarząd lub Członek Rady Nadzorczej mogą żądać zwołania rady nadzorczej podając proponowany porządek obrad.
Przewodniczący rady zwołuje posiedzenie w terminie dwóch tygodni od dnia otrzymania wniosku.
Artykuł 18.
18.1 Rada Nadzorcza podejmuje uchwały, jeżeli na posiedzeniu obecna jest co najmniej połowa jej Członków, a wszyscy jej Członkowie zostali zaproszeni.
18.2 Uchwały Rady Nadzorczej zapadają bezwzględną większością głosów, a w przypadku równości głosów rozstrzyga głos przewodniczącego Rady.
18.3 Rada Nadzorcza uchwala swój regulamin, określający szczegółowy tryb działania Rady.
18.4 Rada Nadzorcza może podjąć uchwałę w trybie pisemnym lub przy wykorzystaniu środków bezpośredniego porozumienia się na odległość, jeżeli wszyscy członkowie rady zostali powiadomieni o treści projektu uchwały.
Członkowie Rady Nadzorczej mogą również brać udział w podejmowaniu uchwał, oddając swój głos na piśmie za pośrednictwem innego członka rady, w sprawach objętych porządkiem obrad.
Artykuł 19.
19.1 Rada Nadzorcza może delegować swoich Członków do indywidualnego wykonywania poszczególnych czynności nadzorczych.
19.2 Jeżeli Walne Zgromadzenie wybierze Radę Nadzorczą przez głosowanie oddzielnymi grupami, Członkowie Rady wybierani przez każdą z grup mogą delegować jednego Członka do indywidualnego wykonywania czynności nadzorczych.
Artykuł 20.
20.1 Rada Nadzorcza nadzoruje działalność Spółki.
20.2 Oprócz spraw wskazanych w ustawie, w innych postanowieniach niniejszego statutu lub uchwałach Walnego Zgromadzenia do kompetencji Rady Nadzorczej należy:
1) wybór biegłego rewidenta do badania sprawozdania finansowego z uwzględnieniem zasady jego zmiany przynajmniej co 5 lat
2) ocena sprawozdania finansowego oraz sprawozdania Zarządu z działalności spółki za rok obrotowy
3) badanie co roku i zatwierdzanie planów działalności gospodarczej, planów finansowych i marketingowych Spółki oraz żądanie od Zarządu szczegółowych sprawozdań z wykonania tych planów,
4) składanie Walnemu Zgromadzeniu pisemnego sprawozdania z wyników czynności, o których mowa w punkcie od 1 do 3,
5) określanie i przedstawianie Walnemu Zgromadzeniu zasad podziału zysku, w tym określanie kwoty przeznaczanej na dywidendy i terminów wypłaty dywidend lub zasad pokrycia strat.
6) wyrażanie zgody na transakcje obejmujące zbycie lub nabycie akcji lub innego mienia albo zaciągnięcie zobowiązania za wyjątkiem zobowiązań zabezpieczających wykonanie umów handlowych, jeżeli wartość danej transakcji przewyższy 15% wartości aktywów netto Spółki według ostatniego bilansu.
7) powoływanie, zawieszanie i odwoływanie Członków Zarządu,
8) delegowanie Członków Rady Nadzorczej do wykonywania czynności zarządu w razie zawieszenia lub odwołania całego zarządu lub gdy zarząd z innych powodów nie może działać.
Artykuł 21
Wynagrodzenie Członków Rady Nadzorczej określa Walne Zgromadzenie.
C. WALNE ZGROMADZENIE
Artykuł 22
22.1 Zwyczajne Walne Zgromadzenie zwołuje zarząd najpóźniej w maju każdego roku.
22.2 Nadzwyczajne Walne Zgromadzenie zwołuje zarząd z własnej inicjatywy, na pisemny uzasadniony wniosek Rady Nadzorczej lub akcjonariuszy reprezentujących co najmniej 10% kapitału zakładowego.
22.3 Zarząd zwołuje Nadzwyczajne Walne Zgromadzenie w ciągu dwóch tygodni od daty zgłoszenia wniosku, o którym mowa w art.22.2
22.4 Rada Nadzorcza zwołuje Walne Zgromadzenie :
1) w przypadku, gdy zarząd nie zwołał Zwyczajnego Walnego Zgromadzenia w przepisanym terminie,
2) jeżeli pomimo złożenia wniosku, o którym mowa w art.22.2, Zarząd nie zwołał Nadzwyczajnego Walnego Zgromadzenia w terminie, o którym mowa w art. 22.3
22.5 Walne Zgromadzenie zwołane na wniosek akcjonariuszy powinno odbyć się w terminie wskazanym w żądaniu , a w razie istotnych przeszkód w najbliższym terminie umożliwiającym rozstrzygnięcie wnoszonych spraw.
22.6 Odwołanie Walnego Zgromadzenia, w którego porządku obrad na wniosek uprawnionych podmiotów umieszczono określone sprawy lub które zwołane zostało na taki wniosek możliwe jest tylko za zgodą wnioskodawców. W innych przypadkach Walne Zgromadzenie może być odwołane, jeżeli jego odbycie napotyka na nadzwyczajne przeszkody lub jest oczywiście bezprzedmiotowe
22.7 Odwołanie Walnego Zgromadzenia następuje w taki sam sposób jak zwołanie zapewniając jak najmniejsze ujemne skutki dla spółki i akcjonariuszy.
Artykuł 23
23.1 Porządek obrad Walnego Zgromadzenia ustala zarząd w porozumieniu z Radą Nadzorczą.
23.2 Rada Nadzorcza oraz akcjonariusze reprezentujący co najmniej 10% kapitału zakładowego mogą zgłosić uzasadnione żądanie umieszczenia poszczególnych spraw w porządku obrad Walnego Zgromadzenia.
23.3 Żądanie, o którym mowa w art.23.2, zgłoszone po ogłoszeniu o zwołaniu Walnego Zgromadzenia, będzie traktowane jako wniosek o zwołanie nadzwyczajnego Walnego Zgromadzenia.
Artykuł 24
Walne Zgromadzenie odbywa się w siedzibie spółki. Organ zwołujący Walne Zgromadzenie powinien tak ustalić miejsce i czas odbycia Walnego Zgromadzenia, aby umożliwić uczestnictwo w Zgromadzeniu jak najszerszemu kręgowi akcjonariuszy.
Artykuł 25
Jeżeli przepisy ustawy lub statutu nie stanowią inaczej Walne Zgromadzenie jest ważne bez względu na liczbę reprezentowanych na nim akcji.
Artykuł 26
26.1 Uchwały Walnego Zgromadzenia zapadają bezwzględną większością głosów, jeżeli przepisy ustawy lub statutu nie stanowią inaczej, w szczególności w następujących sprawach:
1. rozpatrzenia i zatwierdzenia sprawozdania zarządu z działalności spółki oraz sprawozdania finansowego za ubiegły rok obrotowy.
2. powzięcia uchwały o podziale zysku albo pokryciu straty.
3. udzielenia członkom organów spółki absolutorium z wykonania przez nich obowiązków
4. rozpatrzenia i zatwierdzenia skonsolidowanego sprawozdania finansowego grupy kapitałowej.
26.2 Uchwały Walnego Zgromadzenia podejmowane są większością trzech czwartych głosów w sprawach :
1. zmiany statutu
2. emisji obligacji zamiennych i obligacji z prawem pierwszeństwa objęcia akcji
3. zbycia przedsiębiorstwa spółki albo jego zorganizowanej części
4. obniżenia kapitału zakładowego
5. umorzenia akcji z zastrzeżeniem, że jeżeli na Walnym Zgromadzeniu jest reprezentowana co najmniej połowa kapitału zakładowego, do powzięcia uchwały o umorzeniu akcji wystarczy zwykła większość głosów
6. połączenia z inną Spółką z zastrzeżeniem, że wymagana większość stanowi co najmniej połowę kapitału zakładowego
7. rozwiązania spółki
26.3 Uchwały w przedmiocie zmian statutu Spółki zwiększających świadczenia akcjonariuszy lub uszczuplających prawa przyznane osobiście poszczególnym akcjonariuszom, wymagają zgody wszystkich akcjonariuszy, których dotyczą.
26.4 Zmiana przedmiotu przedsiębiorstwa Spółki może nastąpić bez wykupu akcji, jeżeli uchwała będzie podjęta większością 2/3 głosów, przy obecności osób przedstawiających przynajmniej połowę kapitału zakładowego.
26.5 Walne Zgromadzenie może przyznać osobie, która sprawowała lub sprawuje funkcję członka Rady Nadzorczej lub Zarządu, zwrot wydatków lub pokrycie odszkodowania, które osoba ta może być zobowiązana zapłacić osobie trzeciej, w wyniku zobowiązań powstałych w związku ze sprawowaniem funkcji przez tę osobę, jeżeli osoba ta działała w dobrej wierze oraz w sposób, który w uzasadnionym w świetle okoliczności przekonaniu tej osoby był w najlepszym interesie Spółki.
Artykuł 27
27.1 Głosowanie na Walnym Zgromadzeniu jest jawne. Tajne głosowanie zarządza się przy wyborach oraz nad wnioskami o odwołanie członków władz lub likwidatorów spółki bądź o pociągnięcie ich do odpowiedzialności jak również w sprawach osobistych.
27.2 Uchwały w sprawie zmiany przedmiotu działalności Spółki zapadają w jawnym głosowaniu imiennym.
Artykuł 28
28.1 Walne Zgromadzenie otwiera przewodniczący Rady Nadzorczej lub osoba przez niego wskazana, po czym spośród osób uprawnionych do głosowania wybiera się przewodniczącego Zgromadzenia.
28.2 Walne Zgromadzenia uchwala swój regulamin.
V. GOSPODARKA SPÓŁKI
Artykuł 29
Organizację Spółki określa regulamin organizacyjny uchwalany przez Zarząd.
Artykuł 30
Rokiem obrotowym Spółki jest rok kalendarzowy.
Artykuł 31
31.1 Sporządzenie przez zarząd sprawozdania finansowego i jego weryfikacja przez biegłego rewidenta powinna nastąpić w ciągu trzech miesięcy po upływie roku obrotowego.
31.2 W ciągu trzech miesięcy po upływie roku obrotowego Zarząd zobowiązany jest przedłożyć Radzie Nadzorczej do oceny sprawozdanie finansowe oraz sprawozdanie Zarządu z działalności spółki za ubiegły rok obrotowy.
31.3 Odpisy sprawozdania Zarządu z działalności spółki i sprawozdania finansowego wraz z odpisem sprawozdania Rady Nadzorczej oraz opinii biegłego rewidenta są wydawane akcjonariuszom na ich żądanie, najpóźniej na 15 dni przed Walnym Zgromadzeniem
Artykuł 32
32.1 Rozporządzenie czystym zyskiem Spółki należy do Walnego Zgromadzenia Akcjonariuszy.
32.2 Walne Zgromadzenie Akcjonariuszy może wyłączyć całość albo część zysku od podziału i pozostawić go w Spółce z przeznaczeniem na istniejące albo utworzone w tym celu kapitały.
32.3 Czysty zysk Spółki przeznaczony do podziału między akcjonariuszy dzieli się proporcjonalne do posiadanych akcji.
32.4 Termin wypłaty dywidendy oraz datę ustalenia prawa do dywidendy określa uchwała Walnego Zgromadzenia o przeznaczeniu zysku rocznego do podziału między akcjonariuszy.
VI. POSTANOWIENIA KOŃCOWE
Artykuł 33
33.1 Ogłoszenia wymagane prawem zamieszcza się w „Monitorze Sądowym i Gospodarczym”, „Monitorze Polskim B”, a pozostałe ogłoszenia w dzienniku „Rzeczpospolita „ lub innym dzienniku o zasięgu krajowym.
33.2 Ogłoszenia Spółki powinny być również wywieszone w siedzibie Spółki w miejscach dostępnych dla wszystkich akcjonariuszy i pracowników.

8.1 The Company’s initial capital accounts for 0 PLN and is divided into 0 shares of the nominal value of 0 PLN each.
8.2 Shares numbered from 1 to 2080910 are A series shares.
8.3 Shares numbered from 2080911 to 2774547 are B series shares.
8.4 Shares numbered from 2774548 to 3107249 are C series shares.
8.5 Subsequent issues of shares shall be numbered with the consecutive letters of the alphabet.
Article No. 9.
9.1 All the shares of the Company are ordinary bearer shares and are not convertible to inscribed shares.
9.2 The Company’s shares may be redeemed pursuant to the rules adopted by the General Assembly.
9.3 The Company may issue bonds, including the bonds convertible to shares and the bonds with the priority right to acquire shares.
IV. AUTHORITIES OF THE COMPANY

The Authorities of the Company are:

B. Supervisory Board
C. General Assembly
Article No. 11.
A. BOARD OF DIRECTORS
11.1 The Board of Directors shall consist of five persons. The Board of Directors’ term of office shall be three years and is common for all Members of the Board.
11.2 The Supervisory Board appoints a President of the Board of Directors and other Members of the Board on the President’s application, including those performing duties of a Vice President (Vice Presidents) of the Board.
11.3 The Supervisory Board shall stipulate the number of the Members of the Board and the rules of remunerating the Members of the Board.
11.4 The Supervisory Board may remove the President of the Board, the Member of the Board (Vice President) or all Members of the Board (including the President and Vice Presidents of the Board) prior to the expiry of their term of office.
Article No. 12.
12.1 The Board of Directors shall exercise its rights in the scope of managing the Company, with the exclusion of the rights reserved by the law or these Articles of Association for other authorities of the Company. Works of the Board are managed by the President.
12.2 The Board’s manner of action and all the matters that may be entrusted to the particular Members of the Board, including the President and Vice Presidents of the Board, shall be stipulated in the Regulation of the Board. The Regulations of the Board shall be adopted by the Board of Directors and approved by the Supervisory Board.
12.3 The Resolutions of the Board shall be adopted by an absolute majority of votes and in the case of the equal number of votes, the vote of the President shall be decisive.
Article No. 13.
In order to make declarations of will and sign them on behalf of the Company, a joint action of two Members of the Board (including the President, Vice President or Vice Presidents of the Board) or one Member of the Board (including the President, Vice President or Vice Presidents of the Board) jointly with an authorized agent shall be required.
Article No. 14.
14.1 The Supervisory Board concludes agreements on behalf of the Company and represents the Company in disputes with the Members of the Board. The Supervisory Board may authorize, by way of a resolution, one or more of its Members to perform such legal acts.
14.2 Employees are subordinate to the Board of Directors. The Board concludes and dissolves labour contracts with them, and stipulates their remuneration.
B. SUPERVISORY BOARD
Article No. 15.
15.1 The Supervisory Board shall consist of five to nine members elected by the General Assembly for a common term of office.
15.2 The Term of Office of the Member of the Supervisory Board shall be three years.
Article No. 16.
16. The Supervisory Board elects a Chairman from among its members, one or more Deputy Chairmen and a Secretary.
Article No. 17.
17.1 The Supervisory Board holds meetings at least once a quarter.
17.2. The Board of Directors or the Supervisory Board may demand to convene the Supervisory Board submitting a proposal of an agenda.
The Chairman convenes the meeting within two weeks of receiving the application.
Article No. 18.
18.1 The Supervisory Board adopts resolutions, if at least a half of its Members is present at the meeting provided that all its Members were duly invited.
18.2 Resolutions of the Supervisory Board are adopted with an absolute majority of votes and in the case of even number of votes, the Chairman’s vote shall be decisive.
18.3 The Supervisory Board adopts its Regulations that defines a detailed manner of action of the Supervisory Board.
18.4 The Supervisory Board may adopt a resolution in writing or by means of direct communication facilities, provided that all Members of the Board were notified fn the content of draft resolution.
Members of the Supervisory Board may participate in adopting resolutions, voting in writing through another Member of The Supervisory Board, on issues under the agenda of the meeting.
Article No. 19.
19.1 The Supervisory Board may delegate supervisory activities individually to its Members.
19.2 If the General Assembly elects the Supervisory Board in a vote by separate groups, the Members of the Supervisory Board, elected by each group, may delegate one Member to perform individually his/her supervisory activities.
Article No. 20.
20.1 The Supervisory Board shall supervise the activities of the Company.
20.2 Except for the issues indicated in the act, other stipulations of these Articles of Association or resolutions of the General Assembly, the Supervisory Board exercises the following rights:
1) Appointment of an expert auditor to evaluate financial reports, with the consideration of the rule that he/she shall be changed at least every five years.
2) Assessment of the financial report and the Board of Directors’ report on the Company’s activity for a financial year.
3) Annual analysis and approval of business activity, financial and marketing plans, and requesting from the Board of Directors to present detailed reports on the realization of these plans,
4) Submitting a written report to the General Assembly on the results of the activities described in points 1 to 3.
5) Stipulating and presenting the rules of profit distribution to the General Assembly, including stipulation of the sum for dividends and dividend payment dates or rules of loss coverage,
6) Approving transactions comprising sale and acquisition of shares or another property or undertaking obligations, except for obligations securing realization of commercial agreements, if the value of one transaction exceeds 15% of the value of net assets of the Company, according to the last balance.
7) Appointing, suspending and removing Members of the Board of Directors.
8) Delegating Members of the Supervisory Board to perform the activities of the Board of Directors while suspending or removing the Board entirely or when the Board cannot perform it’s activity for other reasons.
Article No. 21
The General Assembly stipulates remuneration for the Members of the General Assembly.
C. GENERAL ASSEMBLY
Article No. 22
22.1 The Ordinary General Assembly shall be convened annually by the Board of Directors, within five months of the end of each financial year.
22.2 The Extraordinary General Assembly shall be convened by the Board of Directors on its own initiative, on the written application of the Supervisory Board or shareholders representing at least 10% of the initial capital.
22.3 The Board of Directors shall convene the General Assembly within two weeks of the date of submitting the application as specified in Art. 22.2.
22.4 The Supervisory Board shall convene the General Assembly:
1) If the Board of Directors fails to convene the Ordinary General Assembly within the prescribed period,
2) If – despite submitting the application as described in the Art. 22.2 – the Board of Directors failed to convene the Ordinary General Assembly within the prescribed period as in the Art. 22.3.
22.5 The General Assembly convened on application of the shareholders shall be held on the date stipulated in the request, and shall there occur any impediments, it shall be held at the earliest convenience enabling a resolution of the submitted matters.
22.6 The General Assembly, of which the agenda includes some defined matters on application of the authorized subjects or which was convened on such application, may be recalled only upon approval of the applicants. In other cases, the General Assembly may be recalled, if there are extraordinary impediments for it to take place or is obviously pointless.
22.7 Procedure of recalling the General Assembly is the same as the convening procedure, ensuring the least possible negative effects on the Company the shareholders.
Article No. 23
23.1 The Agenda of the General Assembly shall be stipulated by the Board of Directors with the approval of the Supervisory Board.
23.2 The Supervisory Board and the shareholders representing at least 10% of the initial capital may come forward with a justified request to supplement the agenda of the General Assembly with any particular issue.
23.3 The request, as specified in Art. 23.2, proposed after the announcement of convening the General Assembly, will be treated as a motion to convene the extraordinary General Assembly.
Article No. 24
The General Assembly shall be held at the registered office of the Company. The body convening the General Assembly shall specify its location and date in such manner, that the attendance of the largest number of the shareholders is possible.
Article No. 25
Unless the provisions of the legal act or these Articles of Association state otherwise, the General Assembly shall be valid regardless of the number of the shares being represented.
Article No. 26
26.1 Resolutions of the General Assembly are passed by an absolute majority of votes, unless the provisions of the legal act or these Articles of Association state otherwise, particularly in the following issues:
1. consideration and approval of the Board’s report on Company’s activity and financial report for the previous financial year,
2. adoption of a resolution on distribution of profit or coverage of losses,
3. acknowledgement of the fulfillment of duties by members of the Company’s authorities,
4. consideration and approval of the consolidated financial report of the capital group.
26.2 Resolutions of the General Assembly are adopted by a majority of three quarters of votes in the following issues:
1. amendment of the Articles of Association,
2. issue of convertible bonds and bonds with the priority right to acquire shares.
3. sale of the Company’s enterprise or its organized entity,
4. reduction of the initial capital,
5. cancellation of the shares with the provision that, if at least one half of the initial capital is represented on the General Assembly, an ordinary majority of votes is sufficient to adopt a resolution,
6. merger with another company with the provision that a required majority constitutes at least one half of the initial capital,
7. dissolution of the Company.
26.3 Resolutions amending the Articles of Association in the scope of increasing benefits of the shareholders or diminishing the rights granted individually to the particular shareholders, require an approval of all the shareholders concerned.
26.4 Amendment of the objects of the Company’s enterprise may be proceeded without the repurchase of the shares, if a resolution is adopted by a majority of 2/3 of votes, upon presence of the persons representing at least one half of the initial capital.
26.5 A person who held or holds a position of a member of the Supervisory Board or the Board of Directors may be granted by the General Assembly a reimbursement of expenses or compensation coverage, which this person may be obliged to pay to the third party, as a result of the obligations arisen in relation to the position held by this person, if this person acted in good faith and in such a manner, that, in the light of the circumstances and in a justified conviction of this person, was in the Company’s best interest.
Article No. 27
27.1 Voting at the General Assembly shall be open. Secret ballots shall be ordered at the elections and by the applications to remove the members of the authorities or liquidators of the Company or to call them to account and in private matters.
27.2 Resolutions on amendment of Company’s activity shall be adopted by roll-call open voting.
Article No. 28
28.1 The General Assembly shall be opened by the Chairman of the Supervisory Board or a person indicated by the Chairman, after which a chairman of the Assembly is elected from among the authorized persons.
28.2 The General Assembly shall adopt its Regulations.
V. ECONOMY OF THE COMPANY
Article No. 29
Organization of the Company shall be stipulated by the organizational regulations adopted by the Board of Directions.
Article No. 30
Financial year of the Company shall be regarded as a calendar year.
Article No. 31
31.1 Preparation of a financial report by the Board of Directors and its verification by an expert auditor shall be carried out within 3 months after the end of the financial year.
31.2 The Board of Directors shall be obliged to submit to the Supervisory Board a financial report and the Board’s report on the Company’s activity for the past financial year for assessment.
31.3 A copy of the Board’s report on the Company’s activity and financial report together with a copy of the report of the Supervisory Board and an expert auditor opinion shall be issued on the shareholder’s request not later than 15 days prior to the General Assembly meeting.
Article No. 32
32.1 The General Assembly of the Shareholders is empowered to make a decision on the distribution of the net profit of the Company.
32.2 The General Assembly of the Shareholders may exclude a whole or a part of the profit from the distribution and leave it at the Company for the purpose of existing capital or capital established on this occasion.
32.3 Net profit of the Company, allocated for the distribution among the shareholders, shall be divided proportionally to the owned shares.
32.4 A date of dividend payment and a date of determining the right to receive a dividend shall be adopted by the General Assembly resolution on allotment of annual profit for distribution among the shareholders.
VI. FINAL PROVISIONS
Article No. 33
33.1 Announcements required by law shall be published in “Monitor Sądowy i Gospodarczy”, “Monitor Polski B”, other announcements shall be published in a daily newspaper “Rzeczpospolita” or another daily newspaper available nationally.
33.2 Announcements of the Company shall be also displayed at the Company’s registered office in places available to all shareholders and employees.
