Le Comité Valorisation de XXXX Group est l'un des éléments de gouvernance, de gestion et de contrôle du dispositif de valorisation des portefeuilles gérés par le pôle gestion d'actif.
Le Comité Valorisation est une émanation du Comité Risques et Compliance auquel il rapporte, pour validation, les résultats de ses travaux.
I. ORGANISATION
1.1/ OBJECTIFS DU COMITE
Les objectifs du Comité sont de définir la Politique de Valorisation (Pricing Policy) applicable à l'ensemble des portefeuilles gérés au sein du pôle XXXX Group, de revoir l'application de la Pricing Policy et de prendre les décisions nécessaires à la résolution des éventuelles exceptions détectées. Le périmètre couvert ainsi que les principaux thèmes traités sont précisés en paragraphe II ci-après.
1.2/ COMPOSITION ET REGLES DE DECISION
Composition du Comité :
Président : Le Directeur des Risques, RCPR de XXXX Group (ou un représentant dûment délégué)
Membres :
Le Directeur des Gestions Fondamentales (ou un représentant dûment délégué)
Le Directeur des Gestions Spécialisées et Structurées (ou un représentant dûment délégué)
Le Directeur de la Conformité (ou un représentant dûment délégué)

Le Comité se réserve la possibilité d'inviter différents intervenants en fonction de l'ordre du jour.
Le Comité n'est valablement constitué que si son Président (ou son représentant dûment désigné) est présent.
Règle de décisions :
Les préconisations sont formulées par le Président du Comité sur avis de ses membres. Ces préconisations sont ensuite présentées pour validation au Comité des Risques et Compliance.
1.3/ PERIODICITE ET CALENDARISATION
Le Comité Valorisation se tient trimestriellement et ses sessions font l'objet d'une planification annuelle.
1.4/ FORMALISATION
Les dossiers supports de présentation et de décision doivent être complets et donner une image fidèle de l'application de la Pricing Policy, sous la responsabilité des entités qui les présentent et sous la supervision du Secrétaire du Comité. La préparation des supports des différents points à l'ordre du jour est assurée par les entités concernées, sous la coordination de la Direction des Risques. Une synthèse de l'ordre du jour précisant si les sujets sont présentés pour pré-validation ou information et décrivant les principaux éléments est communiquée avec le dossier.
La Direction des Risques émet un « avis risque » sur chaque point de l'ordre du jour présenté pour pré-validation.
Les procès-verbaux sont formalisés par le Secrétaire du Comité. Ils doivent permettre d'identifier rapidement les principales préconisations, constats et points sensibles relevés. Ces documents sont diffusés, après validation par le Président du Comité aux membres membres et participants.
Les procès-verbaux et dossiers de présentation sont archivés en format électronique par le Secrétaire du Comité.
II. PERIMETRE ET THEMES TRAITES
Le périmètre couvert par le Comité est l'ensemble des entités de XXXX Group, en France et à l'étranger, utilisant la plateforme xxx.
Le Comité couvre plusieurs thèmes :
- Définition, application et aménagements de la Pricing Policy
- Pré-validation des pricers utilisés par XXXX Group
- Pré-validation des méthodologies appliquées dans le cadre des forçages de cours récurrents
- Cours forcés et cours anciens
Pricing Policy
Le Comité Valorisation est responsable de la définition et de l'application de la Pricing Policy applicable aux entités de XXXX Group utilisant la plateforme Decalog. On entend par Pricing Policy l'ensemble des règles (sources de prix, heures de récupération) régissant la valorisation des instruments, aussi bien dans l'outil de tenue de position de XXXX que dans les inventaires comptables de Fastnet.
Toute demande de modification de la Pricing Policy de XXXX Group ne peut émaner que de l'un des membres du présent Comité. Chacune de ces demandes doit être décrite de façon précise dans un dossier complet justifiant de l'intérêt pour XXXX Group d'aménager la Pricing Policy et accompagnée d'un Avis Risques.
Validation des pricers et des méthodologies
Le Comité Valorisation est responsable de la pré-validation des pricers utilisés par XXXX Group. Après cette pré-validation, le pricer est ensuite soumis à la validation du Comité des Risques et Compliance.
La validation des pricers est régie par la Procédure de Validation des pricers.
Validation des méthodologies appliquées dans le cadre des forçages de cours récurrents
Le Comité Valorisation est l'organe habilité à pré-valider les méthodologies appliquées dans le cadre des forçages de cours récurrents. Une fois ces méthodologies validées par le Comité des Risques et Compliance, elles sont appelées à devenir la norme en termes de Pricing Policy.
Cours forcés et cours anciens
La Direction de la Conformité présentera à chaque Comité Valorisation un reporting récapitulant les cours forcés sur la période et la bonne application de la Procédure Cours Forcés.
Les statistiques sur les cours anciens seront présentées à chaque Comité par le valorisateur. Le Comité Valorisation veillera, dans la limite de ses moyens, en liaison avec la Gestion et la Direction de la Conformité dans le cadre de la Procédure Cours Forcés, à la mise à jour de ces cours anciens.

The Valuation Committee of XXXX Group is one of the governance elements for the management and control of the valuation machinery of portfolios managed by the asset management department.
The Valuation Committee is an offshoot of the Risk Compliance Committee, to which it reports for validation the results of its activities.
I. ORGANISATION
1.1/ AIMS OF THE COMMITTEE
The aims of the Committee are to define the Pricing Policy applicable to the whole of the portfolios managed within the offices of XXXX Group, to revue the application of the Pricing Policy and to take the necessary decisions for the resolution of potential exceptions detected. The scope as well as principal topics covered are specified in paragraph II hereinafter.

Decision rules:
The recommendations are formulated by the President of the Committee on the advice of its members. These recommendations are then presented for validation to the Risk and Compliance Committee.
1.3/ FREQUENCY AND SCHEDULING
The Valuation Committee is held quarterly and its sessions are the object of annual planning.
1.4/ RATIFICATION
Supporting documentation for presentation and decision must be complete and must provide a faithful representation of the application of the Pricing Policy, under the responsibility of the entities presenting them and under the supervision of the Committee Secretary. The preparation of supporting documentation for various points of the agenda is ensured by the entities concerned, under the coordination of Risk Management. A summary of the agenda specifying if the topics are presented for pre-validation or information and describing principal elements is appended to the file.
Risk Management issues a "legal recommendation" on each point of the agenda presented for pre-validation.
These statements are ratified by the Secretary of the Committee. They must allow the rapid identification of the principal recommendations, observations and sensitive points raised. These documents are disseminated, following validation by the Committee's President, to the members and parties involved.
These statements and presentation files are archived in electronic format by the Secretary of the Committee.
II. SCOPE AND TOPICS COVERED
The scope covered by the Committee is the totality of XXXX Group entities, both in France and abroad, with the use of the xxx platform.
The Committee covers several topics:
- Definition, application and development of the Pricing Policy
- Pre-validation of pricers used by XXXX Group
- Pre-validation of procedures applied in the context of recurring forced prices
- Forced prices and old prices
Pricing Policy
The Valuation Committee is responsible for the definition and application of the applicable Pricing Policy to the entities of XXXX Group with the use of the Decalog platform. By Pricing Policy is meant the totality of regulations (sources of prices, recovery time) governing the valuation of instruments, in the position-keeping tool of XXXX as in the Fastnet accounting inventories.
Any request for the modification of XXXX Group's pricing policy can only originate from one of the members of the current Committee. Each of these requests must be layer out precisely in a complete file justifying XXXX Group's interests in adjusting the Pricing Policy, accompanied with a Risk Recommendation.
Validation of pricers and procedures
The Valuation Committee is responsible for the pre-validation of pricers used by XXXX Group. Following this pre-validation, the pricer is then submitted to the Risk and Compliance Committee for validation.
The validation of pricers is governed by the Validation Procedure for Pricers.
Validation of procedures applicable to the case of recurring forced prices
The Valuation Committee is the body authorised to pre-validate the procedures applied in the case of recurring forced prices. Once these procedures are validated by the Risk and Compliance Committee, they become the standards in terms of Pricing Policy.
Forced prices and old prices
Compliance Management will present at each Valuation Committee a report summarising forced prices on the period and the correct application of the Forced Prices Procedure.
The statistics on old prices will be presented at each Committee by the appraiser. The Valuation Committee will ensure the update of these old prices within the scope of its means and in coordination with Management and Compliance Management in the framework of the Forced Prices Procedure.
