Translation - English In accordance with the resolution of the shareholders’ assembly dated 11.08.2009 and numbered 25 of the aforementioned company’s administrative board, which states that;
Before the natural and legal persons from both inside the borders of the Turkish Republic and in foreign countries, all the state offices, all the state institutions and organizations, municipal authorities, military authorities, all the banks which operate both inside the borders of the Turkish Republic and outside the borders of the Turkish Republic, custom administration of the Turkish Republic and custom administration of other countries, company shareholder ... and ..., each of them individually, are entitled by themselves to represent and bind before all natural and legal persons, to commit and involve, to prepare and undersign bonds, letters of exchange, check and bills of exchange on behalf of the company, to give these financial assets to any person, whom he chooses, to withdraw money transferred on behalf of our company to the banks both inside the borders of the Turkish Republic and outside of it, to open accounts on behalf of our company, to withdraw money from these accounts, to close these accounts, to make necessary applications on behalf of the company, withdraw money at any times, at any amount from the credits that are opened or shall be opened, to receive the money transfer on behalf of the company, to contract and dissolve all kinds of credit agreements at the banks, to be guarantor for any person whom he chooses, to pledge security, to accept the checks that are given on behalf of the company, to undersign commitment letters, to buy and sell movable assets, to buy and sell, pledge as security and hypothecate all kinds of funds, treasury bills, bank funds, all sorts of floater, to buy and sell all kinds of real estate - with dividend or without dividend - both still registered to the company and to be bought both inside the borders of the Turkish Republic and outside the borders of the Turkish Republic, to establish a lien, to cancel a lien as a debtor or a creditor, to submit and accept all sorts of waiver of ownership rights, to accept and implicate the real estate in the company assets as capital in kind, to accept declaration and submit a motion, to remove the real estate, which is accepted as capital in kind, from the company asset, to sell the said real estate, to submit a required motion and to accept required declaration at the land registry office, to perform and finalise from beginning to end all required procedures for real estate at the land registry office, ministry of finance, tax office and municipal authorities, all required procedures for public works and settlement at all required authorities through all means, to buy and sell vehicles, to attend any kind of biddings, to perform required activities for the biddings from beginning to end and to finalise, to buy shares from any company at any proportion, to establish partnerships, to appoint and dismiss deputy or deputies on behalf of the company for delivery and receipt, collect and receive, compromise and release, to represent and bind the company on all businesses and procedures which are within the company’s objectives and business fields by individually signing under the company’s signature specimen both inside the borders of the Turkish Republic and outside the borders of the Turkish Republic;
