Source text - English Contracting parties who wish to have the possibility of resorting to ICC Arbitration in the event of a dispute with their contracting partner should specifically and clearly agree upon ICC Arbitration in their contract or, in the event that no single contractual document exists, in the exchange of correspondence which constitutes the agreement between them. The fact of incorporating one or more clauses in a contract or the related correspondence does NOT by itself constitute an agreement to have resort to ICC Arbitration.

The Company is a legal business entity, owns separate property and is liable for all its obligations with all its property, may on its own behalf make transactions, acquire and exercise property and personal non-property rights, sue and be sued in court of law or arbitration.
The participant's failure to make a contribution to the charter capital within the period stipulated hereby shall be deemed a unilateral repudiation of the agreement by the participant, in which case the agreement shall be deemed terminated with respect to such participant as of the moment the obligation to make the contribution to the charter capital becomes overdue.

Translation - Russian Договаривающиеся стороны, желающие иметь возможность обратиться в Арбитраж Международной торговой палаты в случае возникновения разногласий между сторонами договора, должны в договоре четко и ясно выразить свое согласие о возможности обращения в Арбитраж Международной торговой палаты, или, в случае отсутствия единого договорного документа, выразить свое согласие в переписке, которая подтверждает наличие между ними данной договоренности. Сам по себе факт включения одного или нескольких положений в договор или соответствующую корреспонденцию НЕ представляет собой договоренности о возможности обратиться в Арбитраж Международной торговой палаты.

Невнесение участником вклада в уставный капитал в предусмотренные настоящим договором сроки признается односторонним отказом участника от исполнения договора, при котором договор считается расторгнутым в отношении этого участника в момент просрочки исполнения обязательства по внесению вклада в уставный капитал.
Уставный капитал общества определяет минимальный размер имущества общества, гарантирующего интересы его кредиторов.
