This Agreement is made and entered into on ______________ by and between
NV BEKAERT SA, a company incorporated under the laws of Belgium and having its registered office at Bekaertstraat 2, 8550 Zwevegem, Belgium ("Bekaert")
and
________________________, a company incorporated under the laws of ______________ and having its registered office at ______________ (the “User")
it has been agreed as follows:
Article 1. - Loan for Use.
The purpose of this Agreement is for Bekaert to loan for gratuitous use to the User a dosing apparatus for the automatic introduction of Dramix® metal fibres for concrete reinforcement (the “Products”) in a ready-mix concrete plant (such apparatus being hereinafter referred to as the “Equipment”).
Article 2. - General Description of the Equipment.
The Equipment is intended for storage of Products packaged in big bags, weighing a certain quantity of them and depositing them in the aggregate skip or on the aggregate conveyor either directly or via a conveyor belt.
The Equipment has to be installed at the location at which the concrete is manufactured. The Equipment operates on the principle of vibration. The container and its contents are driven by two motors. The Products are weighed when they leave the container and are fed directly onto the conveyor belt.
The weight of the amount discharged onto the belt is controlled by computer on the basis of a negative weighing operation. The unit comprising the container and its contents (excluding the conveyor belt or the skip hoist) is weighed by electronic cells. Measurement of each batch is undertaken continuously as from 0 kg of fibres. The speed of delivery is adjustable from 0 to 100 %, dependent on the desired output and degree of precision.
Each weighing cycle is controlled by the plant manager via the central control computer of the ready-mix concrete plant.
Article 3. - Description of the Equipment.
a) hopper mounted on an independent weighing device;
b) direct supply of the conveyor belt or the skip hoist;
c) suitable for the supply of Products in chip form;
d) dosing apparatus brand and type.
Article 4. Reception and Installation of the Equipment
The Equipment is made available in Belgium to the User. All costs (e.g. transport, import and customs duties, port handling, etc.) from Belgium to the site and from the site back to Belgium will be borne by the User. The User has to take all necessary measures for preparation of the site for installation of the Equipment, including all electrical connection, assemble it and start it up. All cost for installation and running of the Equipment will be borne by the User. Bekaert provides the necessary technical documentation and description of start-up procedures in English. Bekaert’s local representative will provide assistance where and when required. If assistance for the Equipment is required by the supplier of the Equipment, travel and accommodation cost will be borne by the User.
The Equipment will be installed in a covered location and well protected from the elements and other sources of abnormal wear and damage. The control Equipment and the Products must neither be used or stored where they are exposed to the rain.
Article 5. Proprietary rights
Bekaert is and remains the owner of the Equipment.
The User undertakes to take any measures, necessary to protect the proprietary rights of Bekaert on the Equipment or to inform third parties about these rights on the Equipment.
The User undertakes not to mortgage, lend or sublet the Equipment to third parties, nor to restrict in any other way Bekaert’s proprietary rights upon the Equipment.
In the event that the User is subject to judicial recovery proceedings, liquidation or bankruptcy, Bekaert has the right to take the Equipment back without notice. The User hereby authorizes the representatives of Bekaert to enter upon the User’s premises where the Equipment is located for the purpose of repossessing the Equipment.
Article 6. Liability
The Equipment is in good condition. It has been carefully inspected and tested. Bekaert may not be held responsible for stoppage of the works as a result of breakdowns or problems which did not manifest themselves during commissioning.
The Equipment has a present value of € ....... (.... Euro), without VAT.
The risk with respect to the Equipment shall be transferred to the User upon delivery at the User’s premises. The User expressly undertakes to insure the Equipment against theft, destruction and any damage of whatever nature, for the present value of the Equipment as stipulated above.
Bekaert’s liability for direct damages is limited to the amount of the Equipment. Bekaert shall have no liability for any indirect or consequential loss or damage including loss of profit, loss of production, loss of revenue or loss of contracts.
Article 7. – Maintenance.
During the term of this Agreement, the User shall take care of the maintenance and good operation of the Equipment in accordance with the instructions as detailed in the maintenance manual, of which a copy is given to the User. Maintenance and repair costs shall be for the account of the User. Bekaert reserves the right to inspect the Equipment without notice.
Article 6. – Loading.
The hopper is to be fed with Products packaged in 1000-1100 kg big-bags.
Article 7. - Value of the Equipment.
The Equipment is in good condition and has a value of € 26.940,00 (twenty-six thousand nignhundred forty EUR) net of VAT. The User undertakes to insure it at its own expense for its replacement value.
Article 8. - Drawing.
A drawing of the Equipment is attached as Appendix 1 to this Agreement.
Article 9. - Insurance Policies.
As soon as it receives the Equipment, the User has to accept all liability arising from its use of the Equipment. To this end, it has to arrange all necessary insurance policies. It has to use the Equipment subject to strict compliance with the manufacturer’s regulations and has to return it to Bekaert in good condition.
Article 10. - General Clauses.
10.1. The User undertakes only to use the Equipment with Dramix® metal fibres, to the exclusion of any other type of fibres whatsoever.
10.2. The Equipment is made available for a total tonnage of minimum ______ tons of Products free of charge to the User by Bekaert by way of a loan for the site ____________.
10.3. The Equipment will remain the full and entire ownership of Bekaert for the full term of this Agreement. In the event that the User is the subject of judicial recovery proceedings, composition, liquidation or bankruptcy, Bekaert is expressly authorised to recover possession of the Equipment deposited with the User, since it has never been owned by the User.
10.4. The User expressly undertakes to insure the Equipment for its replacement value against theft, destruction and any damage of whatever nature, for the amount mentioned in Article 7 above.
10.5. Upon the expiration or termination of this Agreement, the User undertakes to return the Equipment to Bekaert serviced and in perfect working order, and to load and return it by lorry and ship (container) at its own expense.
10.6. The Equipment made available to the User by Bekaert has been previously carefully inspected and tested. Bekaert may not be held responsible for stoppage of the works as a result of breakdowns or problems which did not manifest themselves during commissioning.
10.7. The Equipment is made available in Belgium to the User. All costs (e.g. transport, import and customs duties, port handling, etc.) from Belgium to the site and from the site back to Belgium will be borne by the User.
10.8. The term of this Agreement shall commence on ____________ and shall expire on ____________.
Any extension of the term may be requested by the User by dispatch of a registered letter addressed to Bekaert (for the attention of Mr Christophe Cortinovis) at least 2 (two) months before the expiration date of ____________, without Bekaert being able to guarantee its consent thereto.
10.9. In the event that the User shall breach or fail to comply with the provisions of this Agreement, (including not reaching the minimum volume mentioned in 10.2.) and such default shall continue for a period of 30 (thirty) days after giving written notice thereof by Bekaert to the User, specifying the default, Bekaert shall be entitled to terminate this Agreement and to take the Equipment back without any further notice. The User hereby authorizes Bekaert to enter upon its premises where the Equipment is located for the purpose of repossessing the Equipment.
10.10. This Agreement shall be governed by the laws of the country in which the User has its registered office.
10.11. All disputes between the parties concerning the validity, the interpretation or the performance of this Agreement, and which the parties have not been able to settle in an amicable way, shall be settled by the courts having jurisdiction over the User.
10.12. Bekaert cannot be held responsible for accidents and secondary consequences that might occur during the set-up and the use of the Equipment.
10.13. The User will make a transfer to Bekaert within 30 (thirty) days after signing the contract, for a total amount of € 2.500,00 (two thousand five hundred EUR), constituting in this way a warranty deposit. The sum will reimbursed after restitution of the Equipment in good condition.
In witness whereof, the parties have executed this Agreement in two original copies, on the day and year first above written, each party acknowledging receipt of one original copy.

Translation - Spanish Contrato de comodato de dispositivos dosificadores de introducción automática de Fibras Metálicas Dramix®
El presente contrato ha sido firmado el______________ , entre
NV BEKAERT SA, una sociedad constituida con arreglo a la legislación belga y con domicilio social en Bekaertstraat 2, 8550 Zwevegem, Bélgica ("Bekaert")
y
________________________, una sociedad constituida con arreglo a la legislación _________________ y con domicilio social en _____________ (el “Comodatario”)
quienes han acordado lo siguiente:
Artículo 1. – Contrato de Comodato.
El objetivo del presente Contrato de Comodato consiste en la cesión por parte de Bekaert al comodatario de dispositivos dosificadores de introducción automática de fibras metálicas Dramix® para el refuerzo del hormigón (los "Productos") en una fábrica de hormigón premezclado (dispositivos denominados en lo sucesivo el "Equipo").
Artículo 2. – Descripción general del Equipo.
El Equipo está previsto para el almacenaje de los Productos empaquetados en grandes bolsas, pesando una cierta cantidad de ellos y depositándolos en el contenedor o el transportador de hormigón, tanto directamente como por medio de una cinta transportadora.
El Equipo deberá instalarse en el emplazamiento donde se fabrique el hormigón. El Equipo funciona mediante el principio de la vibración. El contenedor y su contenido son transportados con dos motores. Los Productos son pesados cuando salen del contenedor y se depositan directamente en la cinta transportadora.
El peso de la cantidad descargada en la cinta se controla por ordenador en base a una operación de pesaje negativo. La unidad compuesta por el contenedor y su contenido (sin la cinta transportadora o el carro de carga) se pesa con células electrónicas. La medición de cada lote se lleva a cabo de forma continuada desde los 0 Kg de fibras. La velocidad del suministro se gradúa del 0% al 100%, dependiendo del rendimiento deseado y del grado de precisión.
Cada ciclo de pesaje es controlado por el director de la fábrica por medio del ordenador central de control de la fábrica de hormigón premezclado.
Artículo 3. – Descripción del Equipo.
a) tolva montada sobre un dispositivo de pesaje independiente;
b) suministro directo de la cinta transportadora o del carro de carga;
c) indicado para el suministro de Productos en forma de viruta;
d) marca y tipo del dispositivo dosificador.
Artículo 4. Recepción e instalación del Equipo
El Equipo está a disposición del Comodatario en Bélgica. Todos los gastos (ej. transporte, aranceles aduaneros y de importación, manipulación portuaria, etc.) que se generen desde Bélgica hasta el emplazamiento o de regreso desde el emplazamiento hasta Bélgica correrán a cargo del Comodatario. El Comodatario deberá llevar a cabo todos los preparativos necesarios en el emplazamiento para la instalación del Equipo, incluidas todas las conexiones eléctricas, su montaje y su puesta en marcha. Todos los gastos de instalación y funcionamiento del Equipo correrán a cargo del Comodatario. Bekaert proporcionará la documentación e información técnica necesaria en inglés para la puesta en marcha. El representante local de Bekaert prestará asistencia dónde y cuándo fuera necesaria. Si fuera necesaria la ayuda del proveedor del Equipo, los gastos de viaje y alojamiento correrán a cargo del Comodatario.
El Equipo se instalará en un emplazamiento cubierto y bien protegido de las inclemencias meteorológicas y otras formas de desgaste y daños anómalos. El Equipo de control y los Productos no deberán utilizarse ni almacenarse en lugares expuestos a la lluvia.
Artículo 5. Derechos de propiedad
Bekaert es y seguirá siendo el propietario del Equipo.
El Comodatario se comprometerá a adoptar cualquier medida necesaria para proteger los derechos de propiedad de Bekaert sobre el Equipo o para informar a terceros sobre estos derechos.
El Comodatario se comprometerá a no hipotecar, prestar o subarrendar el Equipo a terceros, ni a restringir de ninguna otra forma los derechos de propiedad de Bekaert sobre el Equipo.
En el caso de que el Comodatario estuviera sujeto a procedimientos judiciales de cobro, liquidación o quiebra, Bekaert tendrá derecho a recuperar el equipo sin previo aviso. Por la presente, el Comodatario autoriza a los representantes de Bekaert a entrar en las instalaciones del Comodatario donde esté ubicado el Equipo con el propósito de recuperarlo.
Artículo 6. Responsabilidad
El Equipo se encuentra en buen estado. Ha sido inspeccionado y probado cuidadosamente. Bekaert no será responsable de interrupciones en la producción debidas a averías o problemas que no hayan sido detectados durante la puesta en marcha.
El Equipo tiene un valor actual de…….. € (…. Euros), IVA no incluido.
El Comodatario adquirirá el compromiso que conlleva el Equipo una vez que sea entregado en las instalaciones del Comodatario. El Comodatario se comprometerá expresamente a garantizar el Equipo contra robos, destrozos o cualquier daño con independencia de su naturaleza, y ello por el valor actual del Equipo estipulado anteriormente.
La responsabilidad de Bekaert por daños directos queda limitada al importe del Equipo. Bekaert no será responsable de ninguna pérdida o daño, indirecto o resultante, incluido el lucro cesante, la pérdida de producción, la pérdida de ingresos o la pérdida de contratos.
Artículo 7. – Mantenimiento.
Durante el período de validez del presente Contrato, el Comodatario se hará cargo del mantenimiento y del funcionamiento correcto del Equipo de acuerdo a las instrucciones que se detallan en el manual de mantenimiento, del que se ha entregado una copia al Comodatario. Los gastos de mantenimiento y reparación correrán a cargo del Comodatario. Bekaert se reservará el derecho a inspeccionar el equipo sin previo aviso.
Artículo 6. – Carga.
La tolva se carga con los Productos empaquetados en bolsas grandes de 1000-1.100 Kg.
Artículo 7. – Valor del Equipo.
El Equipo se encuentra en buen estado y está valorado en 26.940,00 € (veintiséis mil novecientos cuarenta EUROS) IVA no incluido. El Comodatario se comprometerá a asegurarlo por su valor de sustitución, corriendo éste con los gastos.
Artículo 8. – Planos.
Se adjunta un plano del Equipo como Anexo 1 del presente Contrato.
Artículo 9. – Pólizas de Seguros.
En el momento de recibir el Equipo, el Comodatario aceptará toda responsabilidad que pudiera derivarse a raíz del uso del Equipo. Con este fin, dispondrá de todas las pólizas de seguros necesarias. El Comodatario utilizará el Equipo de rigurosa conformidad con el reglamento del fabricante y lo devolverá a Bekaert en buen estado.
Artículo 10. – Cláusulas Generales.
10.1. El Comodatario se comprometerá a utilizar el Equipo sólo con fibras metálicas Dramix®, excluyendo absolutamente cualquier otro tipo de fibras.
10.2. El Equipo está disponible para un tonelaje mínimo total de ______ toneladas de Productos Bekaert libres de cargas para el Comodatario, a modo de préstamo para el emplazamiento de ___________.
10.3. El Equipo pertenecerá será propiedad total y completa de Bekaert al término del presente Contrato. En el caso de que el Comodatario estuviera sujeto a procedimientos judiciales de cobro, composición, liquidación o quiebra, Bekaert estará autorizada expresamente a recuperar la posesión del equipo prestado al Comodatario, ya que nunca ha pertenecido a éste último.
10.4. El Comodatario se comprometerá expresamente a asegurar el Equipo por su valor de sustitución frente a robos, destrozos o cualquier daño, con independencia de su naturaleza, por el importe mencionado en el Artículo 7.
10.5. Al término o tras la finalización del presente Contrato, el Comodatario se comprometerá a devolver el Equipo a Bekaert en servicio y en perfecto funcionamiento, y a cargarlo y devolverlo en camión y barco (contenedor) asumiendo los gastos.
10.6. El Equipo que Bekaert pone a disposición del Comodatario ha sido inspeccionado y probado cuidadosamente con antelación. Bekaert no será responsable de interrupciones en la producción debidas a averías o problemas que no hayan sido detectados durante la puesta en marcha.
10.7. El Equipo está a disposición del Comodatario en Bélgica. Todos los gastos (ej. transporte, aranceles aduaneros y de importación, manipulación portuaria, etc.) que se generen desde Bélgica hasta el emplazamiento o de regreso desde el emplazamiento hasta Bélgica correrán a cargo del Comodatario.
10.8. Los términos del presente Contrato entrarán en vigor el ____________ y terminarán el____________.
Cualquier ampliación de los presentes términos deberá ser solicitada por el Comodatario a través de una carta certificada a la dirección de Bekaert (a la atención del Sr. Christophe Cortinovis), al menos 2 (dos) meses antes de la fecha de conclusión _____________, sin la garantía de que Bekaert acceda a ella.
10.9. En el caso de que el Comodatario incumpliera las disposiciones del presente Contrato, (incluyendo el hecho de no alcanzar el volumen mínimo mencionado en el punto 10.2.) y cuando dicho incumplimiento se siguiera produciendo durante un periodo de 30 (treinta) días tras el envío por parte de Bekaert de una notificación por escrito del mismo al Comodatario en la que se especifique dicha omisión, Bekaert tendrá derecho a poner fin al presente Contrato y a retirar el Equipo sin efectuar ningún otro aviso. Por la presente, el Comodatario autoriza a Bekaert a entrar en sus instalaciones y donde esté ubicado el Equipo con el propósito de recuperarlo.
10.10. El presente Contrato se regirá por las leyes nacionales del país en el que el Comodatario tenga su domicilio social.
10.11. Cualquier conflicto derivado entre las partes en lo concerniente a la validez, la interpretación o la ejecución del presente Contrato, y aquel en el que las partes no sean capaces de llegar a un acuerdo de forma amistosa, éste se resolverá vía judicial donde tenga jurisdicción el Comodatario.
10.12. Bekaert no podrá ser considerado responsable de los accidentes y de sus consecuencias derivadas que pudieran producirse durante la puesta en funcionamiento y la utilización del Equipo.
10.13. El Comodatario hará una transferencia a Bekaert dentro de los 30 (treinta) días siguientes a la firma del Contrato, por un importe total de 2.500,00 € (dos mil quinientos EUROS), en concepto de depósito de garantía. Esta cantidad será reembolsada tras la devolución en buen estado del Equipo.
En fe de lo cual, las partes han firmado el presente Contrato en dos copias originales, en el año y la fecha que encabezan las presentes, y cada parte dará acuse de recibo de una copia original.
