Termination Agreement
Between
COMPANY ABC
holding NIF XXX
hereinafter called "COMPANY ABC"
and
COMPANY XYZ
holding NIF XXX
hereinafter called "COMPANY XYZ"
jointly referred to as the "Parties".
WHEREAS
I. On July 19, 2011, COMPANY ABC and COMPANY XYZ entered into a service agreement (the "Service Agreement"). The Services to be supplied by COMPANY XYZ to COMPANY ABC are defined in the Service Agreement.
II. By a letter dated October 20, 2011, COMPANY ABC gave notice to terminate the Service Agreement with effect as of January 31, 2012 (the "Expiration Date").
III. The Parties wish to settle the rendering of Services until Expiration Date, the remuneration until the Expiration Date and the payment of a compensation fee, by entering into the following agreement (the "Termination Agreement").
1. Expiration of the Service Agreement
The Parties are in agreement that the Service Agreement has expired on Expiration Date, 11:59 p.m.
2. No Further Provision of Services
The Parties agree that no services were provided by COMPANY XYZ after the Expiration Date.
3. Payment
3.1 COMPANY ABC acknowledges that COMPANY XYZ is entitled to payments for the Services provided until Expiration Date in the amount of 1.166.520, 7 4 € incl. VAT (in words: one million one hundred sixty-six thousand five hundred twenty euro and seventy four cent) (hereinafter referred to as the "Payments")

COMPANY XYZ acknowledges that COMPANY ABC is entitled to a payment for the office rental deposit refund in the amount of 5.400,00 € including VAT (in words: five thousand four hundred euro only)

COMPANY ABC shall pay the Payments minus the gross amount due by COMPANY XYZ for the office rental deposit refund which amounts to 1.161 .120, 7 4 € incl. VAT (in words: one million one hundred sixty-one thousand one hundred twenty euro and seventy four cent) (hereinafter referred to as "Final Payment") within fifteen (15) days after the Termination Agreement has become effective.
3.2 The Parties agree that the Final Payment is the full and final compensation for the
Services provided by COMPANY XYZ.
3.3 COMPANY XYZ explicitly agrees to waive any further rights to a compensation fee pursuant to clause 8.4 and 8.5 of the Service Agreement.
4. Settlement of Claims
COMPANY ABC and COMPANY XYZ agree that upon payment of the Final Payment, all reciprocal Claims between the Parties in relation to or under the Service Agreement, regardless of the legal and contractual basis of the claims, be the claims known or unknown, shall be finally settled.
5. Miscellaneous Provisions
5.1 The Termination Agreement shall be governed by Spanish law.
5.2 The Termination Agreement shall become effective on the date of the signature.
5.3 No amendments, changes, alterations or modifications to the Termination Agreement shall be valid unless agreed upon in writing and signed by both Parties.
5.4 lf any term or condition of the Termination Agreement is null and void or will become null and void during its course, then the validity and effectiveness of all other terms and conditions shall not be impaired thereby. All terms and conditions are separable.
5.5 Each Party has received an executed copy.

ACUERDO DE RESOLUCIÓN DEL CONTRATO DE PRESTACIÓN DE SERVICIOS
Entre
la entidad ABC,
con N.I.F. XXX,
en adelante "ABC"
y
la entidad XYZ,
con N.I.F. XXX,
en adelante "XYZ",
ambas denominadas, en lo sucesivo y conjuntamente, las PARTES.
EXPONEN
I. Que el 19 de julio de 2011, ABC y XYZ acordaron la celebración de un contrato de prestación de servicios (en adelante el CONTRATO DE PRESTACIÓN DE SERVICIOS). Los servicios prestados por XYZ a ABC son los que se definen en el CONTRATO DE PRESTACIÓN DE SERVICIOS.
II. Que mediante escrito con fecha de 20 de octubre de 2011, ABC rescindió el CONTRATO DE PRESTACIÓN DE SERVICIOS, con efectos a partir del 31 de enero de 2012 (en adelante la FECHA DE RESOLUCIÓN DEL CONTRATO).
III. Que las PARTES acuerdan la prestación de los servicios hasta la FECHA DE RESOLUCIÓN DEL CONTRATO, así como la remuneración por los mismos y el pago de una indemnización mediante la celebración del siguiente acuerdo (en adelante el ACUERDO DE RESOLUCIÓN DEL CONTRATO DE PRESTACIÓN DE SERVICIOS).
1. FINALIZACIÓN DEL CONTRATO DE PRESTACIÓN DE SERVICIOS
Las PARTES reconocen y acuerdan que el CONTRATO DE PRESTACIÓN DE SERVICIOS finalizó a las 23:59 horas del día correspondiente a la FECHA DE RESOLUCIÓN DEL CONTRATO.
2. PRESTACIÓN DE LOS SERVICIOS CON POSTERIORIDAD A LA FECHA DE RESOLUCIÓN DEL CONTRATO
Las PARTES reconocen y acuerdan que XYZ no ha prestado servicios a ABC con posterioridad a la FECHA DE RESOLUCIÓN DEL CONTRATO.
3. REMUNERACIÓN
3.1 ABC reconoce que XYZ tiene derecho a percibir una contraprestación por los servicios prestados hasta la FECHA DE RESOLUCIÓN DEL CONTRATO por valor de 1.166.520,74 euros, incluido el correspondiente I.V.A. (en adelante la REMUNERACIÓN)

XYZ reconoce que ABC tiene derecho a percibir la cantidad de 5.400,00 euros, incluido el correspondiente I.V.A., en concepto de devolución de la fianza por el alquiler de una oficina.

ABC XYZ
ABC se hará cargo del pago de la REMUNERACIÓN una vez deducido el importe bruto de la deuda contraída por XYZ frente a ABC en concepto de devolución de la fianza por el alquiler de una oficina, cantidad que asciende a un total de 1.161.120,74 euros, incluido el correspondiente I.V.A., y pagadera dentro de los 15 días siguientes a la fecha de entrada en vigor del presente ACUERDO DE RESOLUCIÓN DEL CONTRATO DE PRESTACIÓN DE SERVICIOS.
3.2 Las PARTES acuerdan que el pago final corresponde a la suma total en concepto de indemnización por los servicios prestados por XYZ.
3.3 XYZ renuncia explicitamente a cualquier derecho a percibir una indemnización en los términos señalados en los apartados 8.4 y 8.5 del CONTRATO DE PRESTACIÓN DE SERVICIOS.
4. RESOLUCIÓN DE RECLAMACIONES
ABC y XYZ acuerdan dejar sin efectos, una vez satisfecho el pago de la REMUNERACIÓN, cualquier reclamación entre las PARTES con relación o sujeta a los derechos reconocidos en el CONTRATO DE PRESTACIÓN DE SERVICIOS, con independencia del fundamento legal o contractual de la reclamación, ya sea esta conocida o desconocida.
5. DISPOSICIONES ADICIONALES
5.1. El presente ACUERDO DE RESOLUCIÓN DEL CONTRATO DE PRESTACIÓN DE SERVICIOS se regirá por la legislación española.
5.2. El presente ACUERDO DE RESOLUCIÓN DEL CONTRATO DE PRESTACIÓN DE SERVICIOS entrará en vigor a partir de la fecha de su firma.
5.3 No serán válidas las correcciones, cambios, alteraciones o modificaciones realizadas al presente ACUERDO DE RESOLUCIÓN DEL CONTRATO DE PRESTACIÓN DE SERVICIOS sin la aceptación y firma de las PARTES.
5.4 La nulidad o invalidez de alguna de las cláusulas o condiciones del presente ACUERDO DE RESOLUCIÓN DEL CONTRATO DE PRESTACIÓN DE SERVICIOS en el momento de su celebración o durante la vigencia del mismo, no afectará a la validez y efectos legales de las demás cláusulas o condiciones. Todas las obligaciones derivadas del presente ACUERDO DE RESOLUCIÓN DEL CONTRATO DE PRESTACIÓN DE SERVICIOS se consideran divisibles.
5.5 Cada una de las partes ha recibido una copia firmada.
