English to Spanish: BALANCING PHYSICAL AND TACTICAL LOAD IN SOCCER: A HOLISTIC APPROACH General field: Other Detailed field: Sports / Fitness / Recreation
Source text - English AN ALL TIME CLASSIC QUESTION: How to achieve and manage the balance between physical and tactical training? Where does a fitness coach’s work end and where does the work of the football coach start? To begin with, training to enhance physical performance is an adaptive process that involves progressive manipulation of the physical load (Manzi et al, 2010), which is the sum of the fitness coach and football coach’s work. Monitoring training load is therefore essential (as all practitioners attest to), in managing the training ‘’dose’’ to ensure the desired improvements in performance are attained whilst minimizing the incidence of load related injuries (Akenhead & Nassis, 2016; Weston, 2018). Furthermore, in modern football, match analysis and technology provide coaches with important information on the physical, technical and tactical demands of the game, highlighting each player’s performance (Sarmento et al 2014; Rein & Memmet 2016).
Every action performed in the game includes a decision (tactical part), an action or motor skill (technical part) that requires a particular movement (physiological part) and is directed by volitional and emotional states (psychological part) (Delgado & Mendez-Villanueva, 2018). How well are we taking into account this information? How do we implement this in our daily training process?
English to Spanish: WAITING TIME ON DIALYSIS AS THE STRONGEST MODIFIABLE RISK FACTOR FOR RENAL TRANSPLANT OUTCOMES (A PAIRED DONOR KIDNEY ANALYSIS) General field: Medical Detailed field: Medical (general)
Source text - English Despite the worse outcomes after transplantation in patients who received transplants after prolonged times on dialysis, the survival advantage of transplantation over dialysis was
maintained even in the patients who had been on dialysis for more than 2 years. This suggests that whatever ongoing damage occurs to patients while they are on dialysis may be halted after transplantation. In fact, the relative long-term mortality benefit of transplantation over dialysis in this cohort of patients with ESRD times more than 2 years was similar to the survival benefit shown for the overall cohort of transplant recipients published by Wolfe et al. (7). The reason that an increased waiting time on dialysis is associated with decreased graft and patient survival can not be discerned from the data that we have presented. One possible explanation may be that, while dialysis is clearly a life-saving therapy, it is a less-than-perfect renal replacement modality and, thus, the longer patients wait on dialysis for a transplant the longer patients are exposed to the chronic effects of endstage renal failure and dialysis. It is well documented that patients on dialysis have alterations in the concentration of a number of substances (e.g., homocysteine, advanced glycosylation end products, and lipoproteins) that may predispose these patients to both cardiovascular and renal allograft vascular damages (10–16). In addition, the poor nutrition, chronic inflammatory state, altered immunologic function, and inadequate clearance that often accompanies patients with ESRD on dialysis (17, 18) may predispose these patients to poorer tolerance to the immunosuppressive agents after transplantation. Therefore, patients on long-term dialysis may be at a disadvantaged state when they finally receive their transplant.

"Exercise Window' means a period commencing two (2) business days following the Fair Value determination date (as described in Section 2.14), as of 8:00 a.m. Minneapolis time on such second (2nd) business day following the Fair Value determination date, and is scheduled to remain open for five (5) business days (including the business day it opens), closing as of 4:00
p.m. Minneapolis time on the final day, unless otherwise closed earlier at the sole discretion of the CEO and CFO. Notwithstanding the foregoing, at the sole discretion of the CEO and CFO, and for any reason, a different period, or no period, of time may be designated as the Exercise Window. In the event the CEO and CFO exercise their authority to change the Exercise Window, the normal Exercise Window will be considered to be a hypothetical Exercise Window for
purposes of certain Option exercises. In all events the Corporation will provide at least one Exercise Window per calendar year. For purposes hereof the term "business day'' means a day
on which the offices of the headquarters of the Corporation are open for regular business in the United States. Notwithstanding anything in the Plan to the contrary, the Corporation may conduct an appraisal for any reason at any time of any class of its stock without triggering an Exercise Window.
2.13. "Expiration Date" means 4 p.m. Minneapolis time on the last day of the Exercise Window or hypothetical exercise window (if the Exercise Window is not opened) immediately preceding the tenth (10th) anniversary of the Grant Date.
2.14. "Fair Value" means the fair market value of Management Stock, as most recently determined by an independent appraisal firm selected by the Corporation. It is intended that such determination of Fair Value be made as of the end of each Fiscal Quarter but in no event will it be made less than annually, and may be made more frequently.

(c) Notwithstanding any language in Section 2.17 (a) or (b), Improper Use of Confidential Information does not include:
(i) any disclosure, use or other act or omission that is expressly authorized in writing, in advance by the Corporation; or
(ii) any required disclosure of Confidential Information by law or legal process, if:
(A) the Participant provides prompt notice to the Corporation in writing, and prior to disclosing any Confidential Information, so that the Corporation may elect to seek an appropriate protective order to prevent disclosure at the
2.30. "Restrictions on Ownership" means the restrictions on holders of Management Stock as articulated in the Certificate, Management and Retiree Stock Summary, and resolutions of the Board of Directors, and specifically including the restrictions limiting the transfer, ownership, and number of shareholders entitled to hold shares of stock of the Corporation through the Participant if the Participant were then living. Whether an individual or an entity satisfies the requirements to hold shares of Management Stock shall be determined by the Corporation in its discretion.
2.31. "Retiree Stock'' means the cl ass of stock authorized by the Certificate and issued to an eligible Participant upon the Participant's Separation from Service.
2.32. "Separation from Service" or" Separate from Service" means a Participant's termination of employment with all Companies. For the purposes of this Plan, if a Participant transfers to a Related Entity that is not a Company, regardless of whether the transfer is voluntary or involuntary, the Participant will be treated as having a Separation from Service.
2.33. "Taxes" means any Federal, state, local, social insurance contributions, and any other taxes, required by law or regulation, or any hypothetical tax deemed applicable by the Corporation, as a result of a taxable event under the Plan. 2.34. "Termination for Cause" means the definition which is encompassed in Argentine labor law as amended from time to time.
2.35. "Vested Option" means an Option that meets the vesting requirements of Section 4.3.
3. Eligibility
Prior to each Grant Date, the Committee shall review recommendations for participation in the Plan. From these recommendations, the Committee shall, in its sole discretion, determine those individuals, if any, who will receive Options and become Participants. The employees eligible to receive Options will be selected from among those employees of the Company who will, in the absolute discretion of the Committee, contribute substantially to the progress and earning power of the Company; provided, however, Options shall not be granted to a person for whom on the Grant Date, the Corporation would not be considered an eligible issuer of service recipient stock in accordance with US Treasury Regulation
§1.409A-l(b)(5)(iii)(E).
4. Options-General Terms/Vesting
4.1. Options may be granted to one or more Participants in such number as shall be determined by the Committee. The grant of an Option shall not entitle a Participant to a subsequent grant of Options. Participants will be notified of the terms of their Option grant within a reasonably short period of time after the Grant Date.
4.2. Each Option shall be evidenced by an Option Agreement made available via the equity plan administration internet website, which references an award notification. The award notification shall specify the Option Price, the duration of the Option, the number of shares of Management Stock to which the Option pertains, the Grant Date, and such other provisions as the Committee shall determine, including the conditions for vesting.
4.3. Vesting
(a) In General. Subject to the forfeiture provisions in Section 5, Options shall vest (but not necessarily become exercisable as provided in Section 5), on a graded basis over a three-year period following their Grant Date according to the following schedule:
Years from Grant Date Total Percentage of Options in
Grant that are Vested*
From Grant Date until day prior to 1st anniversary of Grant Date 0%
From 1st anniversary of Grant Date until day prior to 2nd anniversary of Grant Date 33.33%
From 2nd anniversary of Grant Date until day prior to 3rd anniversary of Grant Date 66.67%
On or after 3rd anniversary of Grant Date 100%
*No fractional shares of Management Stock will be issued. Shares of Management Stock will be rounded down, if necessary, to the nearest whole share.
The date on which an Option vests shall be the applicable anniversary of the Grant Date (as set forth in the above schedule). A Participant shall not be given vesting credit for any year if he or she has had a Separation from Service before such applicable anniversary date.
(b) Notwithstanding anything to the contrary in this Section 4.3, Options shall become 100% vested upon:
(i) The Participant's Separation from Service due to the Participant's death
or Reduction in Force;
(ii) The Participant's Disability; or
(iii) The Participant's Separation from Service upon or atter attaining the age of sixty (60) except that any Option granted to such Participant in the calendar year of the Participant's Separation from Service shall not vest and will be forfeited unless the Participant remains in employment until December 31 of such year. (See Section 5 for when Options become exercisable.)
4.4. Options may be exercised only during the exercise periods described in Section 5 and in the manner set forth in Section 6 and only to the extent then vested.
4.5. All determinations of Fair Value shall be made by an independent appraisal firm hired by the Corporation and shall be final, conclusive and binding. It is intended that the independent appraisal shall be conducted each Fiscal Quarter but in no event will such appraisal be conducted less than annually, and may be conducted more frequently.
4.6. In no event will Option Gains or any payments made under the Plan be included in any Related Entity's statutorily provided severance benefit calculation or any benefit or payment of a similar type or character.
5. Exercise Period/ Forfeiture of Options
5.1. During Employment. Prior to the time a Participant Separates from Service, or incurs a Disability, and up until the Expiration Date, the Participant may exercise his or her Vested Options in accordance with Section 6.
5.2. Separation/Disability before Age 60
(a) If a Participant Separates from Service before attaining age sixty (60) for reasons other than death or a Reduction in Force, and such separation is not due to or following the Participant's Disability, the Participant shall forfeit all of his or her Options, whether then vested or unvested.
(b) If a Participant Separates from Service before attaining age sixty (60) due to death, a Reduction in Force, or if the Participant incurs a Disability prior to attaining age sixty (60), the Participant' s Options shall vest pursuant to Sech on 4.3(b), and the Participant (or the Participant' s Permitted Beneficiary as the case may be), shall have the right to exercise such Options during any Exercise Window during the period that (i) begins immediately following the death, Reduction in Force, or Disability, and (ii) ends on the earlier of (A) the Expiration Date or (B) the last day of the Exercise Window immediately following the second (2nd) anniversary of the date of death, Reduction in Force, or Disability. Notwithstanding the preceding sentence, if the Participant Separates from Service due to his or her death, in no event will an Option expire prior to the first anniversary of the Participant' s death.
5.3. Separation/Disability on or after Age 60. If a Participant Separates from Service or incurs a Disability on or after attaining age sixty (60) (including a Participant who met this age requirement at the time of his or her death, Reduction in Force, or Disability\ the Participant's Options shall vest pursuant to Section 4.3(b), and the Participant may exercise such Options during any Exercise Window during the period that (i) begins immediately following the date on which the Participant could have exercised the Option had he or she remained employed, and (ii) ends on the earlier of (A) the Expiration Date or (B) the last day of the Exercise Window
immediately following the fifth (5th) anniversary of the Participant's Separation from Service or Disability. Notwithstanding the preceding sentence, if the Participant Separates from Service due to his or her death, in no event will an Option expire prior to the first anniversary of the Participant's death.
5.4. Forfeiture. Notwithstanding anything in the Plan to the contrary:
(a) Except as otherwise provided in Sections 5.2(b), if a Participant has a Separation from Service before attaining age sixty (60), the Participant will immediately forfeit all of his or her Options, whether vested or unvested.
(b) As described in Section 2.32, if a Participant transfers employment to a Related Entity that is not a Company, the Participant will be considered to have a Separation from Service. Accordingly, if the transfer occurs before the Participant attains age 60 the Participant will forfeit all of his or her Options, whether then vested or unvested, unless an exception in Section 5.2(b) otherwise applies.
(c) If a Participant's Separation from Service with the Company is deemed a Termination for Cause, as determined in the Corporation's sole discretion, the Participant will immediately forfeit all of his or her Options, whether vested or unvested, and any shares not yet issued to him or her in connection with the exercise of an Option.
(d) It prior to a Participant' s Separation from Service or during the one-year period after the Participant's Separation from Service, regardless of the reason for such separation, the Participant directly or indirectly engages in Competitive Activity or Improper Use or Disclosure of Confidential Information, the Participant will immediately forfeit all of his or her Options, whether vested or unvested, any shares not yet issued to him or her in connection with the exercise of an Option, and any shares of Management Stock (or, if applicable, the cash equivalent at redemption of the shares) obtained pursuant to the Plan during the period that begins one year prior to the Competitive Activity or Disclosure of Confidential Information and ends one year following the Separation from Service.
(e) The limitation on the Participant's rights set forth m Section 5.4(d) are m addition to, and do not replace or supplant, any applicable restrictions, rights or remedies that relate to the Participant's use or disclosure of Confidential Information, or the Participant's post employment competitive activity or solicitation, regardless of whether such restrictions, rights or remedies arise under contract, agreement, statute or the common law of any state or country.
5.5. Clawback. Notwithstanding anything in the Plan to the contrary, the Participant's Options, or any Management Stock that has been issued or is due to be issued under an Option, shall be forfeited to the extent required under the Additional Forfeiture Restrictions and Clawback provisions set forth in the Option Agreement.
5.6. Committee Discretion. Under certain limited circumstances the Committee may, in its sole discretion, waive any of the forfeiture conditions described in Section 5.4 through written agreement or otherwise. In the event the Committee does so, or in the event an arbitrator or judge reinstates Options that have been forfeited, the Options to which the waiver or reinstatement applies shall be exercisable according to the terms and conditions set forth in the agreement or reinstatement order; provided, however, that in no event may an Option be exercised later than its Expiration Date.
6. Manner of Exercise/Terms of Payment/Holding Period
6.1. A Participant may exercise Vested Options granted under this Plan in whole or in part during any Exercise Window that occurs during an exercise period applicable to the Vested Option, as described in Section 5. In order to exercise, the Participant must either submit a request to exercise through the equity plan administration internet website specified by the Corporation, or provide a signed, written request of the exercise to the Corporation or its designated administrator (in either case, "a request''). The request shall constitute the Participant's binding agreement to pay the Option Price in compliance with the provisions of the Option Agreement. The date upon which the request is received by the Corporation or its designated administrator shall be deemed to be the exercise date for the Option and the date on which the binding agreement arises. The request must specify the Grant Date of the Option being exercised and the number of shares of Management Stock to be purchased pursuant to the Option.
6.2. Payment for shares of Management Stock purchased on exercise of an Option shall be made in full by one of the following exercise payment methods as elected by the Participant: (a) cash, in payment for the Option Price and applicable Taxes; (b) using previously acquired shares of Management Stock, which have been issued and outstanding for at 1east six (6) months (" Stock Swap") in payment for the Option Price and applicable Taxes; (c) using Management Stock acquired contemporaneously with the exercise of the Option ("Net Exercise") in payment for the Option Price and applicable Taxes; or (d) using Management Stock that has been held less than six (6) months in payment for the Option Price and applicable Taxes, but only if such Management Stock was not subject to a six-month hold at the time the shares of such stock were issued ("Stock Swap"). All such elections shall be irrevocable and shall be subject to any restrictions or limitations that the Committee, in its sole discretion, deems appropriate. The Corporation reserves the right to modify, add, or eliminate exercise payment methods, including rounding methodology, at any time.
6.3. Upon receipt of the request and the Corporation's determination that the request has been properly submitted, the Corporation shall issue to the Participant the number of shares specified by the Participant in the request. Notwithstanding anything in this Section 6 to the contrary:
(a) In the case of a Net Exercise, the number of shares issued to the Participant shall be determined by the Corporation in its sole discretion in accordance with the following formula:
(i) The number of shares subject to the Option that is exercised shall be multiplied by the Option Price;
(ii) The dollar value of the result in (i) shall be divided by the Fair Value of a share of Management Stock as of the exercise date to determine a number of shares. If the calculation produces a fractional share, such fractional share shall be ignored.
(iii) The dollar amount of any Taxes due in connection with the exercise shall be divided by the Fair Value of a share of Management Stock as of the exercise date to determine a number of shares. If the calculation produces a fractional share, such fractional share shall be ignored.
(iv) The number of shares determined pursuant to (ii) and (iii), above, shall be added together.
To the extent that Argentine law designates a Permitted Beneficiary(ies) which fail to comply with the Restrictions on Ownership, the Corporation shall have the right to treat the Options subject to the violation as exercised and redeem any shares of Management Stock otherwise to be received by the Permitted Beneficiary(ies) upon exercise of the Options, or in the alternative, cancel such Options.
10. Amendment and Administration
The Committee shall, by resolution, establish such rules and procedures as are necessary or appropriate to carry out the purposes of the Plan. The Committee shall have the authority to make amendments to the Plan as necessary to carry out said purposes; provided, however, amendments which will significantly increase the cost of the Plan must be approved by the Board of Directors. Notwithstanding the foregoing, in the event any rule, procedure, amendment, interpretation or decision shall have a material impact, either favorable or adverse, concerning the benefits to be received by the Corporate Leadership Team, or any one of its members, under the Plan or the benefit alternatives available to the Corporate Leadership Team, or any one of its members, under the Plan that is either different for the Corporate Leadership Team than for Participants as a whole, or that materially increases or decreases the benefits or benefit alternatives available to the Corporate Leadership Team, or any one of its members, the Board of Directors shall have full discretionary authority over said rule-making, procedures, amendments, interpretations or decisions. The decision of the Committee, which shall have full discretionary authority with respect to any questions arising as to interpretation of this Plan, shall be final, conclusive and binding.
11. Effect of Change in Stock Subject to the Plan
In the event of a stock split (including a reverse stock split) of Management Stock, the Option number and Option Price shall be proportionally adjusted to reflect the stock split. As such, there shall be a proportional adjustment to the number of shares subject to the Option and a proportional adjustment to the Option Price so that the aggregate Option Price of the stock after the stock split is not less than the aggregate Option Price before the stock split.
If the Corporation is the surviving corporation in any merger or consolidation, any Option shall pertain, apply, and relate to the securities to which a holder of the number of shares of Management Stock subject to the Option would have been entitled after the merger or consolidation. In the event of dissolution, liquidation, or acquisition of the Corporation, or upon a merger or consolidation in which the Corporation is not the surviving corporation, all Options outstanding under the Plan shall become exercisable immediately prior to such dissolution, liquidation, or acquisition. In any event, should other stock be substituted in the Option due to a merger or consolidation, the ratio of the Option Price to the Fair Value of the stock which may be substituted post-merger or consolidation shall not be greater than the ratio of the Option Price to the Fair Value of the shares subject to the Option immediately before the substitution.
12. Reservation of Shares of Management Stock
The Corporation will at all times reserve and keep available the number of shares of Management Stock sufficient to satisfy the requirements of this Plan.
13. Tax Withholding
The Company shall have the power and the right to deduct or withhold, or require a Participant, beneficiary, or legatee to remit to the Company, any applicable Taxes resulting from a taxable event under this Plan.
14. Successors
All obligations of the Corporation under the Plan shall be binding on any successor to the Corporation, whether the existence of such successor is the result of a direct or indirect purchase, merger, consolidation, or otherwise, of all or substantially all of the business or assets of the Corporation.
15. Miscellaneous
15.1 No Participant, Permitted Beneficiary or employee of any Related Entity shall have any claim or right to be granted an Option under this Plan. Neither this Plan nor any action taken under it shall be construed as giving any Participant any right to be retained in the employ of any Related Entity.
15.2 The Plan may be terminated at any time by the Corporation in its sole discretion.
15.3 The Plan, each Option granted under the Plan and the related Option Agreement, and all determinations made and actions taken pursuant thereto, to the extent not otherwise governed by the Internal Revenue Code or other laws of the United States, shall be governed by the laws of the State of Delaware and construed in accordance therewith without giving effect to any principles of conflicts of laws. The exclusive venue for any action or proceeding hereunder or related to the Plan shall be in the Delaware Court of Chancery, whether or not such venue is or subsequently becomes inconvenient, and the parties consent to the jurisdiction of the Delaware Court of Chancery and expressly waive the right to object to such venue and to remove the case from the Delaware Court of Chancery to any state or federal court.
15.4 If any provision of the Plan or any Option Agreement is or becomes or is deemed to be invalid, illegal or unenforceable in any jurisdiction or would disqualify the Plan or any Option Agreement under any law deemed applicable by the Committee, such provision shall be construed or deemed amended to conform to applicable laws, or if it cannot be so construed or deemed amended without, in the determination of the Committee, materially altering the purpose or intent of the Plan or the Option Agreement, such provision shall be stricken as to such jurisdiction or Option Agreement, and the remainder of the Plan or any such Option Agreement shall remain in full force and effect. In addition, if the duration of, the scope of or any business activity covered by Section 5.4(d) or any terms referenced in Section 5.4(d) that are defined elsewhere in this Plan are in excess of what is determined to be valid and enforceable under applicable law, such
provision(s) shall be construed to cover only that duration, scope or activity that is determined to be valid and enforceable, and Section 5.4(d) shall be given the construction that renders its provisions valid and enforceable to the maximum extent possible under applicable law but that does not exceed the express terms of Section 5.4(d). The Plan and all Option Agreements are intended to fall within an exemption to Section 409A of the Internal Revenue Code and shall be construed accordingly.
15.5 Except as expressly stated above, the terms and conditions set forth herein constitute the entire understanding of the Corporation and the Participants with respect to the matters addressed herein.
15.6 Any Management Stock acquired pursuant to Options granted under this Plan shall at all times be subject to the provisions of the Certificate and the Management and Retiree Stock Summary and any resolutions adopted by the Board of Directors. In the event any provision or statement in this Plan conflicts with the Certificate, the Certificate shall control.
15.7 Notwithstanding anything in the Plan to the contrary, the Corporation intends to avoid any requirement to register its securities under Section l 2(g) of the Securities and Exchange Act of 1934. In furtherance of this important business objective, the Corporation retains the right to limit the number of holders of Options issued under the Plan and limit the number of holders of Management Stock issued and outstanding, by taking any actions at any time that it deems necessary or appropriate, including cancelling Options and redeeming shares of Management Stock, all without the consent of, or advanced notice to, any Participant or beneficiary under the Plan.
SECTION TWO PREVIOUSLY ISSUED STOCK OPTIONS
The parties hereto agree and acknowledge that the Participant may have been granted options in prior years under the terms of the Plan in effect before this restatement ("prior options.") In consideration of the grant of the 2014 Options, and by accepting the 2014 Options, the Participant agrees that all prior options, whether exercised or unexercised, and any rights relating to the prior options and the shares purchased or to be purchased under the prior options, without regard to the grant date of the prior options, or the issuance date of Management Stock which relates to the prior options, are subject to the Corporation's redemption rights described in Section 15.7 of the Plan.
SECTION THREE
OPTION PRICE AND NUMBER OF OPTIONS
The purchase price of the shares of Management Stock subject to the Option granted pursuant to Section One shall be the Fair Value of a share of Management Stock as of the Grant Date, as reflected in the award notification presented to the Participant. The number of Options granted pursuant to this Agreement shall be stated in the award notification.
SECTION FOUR VESTING
A. In General. Subject to the forfeiture provisions in Section 5 of the Plan, Options shall vest (but not necessarily become exercisable as provided in Section 5 of the Plan), on a graded basis over a three-year period following their Grant Date according to the following schedule:
Years from Grant Date Total Percentage of Options in
Grant that Are Vested*
From Grant Date until day prior to 1st anniversary of Grant Date 0%
From I1st anniversary of Grant Date until day prior to 2nd anniversary of Grant Date 33.33%
B. Exceptions
(1) Separation/Disability on or After Age 60. If a Participant Separates from Service on or after reaching age 60 (including due to death, Disability or a Reduction in Force), or if the Participant becomes Disabled on or after reaching age 60, the Participant will become fully vested in all of his or her Options without regard to the three-year vesting requirement described in Paragraph A of this Section Four. Provided, however, except in the case of death, Reduction in Force, or Disability, any Options granted to the Participant in the calendar year of separation will not vest (and will be forfeited) unless the Participant remains in employment until December 31 of that year.
(2) Death, Reduction in Force, Disability. If a Participant has a Separation from Service before reaching age 60 due to death or a Reduction in Force, or if the Participant becomes Disabled before reaching age 60 and before he or she has a Separation from Service, the Participant will also become fully vested in all of his or her Options without regard to the three-year vesting requirement described in Paragraph A of this Section Four.
C. Forfeiture. In all other cases, the Participant's Separation from Service will result in an immediate forfeiture of all of the Participant's Options, whether then vested or not. Further, and notwithstanding anything else in this Agreement to the contrary, the Participant will forfeit all of his or her Options, whether then vested or not, and any Management Stock due to be issued or that has been issued under an Option, under the circumstances described in Section 18 of this Agreement.
SECTION FIVE
WHEN EXERCISABLE AND EXERCISE PROCEDURES
A. In General. Once an Option is vested, the Participant may exercise it, but only at the time and under the procedures described in this Section Five. In no event may any Option be exercised after its Expiration Date, except as provided in Section 5.2(b) and Section 5.3 of the Plan. Options may be exercised only during an Exercise Window. In general, an Exercise Window is opened for a five business day period shortly after the end of a Fiscal Quarter. At the sole discretion of the CEO and CFO, and for any reason, an Exercise Window that is opened may be closed prior to the scheduled close date, an Exercise Window may be changed, or no Exercise Window may be opened for one or more Fiscal Quarters.
B. When Exercisable
(1) During Employment. If a Participant has not yet had a Separation from Service, or incurred a Disability, the Participant may exercise his or her Vested Options during any open Exercise Window prior to the Options' Expiration Date.
(2) Separation/Disability on or After Age 60. A Participant who Separates from Service on or after age 60 (including due to death, Disability or a Reduction in Force), or incurs a Disability on or after age 60, may exercise his or her Vested Options during any Exercise Window during the period that (a) begins on the date on which the Participant could have exercised the Options had he or she remained employed, and (b) ends on the last day of the Exercise Window that immediately follows the fifth anniversary of the Participant' s Separation from Service or Disability (but not later than the Options' Expiration Date). Notwithstanding the preceding sentence, in no event will an Option expire before the first anniversary of the Participant' s death.
(3) Death, Reduction in Force, Disability. If a Participant vests in his or her Options due to a Disability prior to age 60 or Separation from Service prior to age 60, that is, due to the Participant's death, Reduction in Force, or Disability, the Participant may exercise his or her Vested Options during any open Exercise Window that (a) begins immediately following the death, Reduction in Force, or Disability, and (b) ends on the last day of the Exercise Window following the second anniversary of the date of death, Reduction in Force or Disability (but not later than the Options' Expiration Date). Notwithstanding the preceding sentence, in no event will an Option expire before the first anniversary of the Participant's death.
C. How Exercised
(1) Notification. In order to exercise an Option, the Participant must either submit a request to exercise through the equity plan administration website specified by the Corporation or submit a signed, written request of the exercise to the Corporation or its designated administrator (in either case a "request') at the time and in the form specified by the Corporation. The request constitutes the Participant's binding agreement to pay the Option Price according to the terms of the Plan. The date on which the request is received by the Corporation is the date on which the Option is exercised and the date on which the binding agreement arises. The request must specify the Grant Date of the Option being exercised and the number of shares of Management Stock to be purchased pursuant to the Option.
(2) Payment. At the time an Option is exercised, the Participant must pay the Option Price in full along with the applicable Taxes due upon the exercise. There are four methods that can be used to pay the Option Price (and Taxes). These are:
(a) Cash. Payment in cash in an amount equal to the Option Price and Taxes due on the exercise;
(b) Stock Swap
(i) Using shares of Management Stock that the Participant has previously acquired and that have been issued and outstanding for at least six months with a value equal to the Option Price and Taxes due on the exercise;
(ii) Using shares of Management Stock that the Participant has previously acquired, but that have been issued and outstanding for less than six months, but only if such Management Stock was not subject to a six-month hold at the time the shares were issued, with a value equal to the Option Price and Taxes due on the exercise;
(c) Net Exercise. Using Management Stock acquired contemporaneously with the exercise of the Option with a value equal to the Option Price and the Taxes due on the exercise.
SECTION SEVEN TRANSFER
Except as set forth in Section 17 of this Agreement, an Option shall not be transferable by the Participant. During the lifetime of the Participant, the Option shall be exercised only by Participant or the Participant's attorney-in-fact.
SECTION EIGHT
ADJUSTMENT OF NUMBER OF SHARES AND PRICE
SECTION NINE
NECESSITY TO BECOME HOLDER OF RECORD
The Participant or lawful transferee of the Option shall have no rights as a shareholder with respect to any share subject to the Option until the Participant is the holder of record of the share. No adjustment shall be made for dividends or cash distributions, ordinary or extraordinary, whether in cash, securities or other property, or distributions or other rights in respect of the share for which the record date is prior to the date on which the Participant became the holder of the share.
SECTION TEN
RESERVATION OF RIGHT TO TERMINATE EMPLOYMENT
Nothing contained in this Agreement shall restrict the right of the Corporation or any Related Entity to terminate the employment of the Participant at any time, with or without cause. The termination of employment of the Participant, whether by the Corporation or any Related Entity, and regardless of the reason, shall have the results provided for in the Plan.
SECTION ELEVEN
PARTIES BOUND BY RESTATED PLAN, CERTIFICATE, AND MANAGEMENT AND RETIREE STOCK SUMMARY
Each determination, interpretation or other action made or taken under the Plan by the Board of Directors of the Corporation, the Corporate Leadership Team, or the Committee, as applicable,
shall be final and shall be binding and conclusive for all purposes on the Corporation and the Participant and their respective successors in interest.
The parties shall at all times be bound by the terms and conditions of the Certificate and the Management and Retiree Stock Summary, which may be amended from time to time. Participants will be bound by any such amendments including changes to eligibility and criteria to hold Management Stock.
The Corporation reserves the right to modify or terminate the Plan at any time without incurring any liability to a Participant.
SECTION TWELVE
LIMITATION ON TRANSFER OF MANAGEMENT STOCK
If the Participant becomes a holder of shares of Management Stock, the Participant will be subject to the Restrictions on Ownership and any other restrictions set forth in the Certificate and Management and Retiree Stock Summary or in resolutions of the Board of Directors, which limit the Participant's ability to transfer the shares. Specifically, Management Stock may only be transferred to the following individuals and entities ("Eligible Transferee( s)"):
A. The Participant's spouse;
B. A member of the Participant's Immediate Family;
C. A single trust or entity established by the Participant for the benefit of the Participant's immediate family members; or
D. An organization described in Section 170(c) of the Internal Revenue Code.
If the Participant is not a current or former member of the Corporate Center or Corporate Leadership Team, the Participant may not transfer shares of Management Stock, except in the event of the Participant's death and then the transfer maybe made to only one Eligible Transferee.
If the Participant is a current or former Corporate Center member, the Participant may transfer or hold Management Stock, in whole or in part, and any future issues of Management Stock in two names (including the Participant's name), provided that each transferee is an Eligible Transferee.
If the Participant is a current or former member of the Corporate Leadership Team, the Participant may transfer or hold Management Stock, in whole or in part, and any future issues of Management Stock in three names (including the Participant's name), provided that each transferee is an Eligible Transferee.
All transfers of Management Stock, including transfers in the event of death, will be subject to the Restrictions on Ownership and any other restrictions set forth in the Certificate and Management and Retiree Stock Summary or in resolutions of the Board of Directors.
Management Stock acquired pursuant to Options granted under the Plan shall be subject to all provisions of the Certificate and will contain the following statement:
"Any sale, assignment, transfer or other disposition of shares evidenced by this certificate is prohibited except as specifically authorized in the Certificate of Incorporation of the corporation."
"The shares have been purchased for investment within the meaning of the Securities Act of 1933, as amended, and applicable state securities laws and they may not be sold or otherwise transferred without an effective registration under such laws unless an exemption from registration is available."
SECTION THIRTEEN
REDEMPTION RIGHT AND DUTIES OF CORPORATION
A. Redemption Right. The Corporation shall have the unilateral power and right to redeem Management Stock obtained upon the exercise of an Option, regardless of whether the Management Stock is held at such time by the Participant or a transferee, in the following circumstances:
(1) If the Participant or transferee fails to comply with the Ownership Restrictions and any other restrictions described in the Plan or Sections 12 and 17 of this Agreement;
(2) The forfeiture and clawback provisions described in the Plan or Section 18 of this Agreement apply; or
(3) The Corporation determines that it is appropriate to implement the redemption and other rights set forth in Section 15.7 of the Plan.
B. Duties. The Corporation will at all times during the term of this Agreement:
(1) Reserve and keep available for issue or sale such number of shares of its Management Stock as will be sufficient to satisfy the requirements of this Agreement;
(2) Pay all fees and expenses necessarily incurred by the Corporation in connection with the issue of shares; and,
(3) Use its best efforts to comply with all laws and regulations which, in the opinion of counsel for the Corporation, are applicable to the Corporation.
SECTION FOURTEEN TAXES
The Company shall have the power and right to deduct or withhold, or require a Participant to remit to the Company, an amount sufficient to satisfy any obligation to pay Taxes resulting from any taxable event arising as a result of the Plan. Any shares of Management Stock withheld to pay any Federal, state, local, social insurance contributions, or other taxes required by law or regulation shall be determined by applying the minimum statutorily required rate.
The Participant is fully and completely responsible for any and all income, estate, inheritance, excise, social insurance contributions, and other personal taxes which are due and owing by the Participant as a result of the grant, transfer, hold, exercise or redemption of Options or Management
Stock, as applicable, granted, transferred, transacted or redeemed by the Corporation to or on behalf of the Participant. Neither the Corporation nor any Related Entity guarantee any tax deferral, tax result, withholding tax result, or timing of taxation relating to the grant, hold, transfer, exercise or redemption of any and all Options or, as applicable, Management Stock, granted, transferred, transacted or redeemed by the Corporation.
SECTION FIFTEEN GOVERNING LAW
The Plan and this Agreement, and all determinations and actions taken pursuant to the Plan and this Agreement, to the extent not otherwise governed by the Internal Revenue Code, shall be governed by the laws of the State of Delaware and construed according therewith without giving effect to any principles of conflicts of law. The exclusive venue for any action or proceeding hereunder or related to the Plan shall be in the Delaware Court of Chancery, whether or not such venue is or subsequently becomes inconvenient, and the parties to the Agreement consent to the jurisdiction of the Delaware Court of Chancery and expressly waive the right to object to such venue and to remove the case from the Delaware Court of Chancery.
SECTION SIXTEEN PARTICIPANT'S EMAIL ADDRESS
The Participant agrees and acknowledges that all notices relevant to Plan participation will be made by the Company via the equity plan administration internet website or email. The Participant is required to maintain a current email address either with the Corporation or the Corporation's third party service provider. Any change in the Participant's email address must be communicated to either the Corporation or the Corporation's third-party service provider by the Participant. All Plan communications to the Participant's last known email address will be binding on the Participant.
SECTION SEVENTEEN DEATH OF PARTICIPANT
Argentine death transfer laws shall determine the Participant's Permitted Beneficiary or Permitted Beneficiaries. However, ownership of Options is subject to the Restrictions on Ownership, which among other things, requires that the holder be a Permitted Legatee and, except as described above for certain select Participants, that there be only one holder.
To the extent that Argentine law designates a Permitted Beneficiary or Permitted Beneficiaries which are in violation of the Restrictions on Ownership, as determined by the Corporation in its sole discretion, the Corporation shall have the right to treat the Options subject to the violation as exercised and redeem the shares of Management Stock, if any, otherwise to be received by the holder upon exercise of the Options, or, in the alternative cancel such Options.
SECTION EIGHTEEN
ADDITIONAL FORFEITURE RESTRICTIONS AND CLAWBACKS
The Participant understands and agrees that Options and Management Stock will be forfeited and/or repayment of proceeds from the redemptions of Management Stock will be required in the following situations:
A. Termination for Cause. If a Participant's Separation from Service with the Company is deemed a Termination for Cause, as determined under Argentine labor law as amended from time to time, the Participant will immediately forfeit all of the Participant' s Options, whether vested or unvested, and any shares not yet issued to him or her in connection with the exercise of an Option.
B. Competition. Confidential Information. Solicitation. If, prior to a Participant's Separation from Service or during the one-year pen od after the Participant's Separation from Service, regardless of the reason for such separation, the Participant directly or indirectly engages in Competitive Activity or Improper Use or Disclosure of Confidential Information, the Participant will immediately forfeit all of his or her Options, whether vested or unvested, any shares not yet issued to him or her in connection with the exercise of an Option, and any shares of Management Stock (or, if applicable, the cash equivalent at redemption of the shares) obtained pursuant to the Plan during the period that begins one year prior to the Competitive Activity or Disclosure of Confidential Information and ends one year following the Separation from Service.
The limitation on the Participant's rights set forth in this Paragraph B are in addition to, and do not replace or supplant, any applicable restrictions, rights or remedies that relate to the
Participant's use or disclosure of Confidential Information, or the Participant' s post-employment competitive activity or solicitation, regardless of whether such restrictions, rights or remedies arise under contract, agreement, statute or the common law of any state or country.
C. Committee Discretion. Under certain limited circumstances the Committee may, in its sole discretion, waive any of the forfeiture conditions described in this Section 18 through written agreement or otherwise.
SECTION NINETEEN PARTICIPANT'S WARRANTY AND ACCEPTANCE
The Participant hereby explicitly and unambiguously consents to the collection, use and
transfer, in electronic or other form, of the Participant' s personal information and data as described in this Agreement by and among the Company or the Corporation for the purpose of implementing, administering and managing the Participant' s participation in the Plan.
The Participant understands that the Company or the Corporation holds certain personal information about the Participant, including, but not limited to, the Participant' s name, nationality, citizenship, work authorization, date of birth, age, brokerage account information, employee ID number or other identification number, home address, work address, job and location history, compensation and award information and history, and business unit, any shares or directorships held in the Company, details of all Options or any other entitlement to shares awarded, canceled, exercised, vested, unvested or outstanding in the Participant's favor, for the purpose of implementing, administering and managing the Plan (" Data'').
The Participant understands that Data may be transferred within the Company or the Corporation and to any third-party service provider assisting in the implementation, administration and management of the Plan, that these recipients may be located in the Participant's country or elsewhere, and that the recipient' s country may have different data privacy laws and protections than the Participant' s country. Additionally, the Corporation may disclose Data outside the Corporation

2.17. “Uso Indebido de Información Confidencial” significa:
a) Cualquier uso o divulgación de Información Confidencial excepto en cumplimiento de los deberes del Participante como empleado de una Empresa;
b) Cualquier acto u omisión que directa o indirectamente reduzca materialmente el valor de la Información Confidencial salvo en aquellos actos u omisiones necesarios para el cumplimiento de los deberes del Participante como empleado de una Empresa;
4.3. Adquisición de derechos de opciones
a) En general.
i) Desvinculación del Servicio del Participante debido al fallecimiento del Participante o Reducción de Personal;
i) el número de acciones sujeto a la Opción que se ejerce será multiplicado por el Precio de Opción;
A. En General.
A. En General.
a) En efectivo. Pago en efectivo de una suma equivalente al Precio de Opción y los Impuestos al ejercicio;
b) Canje de Acciones
i) Uso de acciones de las Acciones de la Gerencia que el Participante ha adquirido con anterioridad y que han sido emitidas y se hallan en circulación al menos por seis meses con un valor equivalente al Precio de Opción y los Impuestos al ejercicio;
ii) Uso de acciones de las Acciones de la Gerencia que el Participante ha adquirido con anterioridad y que han sido emitidas y se hallan en circulación por menos de seis meses, pero sólo si tales Acciones de la Gerencia no estuvieron sujetas a una tenencia de seis meses al momento de emisión de las acciones, con un valor equivalente al Precio de Opción y los Impuestos al ejercicio;
c) Ejercicio Neto.
A. La esposa del Participante;
B. Un familiar directo del Participante;
1) Si el Participante o el adquirente no cumple con las Restricciones a la Titularidad y cualquier otra restricción descripta en el Plan o en los Artículos 12 y 17 de este Contrato;
1) Reservará y tendrá a disposición para emitir o vender el número suficiente de acciones de las Acciones de la Gerencia para cumplir con los requisitos de este Contrato;
