National- to be my true and lawful attorney and sign singly on behalf of the company to incorporate ……………………………….. and ……………………… as a limited liability companies in in the United Arab Emirates with the name and number of shares he deems fit. For such purpose he shall be authorized to sign the Memorandum of Association of such companies on my behalf before all the concerned authorities including the Notary Public and the Economic Development Department. In addition he may additionally sign on any documents and/or forms and/or papers necessary for this purpose, pay all prescribed fees, receive original documents and receipts and generally carry all necessary procedures to issue the commercial licenses for the company. تمهيد
حيث أن المؤجر هو مالك قطعة الارض رقم:
............... الكائنة بمنطقة ................ (ويشار إليها فيما بعد باسم "الأرض") بمساحة ............ قدم مربع.
و حيث أن المستأجر يرغب في إنشاء فندق على حسابه وكلفته الخاصة على الأرض المذكورة أعلاه لأغراض العمل التجاري.
وحيث أن المؤجر قد قبل الطلب المقدم من المستأجر لاستئجار الأرض المذكورة أعلاه وفقاً للشروط والأحكام المحددة في هذا العقد لغرض إنشاء فندق على الا يجوز فيه تقديم أو بيع أو التداول في المشروبات الكحولية فيها (يشار إلى الأرض والفندق و اي مرفقات به مجتمعين بـ بلفظ "العقار").
بناءا عليه ونظرا للتعهدات المسطرة في هذه الاتفاقية اتفق المؤجر والمستأجر و هما بكامل الأهلية القانونية على الشروط و الاحكام التالية:
1- تعتبر المقدمة والتمهيد في هذه الاتتفاقية جزءا لا يتجزأ منها.
2- يوافق المؤجر بموجبه على تسليم حيازة الأرض إلى المستأجر خالية من أي أعباء مع مراعاة الأحكام والشروط الواردة في هذه الاتفاقية.
3- يستخدم المستأجر الارض لغايات إنشاء فندق وفقاً للمقترح المبين في الرسومات المرفقة بالملحق (أ) من هذه الاتفاقية و ذلك على حسابه الخاص ودون اي التزام مالي من قبل المؤجر.
4- تقدر فترة إنشاء الفندق بحوالي ........... (....) شهرا ابتداءا من تاريخ الحصول على الاعتماد النهائي للمخططات من السلطات المعينة.
5- تكون مدة (فترة) الإيجار ........ عاما تبدأ من اليوم الذي يلي إكمال فترة الـ.......... شهراً (....) من تاريخ توقيع هذه الاتفاقية.

Preamble
WHEREAS, the lessor is the owner in possession of plot No. 177 (373-889), Al Barshaa First, (hereinafter referred to as the “Land”) measuring area of 322,746 sq. ft., located in Al Barshaa First, Dubai, UAE.
AND WHEREAS the Lessee is desirous of constructing at its own cost and expenses, a shopping complex on the above said Land for business purposes.
AND WHEREAS the Lessor has accepted the request of the lessee to lease the above mentioned Land on the terms and conditions set forth in this Lease for the purpose of constructing a shopping complex which shall not be used for serving, selling or handling alcohol (the Land together with the shopping complex is referred to hereinafter as the “Premises”).
NOW, THEREFORE, in consideration of covenants herein contained, Lessor and Lessee who are legally competent to enter into contracts and agreement hereby agree as follow:
1. The Introduction and Preamble of this agreement are considered as inseparable part hereof.
2. The Lessor hereby handover possession of the land to the lessee and the lessee hereby takes possession of the Land from the Lessor on lease, free of all encumbrances, subject to the terms and conditions contained herein.
3. The Lessee shall use the Land for the construction of a shopping complex the same as or substantially similar to the proposed shopping complex described in the drawings attached as annexure A to this agreement, at its own cost and expenses for conducting Hypermarket business.
4. The period of construction of the shopping complex is estimated to be approximately 18 months from the date of final approval of the drawings by the competent authorities.
5. The term (period) of this agreement shall be twenty years commencing from the day following 18 months from the date of signing of this agreement.
