Source text - English CLAUSE D – PAYMENTS, DISCHARGE and COSTS
Clause D 01 - Interest
Each Guarantor agrees to pay interest to the Bank on all sums demanded under this Guarantee from the date of the Bank's demand under this Guarantee until the date of actual payment (after as well as before judgment). Such interest shall be at the rate of interest applicable to overdue amounts under the Loan Agreement and shall be calculated in accordance with Clause “Interes” of the Loan Agreement. The amount of interest payable on any such sums for any period pursuant to this Clause shall be reduced by the amount of any interest otherwise paid by the Company on such sums pursuant to the terms of the Loan Agreement or any of the Financing Agreements for the same period.
Clause D 02 - Suspense Account
Until all amounts which may be or become payable by the Company under or in connection with the Financing Agreements have been irrevocably paid in full, the Bank may: (i) place and keep, for such time as the Bank thinks prudent, any monies received, recovered or realized hereunder or under any other guarantee or security in a suspense or impersonal account pending their application without any obligation on the part of the Bank to apply the same or any part thereof in or towards the discharge of any of the monies, obligations and liabilities that are the subject of this Guarantee, and (ii) refrain from applying or enforcing any other money, security or rights held or received by the Bank in respect of those amounts, or apply and enforce the same in such manner and order as it sees fit (whether against those amounts or otherwise) and none of the Guarantors shall be entitled to the benefit of the same.
Clause D 03 - Insufficient Payments
If the Bank at any time receives less than the full amount then due and payable to it under this Guarantee, the Bank shall have the right to allocate and apply the amount received in any way or manner and for such purpose or purposes under this Guarantee as the Bank in its sole discretion determines, notwithstanding any instruction that the Guarantors may give to the contrary.

Раздел D 03 - Недостаточность платежей
Если Банк в любое время получает сумму меньшую, чем полная сумма, подлежащая в этот момент выплате в его пользу согласно настоящей Гарантии, то Банк имеет право распределить и использовать полученную сумму любым способом, в любом порядке и для такой цели или целей настоящей Гарантии, которые Банк по своему исключительному усмотрению определяет, невзирая на распоряжения об обратном, которые могут исходить от Гарантов.

Данная статья применяется ко всем указанным в Контракте испытаниям.
Подрядчик должен предоставить все устройства, содействие, документы и прочую информацию, электричество, оборудование, топливо, расходные материалы, инструменты, рабочую силу, материалы и надлежаще квалифицированный и опытный персонал, которые необходимы для эффективного проведения указанных испытаний.
Заказчик может, согласно Статье “Внесение Изменений и Корректировки”, изменять место или описание указанных испытаний или выдавать распоряжение Подрядчику о проведении дополнительных испытаний. Если данные изменённые или дополнительные испытания показывают, что испытуемая Установка, Материалы или качество исполнения не соответствуют Контракту, расходы на проведение данного Изменения оплачиваются Подрядчиком, несмотря на любые прочие положения Контракта.
Подрядчик должен за 24 часа предоставить Заказчику предварительное уведомление о времени и месте испытаний. Если Заказчик не смог присутствовать в указанное время в обозначенном месте, о котором сообщил Подрядчик, Подрядчик может продолжать проведение испытаний, и испытания будут считаться проведёнными в присутствии Заказчика.
Если Подрядчик задерживает работы и/или несёт Расходы в результате соблюдения данных инструкций или в результате задержки, за которую ответственен Заказчик, Подрядчик должен уведомить Заказчика согласно Статье “Претензии Подрядчика” и имеет право на:
(a) продление времени на период любой такой задержки, если завершение Объектов строительства задержано или будет задержано согласно Статье “Продление Периода Завершения”, и
(b) оплату любых таких Расходов вместе с обоснованной прибылью, которая должна быть включена в Цену Контракта.
После получения данного уведомления Стороны продолжают работу в соответствии с Подпунктом “Предписания” с целью согласования данных вопросов.
Подрядчик должен незамедлительно передать Заказчику надлежаще заверенные акты испытаний. После прохождения указанных испытаний, Заказчик должен подписать акты испытаний Подрядчика или выдать ему свидетельство соответствующего содержания. Translation - English Clause G Testing
This Clause shall apply to all tests specified in the Contract.
The Contractor shall provide all apparatus, assistance, documents and other information, electricity, equipment, fuel, consumables, instruments, labour, materials, and suitably qualified and experienced staff, as are necessary to carry out the specified tests efficiently.
The Employer may, under Clause “Variations and Adjustments”, vary the location or details of specified tests, or instruct the Contractor to carry out additional tests. If these varied or additional tests show that the tested Plant, Materials or workmanship is not in accordance with the Contract, the cost of carrying out this Variation shall be borne by the Contractor, notwithstanding other provisions of the Contract.
The Contractor shall give the Employer 24 hours' advance notice of the time and place of the tests. If the Employer fails to attend at the time and place notified by the Contractor, the Contractor may proceed with the tests, and the tests shall then be deemed to have been made in the Employer presence.
If the Contractor suffers delay and/or incurs Cost from complying with these instructions or as a result of a delay for which the Employer is responsible, the Contractor shall give notice to the Employer pursuant to Clause “Contractor's Claims” and shall be entitled to:
(c) an extension of time for any such delay, if completion of the Works is or will be delayed, under Clause “Extension of Time for Completion”, and
(d) payment of any such Cost plus reasonable profit, which shall be included in the Contract Price.
After receiving this notice, The Parties shall proceed in accordance with Clause “Determinations” to agree these matters.
The Contractor shall promptly forward to the Employer duly certified reports of the tests. When the specified tests have been passed, the Employer shall endorse the Contractor's test certificate, or issue a certificate to him, to that effect. If the Employer has not attended the tests, he shall be deemed to have accepted the readings as accurate.

1.1 Value and time of performance of Secured Obligations
1.1.1 The value of the Secured Obligations at any time is the amount of the Secured Obligations outstanding at such time.
1.1.2 For the purposes of Article 339 (1) of the Civil Code the Parties agree that the value and the time of performance of the Secured Obligations is taken to be as they are set out in the Facility Agreement and the Fee Letter.
1.1.3 The Pledger confirms that before execution of this Pledge Agreement it has received and reviewed a copy of the Facility Agreement and the Fee Letter and acknowledges their terms with respect to the amount, nature, the time of performance and other terms of the Secured Obligations).
1.2 Nature of Secured Obligations
The Secured Obligations are payment obligations relating to the repayment of principal and the payment of interest, fees, costs and expenses determined under the Facility Agreement, the Fee Letter and this Pledge Agreement, the payment of the Clawback Amounts as well as other monetary obligations the nature of which is described in the Facility Agreement, the Fee Letter and this Pledge Agreement including, without limitation:
a) damages, losses and indemnities arising from failure to perform, late or improper performance of the Secured Obligations;
b) court expenses and other costs and expenses incurred by the Pledgee in connection with enforcement of the Pledge (including the expenses for valuation of the Commodities in turnover for determination of the Market Value and sale of the Commodities in turnover in the course of enforcement of the Pledge (including fees of an Auctioneer and any other parties engaged for enforcement of the Pledge)); and
c) any other costs and expenses and other amounts whatsoever, which the Pledgee may incur and which are payable and outstanding under or in connection with the Facility Agreement, the Fee Letter and this Pledge Agreement.

a) ущерб, убытки и гарантии от убытков, возникающие в результате неисполнения, позднего или ненадлежащего исполнения Обеспеченных Обязательств;
b) судебные издержки и другие расходы и издержки, понесенные Залогодержателем в связи с обращением взыскания на предмет Залога (включая расходы на оценку Товаров в обороте для определения Рыночной стоимости и продажи Товаров в обороте в ходе обращения взыскания на предмет Залога (включая комиссионные Организатора аукциона и других сторон, привлечённых для обращения взыскания на предмет Залога)); и
