Source text - English The civil works of the project expressway consisted of 16 subgrade packages partially financed by ADB and four pavement packages financed by domestic funds. Procurement of subgrade packages followed international competitive bidding procedures in accordance with ADB’s Procurement Guidelines. Procurement of pavement packages followed domestic procedures. The subgrade packages were tendered out in the second quarter of 2007 and the procurement was completed by the third quarter of 2008. All 16 subgrade packages commenced construction on 1 January 2009. Compared with the implementation arrangement envisaged at the appraisal (Appendix 8, Implementation Schedule, RRP, page 37), subgrade civil works construction started about 12 months late. The EA and IA, by taking effective technical and management measures, by overcoming difficulties caused by severe flood damage in mid-2010, achieved a satisfactory progress that most subgrade works were able to gradually catch up or narrow the gap with the original schedule by October 2010. Procurement of pavement packages started in March 2010 and contracts has been awarded in September 2010. All pavement packages will commence construction around the second quarter of 2011. Other components under the project expressway financed by domestic funds, including buildings and ancillary facilities, road safety furnishings, landscaping and greening, tunnel electrical and mechanical equipment, monitoring, communications and toll systems equipment are under various design or procurement stages. Based on the preliminary assessment during site visits and the current achieved progress, the mission advised the SPTD and SDEC that implementation of all civil works packages should comply with their respective design requirements and approved schedules, and should not intentionally pursue faster progress by shortening required standard construction period. The mission also reminded the SPTD and SDEC that attempts on advancing implementation schedule may have to be achieved by earmarking additional cost and resources, and may generate various adverse impacts to the project quality, particularly on these long tunnels and large span bridges with significant technical challenges. The SPTD and SDEC confirmed to the mission that the project will continue follow the implementation schedule with accentuating highest quality control.

Source text - English Unless the context otherwise requires, the following terms whenever used in this Contract have the following meanings:
(a) “Applicable Law” means the laws and any other instruments having the force of law in the Client’s Country, or in such other country as may be specified in the Special Conditions of Contract (SC), in force from time to time.
(b) “Client” means the agency with which the selected Consultant signs the Contract for the Services.
(c) “Client’s Country” means the country of the borrower.
(d) “Consultant” means any private or public entity including a Joint Venture that will provide the Services to the Client under the Contract.
(e) “Contract” means the Contract signed by the Parties and all the attached documents listed in its Clause 1, that is these General Conditions (GC), the Special Conditions (SC) by which the GC may be amended or supplemented, and the Appendices.
(f) “Day” means calendar day.
(g) “Effective Date” means the date on which this Contract comes into force and effect pursuant to Clause GC 2.1.
(h) “Foreign Currency” means any currency other than the currency of the Client’s Country.
(i) “Government” means the Government of the Client’s Country.
(j) “Joint Venture” means a Consultant which comprises two or more Partners each of which will be jointly and severally liable to the Client for all the Consultant’s obligations under the Contract.
(k) “Local Currency” means the currency of the Client’s Country.
(l) “Partner” means any of the entities that make up the Joint Venture; and “Partners” means all these entities.
(m) “Party” means the Client or the Consultant, as the case may be, and “Parties” means both of them.
(n) “Personnel” means qualified persons provided by the Consultant and assigned to perform the Services or any part thereof; “International Personnel” means such qualified persons who are citizens of an ADB member country; “National Personnel” means such qualified persons who are citizens of the Client’s Country.
(o) “Reimbursable expenses” means all assignment-related costs other than Consultant’s remuneration.
(p) “Services” means the work to be performed pursuant to this Contract, as described in Appendix A hereto.
(q) “Sub-Consultant” means any person or entity to whom/which the Consultant subcontracts any part of the Services and for whom/which the Consultant is fully responsible.
(r) “Third Party” means any person or entity other than the Government, the Client, the Consultant or a Sub-Consultant.
(s) “In writing” means communicated in written form with proof of receipt.
