Informations concernant les présentes conditions d’utilisation
Vous êtes parvenu à la présente page suite à votre téléchargement ou à votre utilisation de l’application mobile Newland Excelerate. L’application mobile Newland Excelerate et le jeu associé sont lancés et administrés en Algérie par leur développeur du jeu (« Le Fournisseur ») pour le compte de Philip Morris Services S.A.
Lors de votre connexion à l’application mobile Newland Excelerate, vous avez été invité à lire et à accepter les présentes conditions d’utilisation (les «Conditions d’utilisation»). Les présentes Conditions d’utilisation contiennent des informations importantes concernant votre utilisation de l’application mobile Newland Excelerate; vous êtes prié de les lire avant d’utiliser l’application mobile Newland Excelerate, car vous serez lié à celles-ci.
L’ACCEPTATION DE L’ENSEMBLE DES PRESENTES CONDITIONS D’UTILISATION EST OBLIGATOIRE, VOUS N’AUREZ AUTREMENT PAS ACCESS A L’APPLICATION MOBILE NEWLAND EXCELERATE.
Définitions
« Newland Excelerate » signifie l’application mobile (l’«App») développée et lancée en Algérie pour le compte de Philip Morris Services SA « Client ».
«Promoteur» est un employé par SARL Lotus Conseil.
« Utilisateur », « Participant » ou « Joueur » signifie un fumeur adulte âgé de 19 ans ou plus, résidant en Algérie, le Promoteur et aussi le gérant/propriétaire du point de vente.
« Jeu » signifie le jeu vidéo de Newland Excelerate accessible via l'App.
« Lotus Conseil Sarl », sis 05, impasse du réservoir, Le Paradou, Hydra 16035, Alger, Algérie enregistrée au registre de commerce sous numéro 04B0965030, signifie la (« Société Organisatrice ») en Algérie pour l’exécution de Newland Excelerate.
La Société Organisatrice se chargera des inscriptions au jeu au niveau des points de vente et s’assurera que les Joueurs soient bien des fumeurs adultes.
« Promoteur » signifie des employés de Lotus Conseil Sarl présents dans les points de vente participants et responsables de l'interaction avec les fumeurs adultes concernant l’App et Jeu.
« Points de Vente » sont les commerçants participants à Newland Excelerate et exerçant l’activité N° 501113 (référence d’activité de la nomenclature des activités du centre national du registre de commerce).
«Nous» définit Philip Morris Services S.A., un membre du groupe de sociétés Philip Morris International. .
Modification des Conditions d’utilisation
Le Fournisseur se réserve le droit de modifier les présentes Conditions d’utilisation à tout moment. Dans un tel cas, le Fournisseur notifiera les utilisateurs des modifications en question au moyen d’une communication apparaissant la première fois que vous vous connectez à l’App après que les modifications ont été effectuées. Toute navigation et utilisation de l’App après les modifications des Conditions d’utilisation, constitue une acceptation des Conditions d'utilisation modifiées. La date indiquée au sommet de cette page est celle de la dernière mise à jour des présentes Conditions d’utilisation.
Utilisation de l’App
L’App est destinée à être utilisée par des fumeurs adultes ou des consommateurs de tabac adultes âgés de 19 ans ou plus, résidant en Algérie. Si vous ne remplissez pas les conditions mentionnées ci-dessus, vous ne devez pas utiliser l’App.
Pour créer un compte sur l’App, vous devez fournir certaines données personnelles, telles que votre statut de fumeur, votre nom, votre âge, une pièce d’identité ainsi que votre adresse e-mail/numéro de téléphone, afin que nous puissions vérifier que vous remplissez les conditions d’admissibilité pour pouvoir utiliser l’App. Vos données seront conservées conformément à notre Déclaration de confidentialité (voir la section intitulée «113939%%Confidentialité et 11..Cookies» pour plus d’informations).
Vous acceptez d'utiliser l'App: (a) sur un produit ou un appareil communément appelé smart phone qui exécute Android; (b) sur le territoire national Algérien.
Inscription et vos données personnelles
L’App est accessible pour téléchargement via Play Store. Si vous voulez utiliser l’App, vous devrez créer un compte («Compte») via l’App après : (i) la validation préalable de votre âge, statut de fumeur et l’enregistrement par un Promoteur, et (ii) recevoir un code d'accès de la part du Promoteur au niveau des Points de Vente participants. Ces codes d’accès remis par les Promoteurs sont gratuits et ne peuvent en aucun cas être revendus, échangés contre des objets de valeur.
Les données personnelles relatives à votre localisation seront collectées dans le but de déterminer votre performance. Vos données personnelles liées à votre localisation ne sont collectées que dans l’unique but de déterminer votre emplacement afin de vous diriger vers les objets à collecter et comptabiliser la distance parcourue dans le cadre du jeu afin de déterminer votre performance.
Les Données personnelles ne seront gérées par la Société Organisatrice que dans le seul but de l’organisation du Jeu d’une part, et d’autre part, à des fins de communication.
Il est important que vous nous fournissiez des données exactes, complètes et à jour pour votre Compte. Vous acceptez de veiller à ce que vos données soient toujours exactes, complètes et à jour. Vous acceptez de ne pas divulguer à quiconque votre mot de passe pour le Compte et de nous aviser immédiatement de toute utilisation non autorisée de votre Compte. Vous êtes responsable de la protection de votre mot de passe et de toutes les opérations effectuées sur votre Compte, que vous en ayez connaissance ou non.
Vous ne devez pas utiliser le mot de passe ou le Compte de quiconque à aucun moment, et vous ne devez pas tenter d’obtenir un accès non autorisé à l’App. Si vous tentez de le faire ou aidez des tiers lors de telles tentatives, ou si vous donnez des instructions, fournissez des logiciels ou des outils pour ce faire, votre Compte sera résilié/désactivé. Toute utilisation de votre Compte par une autre personne que vous-même constitue un motif de suspension ou de résiliation de votre Compte (voir la section intitulée «Modification et suspension de l’App» ci-dessous). Vous devez nous informer immédiatement de toute utilisation non autorisée de votre nom d’utilisateur, de votre mot de passe ou d’autres données relatives à votre Compte, ou de toute autre violation de la sécurité concernant votre Compte ou l’App dont vous avez connaissance. Vous pourrez nous informer via le bouton Aide/Support du menu de l’App.
Support/Aide :
Vous pourrez remonter tout problème technique, dysfonctionnement ou demande de clôture de compte via le bouton aide/support du menu de l’App. Dans le cas où vous n’avez pas accès à l’App, vous pourrez adresser vos requêtes à l’adresse e-mail suivante [email protected] .
Modification et suspension de l’App
Il est important de noter que nous nous réservons le droit de modifier, suspendre ou interrompre le fonctionnement de tout ou partie de l’App ou l’accès à celle-ci, à notre convenance. Par exemple, nous pouvons interrompre le fonctionnement de l’App pour les Utilisateurs si nous avons des raisons de penser que l’App est utilisée par un mineur.
Nous pouvons également mettre à jour l’App et changer son contenu en tout temps. Veuillez noter que, malgré tous nos efforts pour mettre à jour les informations figurant dans l’App, tout contenu de notre App quel qu’il soit peut devenir obsolète à tout moment, et que nous n’avons aucune obligation de le mettre à jour.
Nous pouvons également interrompre le fonctionnement régulier de tout ou partie de l’App à des fins de maintenance, de routine ou non, de corrections d’erreurs ou de modifications.
Classements
Afin de différencier les joueurs fumeurs adultes des Promoteurs et des gérants/propriétaires de point de vente, trois classements distincts pour chaque type de joueur seront disponibles sur l’App. Chaque type de joueur (LAS, Promoteurs et propriétaire et/ou gérant de point de vente) ne verra que le classement qui lui est propre. Les joueurs fumeurs adultes n’auront accès qu’au classement joueurs fumeurs adultes, les joueurs Promoteurs ne verront que le classement propre aux joueurs Promoteurs ; tout comme les gérants et/ou propriétaires de points de vente n’auront accès qu’au classement relatif aux des gérants et/ou propriétaires de point de vente.
Modalité de participation au Jeu Concours et récompenses pour les gérants et/ou propriétaires de Points de vente
La durée du jeu est de huit (11) semaines à compter du 17/12/2017 Au 28/02/2018. Pour chaque joueur, un score est déterminé, ce score dépend :
De la distance parcourue dans le cadre du jeu ;
Du nombre de jours consécutifs durant lesquels l’App a été ouverte ;
Du nombre de voitures collectées ;
Du nombre d’objets d’amélioration des voitures collectées
Durant le Jeu un classement des meilleurs Joueurs est mis à jour en en temps réel selon les items collectés par les Utilisateurs de l’App, chaque objet collecté donne droit à un nombre de points qui lui est attribué. Le classement est disponible en permanence via l’App et peut être consulté en toute transparence et à tout moment par tous les Utilisateurs. Selon le classement final déterminé à la clôture du jeu [28/02/2018l’Utilisateur sera éligible au prix suivants:
Les 05 Gérants/Propriétaires ayant obtenu les scores les plus élevés du classement Gérant/propriétaire se verront offrir un voyage «Premium» tous frais payés durant lequel ils obtiendront une invitation à une course de Formule 1 (F1)
Le Premium consiste en un billet d’avion aller/retour à destination de Monza ou d’Abu Dhabi, selon le cas ;
Cinq nuitées allant du 29/08/2018 au 03/09/2018 à Monza (Italie)
Ou bien ;
Cinq nuitées du 21/11/2018 au 26/11/2018 à Abu Dhabi (Emirats Arabes Unies)
Dans tous les cas la prise en charge durant le séjour sera en pension complète à l'hôtel incluant (petit-déjeuner, déjeuner et dîner pendant la durée du séjour), le transport terrestre (incluant le transport aller-retour depuis/vers l’aéroport, transport sur-place pour les évènements programmés) et une prise en charge complète en VIP lors des événements F1 qui auront lieu.
**La Société Organisatrice ne prend en aucun cas les dépenses suivantes:
Les frais d’obtention des visas ne seront pas pris en charge dans le cadre du programme
Les dépenses personnelles, extras et pourboires;
Les repas en dehors de ceux programmés ;
Les frais de maladies durant le séjour
L’assurance voyage (Le gagnant doit s'assurer qu’il dispose d'une assurance voyage le couvrant, pour les dates de voyage et période de séjour). L’absence de l’assurance voyage va jusqu’à la disqualification du Gagnant.
Les 200 gérants/propriétaires de points de vente ayant obtenu les scores les plus élevés du Classement des gérants/propriétaires de points de vente se verront offrir une invitation pour un évènement local.
Le Prix attribué au gagnant dans le cadre de Newland Excelerate ne pourra en aucun cas être remplacé contre sa valeur monétaire ou toute autre valeur, ou contre aucun autre type de prix.
Le Prix est nominatif et personnel. Le Prix ne pourra pas être remboursé, payé, ou cédé à une tierce personne.
Modalité de participation au Jeu Concours et récompenses pour les Promoteurs :
La durée du jeu est de huit (11) semaines à compter du 17/12/2017 Au 27/01/2018. Pour chaque joueur, un score est déterminé, ce score dépend :
De la distance parcourue dans le cadre du jeu ;
Du nombre de jours consécutifs durant lesquels l’App a été ouverte ;
Du nombre de voitures collectées ;
Du nombre d’objets d’amélioration des voitures collectées
Durant le Jeu un classement des meilleurs Joueurs est mis à jour en temps réel selon les items collectés par les Utilisateurs de l’App, chaque objet collecté donne droit à un nombre de points qui lui est attribué. Le classement est disponible en permanence via l’App et peut être consulté en toute transparence et à tout moment par tous les Utilisateurs. Selon le classement final déterminé à la clôture du jeu [28/02/2018], l’Utilisateur sera éligible au prix suivants:
Les 05 promoteurs de la région Est ayant obtenu les meilleurs scores du Classement Promoteurs recevront une console de jeu PS4 accompagnée d’un jeu F1 2017;
Les 05 promoteurs de la région Centre ayant obtenu les meilleurs scores du Classement Promoteurs recevront une console de jeu PS4 accompagnée d’un jeu F1 2017;
Les 05 promoteurs de la région Ouest ayant obtenu les meilleurs scores du Classement Promoteurs recevront une console de jeu PS4 accompagnée d’un jeu F1 2017;

Selon le classement final déterminé à la clôture du jeu le 28/02/2018. L’Utilisateur sera éligible au prix suivants suivantes : Les 10 Joueurs Fumeurs adultes ayant obtenu les meilleurs scores du classement des Fumeurs Adultes(les « Gagnants ») se verront offrir un voyage tous frais payés ainsi qu’une invitation à un évènement de F1 dans le cadre de ce voyage;
Cinq nuitées allant du 29/08/2018 au 03/09/2018 à Monza (Italie)
Ou bien ;
Cinq nuitées du 21/11/2018 au 26/11/2018 à Abu Dhabi (Emirats Arabes Unies)

Jouer en toute sécurité
Au cours d’une partie, il est important de jouer en toute sécurité et d'être conscient de son milieu et environnant. Vous vous engagez à ne pas utiliser l'App dans l’intention d’enfreindre quelque loi, règle ou règlement en vigueur (y compris, mais sans s'y limiter, les droits de propriété), et vous convenez de ne pas encourager ni permettre à quelque autre personne d’enfreindre quelque loi, règle, règlement en vigueur. Sans vous limiter ce qui précède, vous vous engagez conjointement à votre utilisation de l'App, à ne pas infliger de détresse émotionnelle à d'autres personnes, ni humilier d'autres personnes (publiquement ou autrement), ni menacer ni agresser d'autres personnes, ni entrer sur une propriété privée sans autorisation, ni usurper l'identité d'une autre personne ou représenter faussement quelque autre personne, titre ou entité, ni de vous engager dans une quelconque activité pouvant entraîner des blessures, la mort, des dégâts matériels, et / ou toute responsabilité de quelque nature que ce soit. Vous vous engager à ne pas partager l’App, son processus ou les éléments du jeu sur les réseaux sociaux pour quelque raison que ce soit.
Utilisation de l’App et de ses contenus
L’App et tous ses contenus (y compris les messages postés sur le forum, les logiciels, les fichiers, les graphiques, les données, les images et les autres contenus) («Contenus») sont notre propriété exclusive, et celle de nos sociétés affiliées ou de nos donneurs de licence (ou toute combinaison de ceux-ci). Tous droits de propriété intellectuelle demeurent réservés par nous-mêmes ou par nos donneurs de licence.
Il vous est interdit d’utiliser, de modifier, copier, reproduire, republier, télécharger, poster, transmettre, distribuer, vendre, octroyer des licences, louer, présenter ou afficher publiquement, diffuser, éditer, adapter ou créer une œuvre dérivée, décompiler (reverse engineer), de quelque manière que ce soit, tout ou partie de l’App ou tout ou partie de ses Contenus.
L’App et ses Contenus sont fournis uniquement pour votre usage personnel et privé. Il vous est interdit de les utiliser à d’autres fins (par exemple vous n’avez pas le droit de les utiliser pour des activités d’affaires ou à des fins commerciales). Veuillez prendre note de la clause «Limitation de la responsabilité» ci-dessous.

Communication

Vous pouvez toujours choisir de ne plus recevoir ces informations soit en utilisant le mécanisme de désinscription dans la communication elle-même soit en utilisant le mécanisme de désinscription disponible dans l'App.
Pour gérer les notifications push, allez sur la page de paramètre de votre téléphone ou dans les paramètres de l'App. Si vous désactivez les notifications push internes à l'App, vous ne recevrez plus aucune information au moyen de notifications push.
Articles
L'App permet aux titulaires de compte de ramasser des articles pendant toute la durée du jeu. Vous reconnaissez que vous ne pouvez faire l'acquisition d'aucun droit de propriété sur les articles collectés et qu’ils ne possèdent aucune valeur monétaire. Les articles ne peuvent en aucun cas être vendus, transférés ou échangés contre de l'argent virtuel, des biens virtuels, des biens « réels », de l'argent « réel », ou des services « réels » ou tout autre rémunération ou contrepartie de notre part ou de la part de quelqu'un d'autre.
Toute vente, transfert ou échange (ou tentative de le faire) des Articles d’échange dont nous estimons, de manière raisonnable, qu’elle a eu lieu en violation des présentes Conditions est interdite et peut entraîner la suppression des Articles d’échanges ou la résiliation de votre compte. Comme indiqué ci-dessous, tous les articles d’échange et autres contenus sont fournis « en l’état », sans aucune garantie.
Conduite, interdictions générales et droits de mise à exécution
Vous reconnaissez être responsable de votre conduite ainsi que de toutes les conséquences découlant de ceci. À titre d'exemple, mais sans s’y limiter, lorsque vous utilisez l’App et le contenu, vous vous engagez à ne pas :
diffamer, abuser, harceler, blesser, poursuivre, menacer ou autrement violer les droits légaux (y compris les droits à la protection de la personnalité ou à la vie privée) ;
télécharger, publier, transmettre par e-mail ou autrement rendre disponible tout contenu illégal, inapproprié, diffamatoire, obscène, pornographique, vulgaire, offensant, frauduleux, faux, ou tout contenu ou message trompeur ou mensonger ;
promouvoir ou exercer des discriminations, l'intolérance, le racisme, la haine, ou le harcèlement contre tout individu ou groupe ;
vous introduire, ou essayer de quelque manière que ce soit d'entrer ou de tenter d'accéder à un bien ou emplacement pour lequel vous ne disposez d’aucun droit ni autorisation d'être ;
violer, ou encourager toute conduite qui enfreindrait toute loi ou réglementation en vigueur ou donnerait lieu à une poursuite en responsabilité civile ;
télécharger, publier ou autrement rendre disponible des messages commerciaux ou des publicités, des opérations pyramidales, et autres communications perturbantes ;
usurper l'identité ou faire des déclarations trompeuses sur les liens qui vous unissent à une autre personne ou entité ;
promouvoir ou fournir des instructions sur des activités ou des substances illégales ou nuisibles ;
promouvoir ou se livrer à des dommages physiques, actes de violence ou blessures contre tout groupe ou individu ;
transmettre des virus, vers, défauts, chevaux de Troie ou tout autre élément de nature destructrice ;
transmettre des données, corrections ou suppressions fausses, falsifiées, trompeuses ou inappropriées ;
publier, télécharger, divulguer, soumettre ou transmettre tout contenu qui enfreigne, détourne ou viole le brevet, le droit d'auteur, la marque de commerce, le secret commercial, les droits moraux ou autres droits de propriété intellectuelle, ou les droits à la protection de la personnalité ou à la vie privée de tiers ;
accéder, altérer, ou utiliser des domaines non publiques de l’APP, des systèmes informatiques de l’App et Contenu, ou des systèmes techniques de livraison des fournisseurs de l’App ;
essayer de sonder, scanner ou tester la vulnérabilité d'un système ou d'un réseau Newland Excelerate ou d'enfreindre toute mesure de sécurité ou d'authentification ;
éviter, contourner, supprimer, désactiver, altérer, désembrouiller, ou autrement contourner toute mesure technique mise en œuvre par l’App;
essayer d'accéder ou rechercher du Contenu ou télécharger du contenu à partir de l’App grâce à l'utilisation de toute technologie ou tout moyen autre que ceux fournis par Newland Excelerate ou d'autres navigateurs Web de tiers généralement disponibles (y compris, mais sans s’y limiter, les logiciels bureautiques, crawlers, bots, spider, outils d'exploration de données, ou hacks, outils, agents ou tout autre dispositif) ;
extraire, répertorier, explorer, copier ou refléter l’App ou Contenu ou parties de ceux-ci (y compris, mais sans s’y limiter, à la base de données de l’App et d'autres informations sur les Utilisateurs ou le Jeu) ;
utiliser les meta tags ou tout autre texte masqué, ou les métadonnées utilisant une marque de commerce Newland Excelerate, le logo, l’URL, ou le nom du produit sans le consentement explicite, par écrit, de Newland Excelerate ;

prendre toute mesure qui impose ou pourrait imposer une charge déraisonnable ou disproportionnée sur l’App ou les infrastructures de Nexland Excelerate ;
supprimer, masquer ou modifier d'aucune manière que ce soit quelque attribution, avertissement, ou lien qui apparaît dans les Services ou le contenu ;
utiliser l’App ou le Contenu, ou toute partie de ceux-ci, à des fins commerciales ou pour le bénéfice d'un tiers ou d'une manière non autorisée par les présentes Conditions, y compris, mais sans s'y limiter, (a) la collecte des articles de l’App ou des ressources pour la vente en dehors de celle-ci, (b) l'exécution des services dans l'App en échange de paiement en dehors de celle-ci, ou (c ) la vente, la revente, la location ou le prêt de l'App ou de votre compte ;
collecter ou stocker des informations personnelles identifiables à partir des Services d'autres utilisateurs de ceux-ci, sans leur autorisation expresse ;
violer toute loi ou réglementation applicable ; ou
encourager ou permettre à toute autre personne de faire quoi que ce soit de ce qui précède.

Suspension et Résiliation

Constituent notamment des motifs légitimes (i) toute violation des présentes Conditions d’utilisation, (ii) en cas d’action de notre part justifiée par la protection de notre Système, de l’App, de nos utilisateurs ou de notre réputation, (iii) en cas de fraude soupçonnée ou avérée ; (iv) en cas d’impossibilité de confirmer que l’utilisateur est adulte fumeur, (v) en cas d’impossibilité de confirmer que l’utilisateur est résidant en Algérie, (vi) en cas de violation des dispositions relatives à la Conduite, interdictions générales et droits de mise à exécution énumérées ci-dessus.
En cas d’urgence ou si nous avons des motifs raisonnables de soupçonner une fraude ou une utilisation abusive de votre part de l’App ou tout autre activité illégale liée à votre compte, nous pouvons mettre fin à votre accès et à votre utilisation de l’App ou suspendre votre compte avec effet immédiat. You have reached this page after your download or use of the Newland Excelerate Mobile Application. The Newland Excelerate mobile application and the associated game are launched and managed in Algeria by their game developer (The Supplier) on behalf of Philip Morris Services S.A.
When you connect to the Newland Excelerate mobile app, you will be required to read and agree to these actual terms of use (the Terms of Use). These Terms of Use include important information about your use of the Newland Excelerate Mobile Application; you should read them before using the Newland Excelerate Mobile Application because you will be linked to them.
ACCEPTANCE OF ALL OF THESE TERMS OF USE IS MANDATORY, OTHERWISE, YOU MAY NOT HAVE ANY RIGHT TO ACCESS THE NEWLAND EXCELERATE MOBILE APPLICATION.
Definitions
"Newland Excelerate" refers to the mobile application (the "App") developed and launched in Algeria in favor of Philip Morris Services SA "Customer".
"Promoter" is an employee of (Ltd Co.) SARL Lotus Conseil.
"User", "Participant" or "Player" means an adult smoker aged 19 years or over, residing in Algeria, the Promoter and also the manager/owner of the point of sale.
"Game" means the Newland Excelerate video game accessible through the App.
"Lotus Conseil Ltd Co.", located in 05, impasse du Reservoir, Le Paradou, Hydra 16035, Algiers, Algeria, Commercial Registration number 04B0965030, and is referred to as the (Organization Company) in Algeria for the execution of Newland Excelerate.
The Organization Company will be responsible for point-of-sale registration and will ensure that players are adult smokers.
"Promoters" means employees of Lotus Conseil Ltd Co., who are present at the participating points of sale and responsible for the interaction with adult smokers regarding the App and Game.
"Points of Sale" are the participating traders in Newland Excelerate and carrying on the activity N ° 501113 (activity reference of the nomenclature of the activities of the national center of the register of trade).
"We" identifies Philip Morris Services S.A., as a member of the Philip Morris International group of companies.
Modification of Terms of Use
The Supplier reserves the right to modify these Terms of Use at any time. In such case, the Supplier will notify the users of the changes in questions by alarming when the first time you log in to the App after the changes have been made. Any browsing and use of the App after the changes to the Terms of Use constitute acceptance of the modified Terms of Use. The date at the top of this page is the date of the last update of these Terms of Use.
Using the Application
The App is intended to be used by adult smokers or adult tobacco users aged 19 or over, residing in Algeria. If you do not meet the conditions mentioned above, you are not eligible to use the App.
To create an account on the App, you must provide certain personal data, such as your smoking status, your name, your age, an ID and your e-mail/phone number, in order to check that you meet the eligibility requirements to use the App. Your data will be kept in accordance with our Privacy Conditions (for more information: see the section "Privacy or Confidentiality and Cookies").
You acknowledge to use the App: (a) for a product or device commonly known as a smartphone that runs Android; (b) in the Algerian national territory.
5. Registration and your Personal Data
The App is accessible for download via Play Store. If you want to use the App, you have to create an (Account) via the App after: (i) prior validation of your age, smoking status and registration by a Promoter, and (ii) receiving an access code from the Promoter at the participating Points of Sale. These access codes given by the Promoters are free and under no circumstances could never be resold, or exchanged for valuables properties
Personal data relating to your location will be collected for the purpose of determining your performance. Your personal data related to your location is collected for the sole purpose of determining your location in order to direct you to the objects to be collected and to count the distance traveled as part of the game to determine your performance.
The Personal Data will be managed by the Organization Company only for the purpose of organizing the Game on one hand, and on the other hand, for communication purposes.
It is important that you provide us with accurate, complete and up-to-date information for your Account. You confess to ensure that your data is always accurate, complete and updated until this very moment. You should agree not to disclose to anyone your password for the Account and to notify us immediately of any unauthorized use of your Account. You are responsible for protecting your password and all transactions on your Account, whether you know it or not.
You are not allowed to use the password or the Account of anyone at any time, and not to attempt to gain unauthorized access to the App. If you try to do so or assist others in such attempts, or if you give instructions, provide software or tools to do so, your Account will be terminated/deactivated. Any use of your account by anyone other than yourself constitutes a reason for suspension or termination of your account (see the below section "Modification and Suspension of the App"). You have to notify us immediately of any unauthorized use of your username, password, or other data relating to your account, or any other breach of security regarding your account or App if you might have information about that. You may be able to inform us via the Help/ Support button of the App menu.
6. Support / Help:
You can follow any technical problem, malfunction or request to close an account via the Help/Support button in the App menu. If you do not have access to the App, you can send your requests to the following email address: [email protected]
7. Modification and Suspension of the App
It is important to note that we reserve the right to modify, suspend or discontinue the operation of all or part of the App or access to it at our discretion. For example, we may interrupt the operation of the App for users if we have reason to believe that the App is being used by a minor.
We can also update the App and change its content at any time. Please note that, despite all our efforts to update the information in the App, any content of our App may become obsolete at any time, and we have no obligation to update it.
We may also interrupt the regular operation of all or part of the App for periodic maintenance purposes, or otherwise, error corrections or modifications.
8. Ranking
In order to distinguish adult smoker players from Promoters and Point of Sale Managers/Owners, three separate categories for each type of player will be available on the App. Each type of player (LAS, Promoters and Owner and/or Point of Sale Manager) will only see his own ranking. Adult smoker players will only have access to Adult Smoker rankings, Promoter Players will only see the Player Specific Rankings; as all the managers and/or point-of-sale owners will only have access to the ranking of managers and/or point-of-sale owners.
9. How to participate in the Game tournaments and rewards for the Managers and/or Owners of Points of Sale
The duration of the game is eight (8) weeks from 17/12/2017 to 28/02/2018. For each player, a score is determined, this score depends on:
- The distance traveled within the game;
- The number of consecutive days during which the App has been opened;
- The number of cars collected;
- The number of items to develop the collected cars
During the Game, the ranking of the best players will be updated in real time according to the items collected by the players of the App, each object collected entitles to a number of points assigned to it. The ranking is permanently available via the App and can be viewed transparently and at any time by all Users. According to the final ranking determined at the end of the game [28/02 / 2018].The player will be eligible for the following prizes:
The 05 Managers/Owners who obtained the highest scores in the Manager/Owner ranking will be offered an all-expenses-paid "Premium" trip during which they will receive an invitation to a Formula 1 (F1) race.
The Premium consists of a return air ticket to Monza or Abu Dhabi, depending on the case;
- Five nights from 29/08/2018 to 03/09/2018 in Monza (Italy)
Or ;
- Five nights from 21/11/2018 to 26/11/2018 in Abu Dhabi (United Arab Emirates)
In all cases, the cost during the stay will be full board at the hotel including (breakfast, lunch, and dinner), ground transportation (including transportation to and from the hotel), on-site transportation for scheduled events and full VIP support during the F1 events taking place there at that time.
** The Organization Company shall not bear any of the following expenses:
Visa fees will not be covered under the program
Personal expenses and tips;
Meals outside the scheduled ones;
Sickness expenses during the stay;
Travel insurance (The winner must ensure that he has travel insurance covering it, for the dates of travel and period of stay). The lack of travel insurance leads to disqualification of the winner.
The 200 managers/owners of points of sale with the highest scores in the Manager / Point of Sale Ranking will be offered an invitation for a local event.
The Prize awarded to the winner under Newland Excelerate may under no circumstances be replaced against its monetary value or any other value, or against any other type of prize.
The Prize is nominative and personal. The Prize shall not be refunded, paid for, or given to a third party.
10. How Promoters can participate in the tournaments and rewards of the Game
The duration of the game is eight (11) weeks from 17/12/2017 to 27/01/2018. For each player, a score is determined, this score depends on:
- The distance traveled in the game;
- The number of consecutive days during which the App has been opened;
- The number of cars collected;
- The number of objects to improve the collected cars.
During the Game the ranking of the best players will be updated in real time according to the items collected by the users of the App, each object collected gives the right to a number of points assigned to it. The ranking is permanently available via the App and can be viewed transparently and at any time by all users. According to the final ranking determined at the end of the game [28/02/2018], the user will be eligible for the following prizes:
The 05 promoters from the Eastern Region who have obtained the best scores in the Promoter Ranking will receive a PS4 console game accompanied by a 2017 F1 game;
The 05 promoters from the central region who obtained the best scores in the Promoter Ranking will receive a PS4 console game accompanied by a 2017 F1 game;
The 05 promoters from the Western Region who obtained the best scores in the Promoter Ranking will receive a PS4 console game accompanied by a 2017 F1 game;
11. How Adult Smoker Players can participate in the tournaments and rewards of the Game
The duration of the game is eight (11) weeks from 17/12/2017 to 28/02/2018. For each player, a score is determined, this score depends on:
- The distance traveled in the game;
- The number of consecutive days during which the App has been opened;
- The number of cars collected;
- The number of objects to improve the collected cars.
During the Game the ranking of the best players is constantly updated in real time according to the items collected by the users of the App, each object collected gives the right to a number of points assigned to it. The ranking is permanently available via the App and can be viewed transparently and at any time by all Users. According to the final classification determined at the close of the game on 28/02/2018. The User will be eligible for the following prizes:
The 10 Adult Smoker Players with the highest scores in the Adult Smoker Rankings (the Winners) will be offered an all-expenses-paid trip and an invitation to an F1 event within this trip;
Five nights from 29/08/2018 to 03/09/2018 in Monza (Italy)
Or ;
Five nights from 21/11/2018 to 26/11/2018 in Abu Dhabi (United Arab Emirates)

12. Play safely
During a game, it is important to play safely and be aware of its milieus and surroundings. You have to agree not to use the App for the purpose of violating any applicable law, rule or regulation (including, but not limited to, property rights), and not to encourage or to permit any other person to violate any law, rule or regulation in force. Beside the above mentioned, you should agree to your use of the App, not to inflict emotional distress on others, or to humiliate others (publicly or otherwise), or to threaten or abuse any other person/persons, or enter on any private property without permission, or impersonate another person or falsely represent another person, title or entity, or engage in any activity that could result in injury, death, material damage, and/or any liability of any kind. You agreed not to share the App, its process, or the elements of the game on social media for any reason whatsoever.
13. Using the App and its Contents
The App and all its contents (including messages posted on the forum, software, files, graphics, data, images, and other content) are our exclusive property and the property of our affiliated companies or our licensors (or any combination thereof). All intellectual property rights remain reserved by us or our licensors.
You shall not use, modify, copy, reproduce, republish, download, post, transmit, distribute, sell, license, rent, display or disclose publicly, edit, adapt or create a derivative work, decompile (reverse engineering), in any way whatsoever, all or part of the App or all or part of its Contents.
The App and its contents are provided solely for your personal and private use. You shall not use them for other purposes (for example, you shall not use them for business or commercial purposes). Please note the clause below "Limitation of Liability".

To the extent that we collect personal data about you through the App, we collect and process it in accordance with our Privacy Statement. Please read it to find out more about what kind of personal information we collect about you, how we use it and with whom we share them, how we protect it, what your rights are and how you can exercise it.
The App also uses cookies and similar technologies in order to collect automatically certain user data. If you want to know more about these technologies (including Google analytics cookies), how we use them and how you can accept or reject them, please see our Cookies Statement.
Please read our Privacy and Cookie Statement before you start using the App; we may modify them at any time, when necessary for these Terms of Use.

If you refuse to receive the information mentioned below, you must let us know by contacting us at [email protected].
You can always choose not to receive this information either by using the unsubscribe mechanism in the communication itself or by using the unsubscribe mechanism available in the App.
To manage push notifications, go to your phone's settings page or App settings. If you disable push notifications in the App, you will not receive any more information through push notifications.
17. Articles
The App allows Account Holders to pick up articles for the duration of the game. You acknowledge that you shall not acquire any proprietary interest in the items collected and that they have no cash value. Articles should not be sold, transferred or exchanged for virtual money, virtual goods, "real" goods, "real" money, or "real" services or any other compensation or counterpart from us or from someone else.
Any sale, transfer or exchange (or attempt to do that) of articles which we reasonably believe that has occurred in violation of these Terms, is prohibited and may result in the removal of articles exchange or the termination of your account. As indicated below, all articles exchange and other content are provided "as they are" without warranty.
18. Conduct, General prohibitions and Enforcement Rights
You acknowledge that you are responsible for your conduct and all the consequences of this. As an example, but not limited to, when you use the App and the content, consequently you agree not to:
Defame, abuse, harass, injure, prosecute, threaten or otherwise violate any legal rights (including rights of the protection of personality or privacy);
Upload, post, send by email or otherwise to make available any unlawful, inappropriate, defamatory, obscene, pornographic, vulgar, offensive, fraudulent, false content, or any deceptive or misleading content or message;
To promote or exercise discrimination, intolerance, racism, hatred, or harassment against any individual or group;
Introduce yourself, or in any way attempt to enter or attempt to access a property or location for which you have no right or permission;
Violate, or encourage any conduct that violates any applicable law or regulation in force or would result in a civil liability lawsuit;
Download, post or otherwise make available commercial messages or advertisements, pyramid schemes, and other disturbing communications;
Impersonate or make misleading statements about the links that bind you to another person or entity;
Promote or provide instructions on illegal or harmful activities or substances;
Promote or engage in physical harm, violence or injury against any group or individual;
Transmit viruses, worms, faults, Trojan horses or any other element of a destructive nature;
Transmit false, falsified, misleading or inappropriate data, corrections or deletions;
Publish, download, disclose, submit or transmit any material that infringes, misuses or violates the patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights to the protection of the personality or the privacy of others;
Access, alter, or use non-public areas of the App, and Content of computer systems, or App delivery systems;
Try to probe, scan or test the vulnerability of a Newland Excelerate system or network or to violate any security or authentication measure;
Avoid, circumvent, delete, disable, alter, descramble, or otherwise revoke any technical measure implemented by the App;
Attempt to access or search for Content or download content from the App through the use of any technology or means other than those provided by Newland Excelerate or other generally available third-party web browsers (including but not limited to office software, crawlers, bots, spiders, data mining tools, or hacks, tools, agents or any other device);
Extract, index, explore, copy or reflect the App or Content or parts thereof (including, but not limited to, the App database and other information about users of the game) ;
Using meta tags or other hidden text, or metadata using a Newland Excelerate trademark, logo, URL, or product name without written consent of Newland Excelerate;
Falsify the TCP / IP (Transmission Control Protocol) or any part of the header information in any electronic posting or newsgroup, or in any way use the services or the content to send altered, misleading or false source identification information;
Attempt to decipher, decompile, disassemble or reverse the design of any software used to provide the Services or the content;
Impede, or attempt to impede, the access of any user, host or network, including, but not limited to, sending a virus, overload, flood, spamming, or sending a massive e-mail to the App;
Take any action that imposes or could impose an unreasonable or disproportionate burden on the Nexland Excelerate App or infrastructure;
Remove, obscure or otherwise modify any attribution, warning, or link that appears in the Services or the content;
Use the App or the Content, or any part thereof, for any commercial purpose or for the benefit of a third party or in a manner not permitted by these terms, including, but not limited to (a) collection of the App's articles or resources for the sale outside of the App, (b) performance of the Services in the App in exchange for payment outside of the App, or ( c) sale, resale, rental or lending of the App or your account;
Collect or store personally identifiable information from the Services of other users thereof without their written permission;
Violate any applicable law or regulation; or
Encourage or allow any other person to do anything of the above mentioned
19. Disclaimer Clause
While we will do our best to provide an informative App that you would like to use, it is available to you "as it is" unless we have expressly stated otherwise in these Terms of Use. In addition:
It is only your responsibility, and not ours, to ensure that the App is tailored to your own needs when you use it.
We assume no liability for you concerning the App (refer to the clause below "Limitation of Liability"); and

- The fact that access to the App is uninterrupted or error-free; and
- As to the fact that the App, or the computer system from which the App is made available, is free of viruses or other prejudicial elements.
20. Limitation of liability
Nothing in these Terms of Use shall exclude or limit our liability for death or personal injury caused by our negligence, misrepresentation, gross negligence, or any other liability that can not be excluded or limited by law.
We shall not bear any liability on your part for any loss or damage caused by a virus, a computer attack rendering the service unavailable (denial of service attack), or other technological harmful equipment that may infect your computer equipment, your software, your data or other material, following your use of our App (including access to the content of our App or access to content through our App), or on a website to which our App refers to by a link.
You acknowledge and agree that the operation of the App depends on the proper functioning of the internet and other equipment and services provided by the third parties (including your own devices or internet browser) and that we provide no warranty and assume no liability for that.
We shall not bear any liability for any special, indirect, punitive or consequential loss or damage, or for any loss of data, profits, income, contracts or customers.
If you cause a technical disruption in the App or in the systems transmitting the App to yourself or others, you agree to assume full responsibility for any loss, debts, charges, damages, and costs, including reasonable attorneys' fees and court fees due or related to this disruption.
21. Suspension and Termination
We may terminate your access and use of the services or suspend your account for legitimate reasons at any time without notice. Particularly, what constitutes legitimate reasons is (i) any violation of the Terms of Use, (ii) in the case of any action by our part justified by the protection of our system, the App, our users or our reputation, ( (iii) in case of suspected or proven fraud; (iv) if it is impossible to confirm that the user is an adult smoker, (v) if it is impossible to confirm that the user is resident in Algeria, (vi) in case of violation of the provisions relating to the Conduct, general prohibitions and enforcement rights listed above.
In the event of an emergency or if we have reasonable reasons to suspect fraud or misuse on your part of the App or any other illegal activity related to your account, we may terminate your access and use of your account, or suspend your account with immediate effect. You can cancel your account at any time by:
1. Contacting us at [email protected].
2. Disabling your account from the App.
3. Uninstalling the App.
In case of uninstallation of the application, any new participation will be re-registered under a new account, and any previous progress will not be taken into consideration.
22. Other Important Rights Under These Terms of Use
We may transfer our rights and obligations under these Terms of Use to a third party.
If we fail to assure that you perform your obligations under these Terms of Use or if we do not enforce our rights against you or delay in doing so, this does not in any way imply that we waive our rights to accept such a breach or that you are no longer required to comply with these obligations. If we decide to waive our right or violate any of these Terms of Use, we will only do so in writing.
Each of the clauses of these Terms of Use is valid independently. This means that if a court or competent authority was to decide that one or more clauses were duly contrary to the law, unlawful or unenforceable, the remaining clauses would remain fully applicable.
These Terms of Use are not intended to grant rights to anyone other than you and us.

Extention of Invitation to submit a bid to host the second intra-african trade fair (iatf) in 2020 To 20 November 2018
On behalf of the Board and Management of the African Export-Import Bank (Afreximbank), please accept our best wishes.
As you are aware, Afreximbank is a multilateral development finance institution headquartered in Cairo, Egypt. It was established in 1993 by African governments, African private and institutional investors, as well as non-African financial institutions and private investors for the purpose of financing and promoting intra- and extra-African trade. Angola is a Participating State of the Bank. Pursuant to its mandate, Afreximbank, in 2017, adopted a five-year Strategic Plan, (IMPACT 2021: Africa Transformed). The Strategy amongst others, seeks to promote intra-African trade, facilitate export development through industrialization/export manufacturing, and strengthen the Bank’s leadership in African trade finance, with the ultimate objective of contributing to positive transformation of the African continent. The Bank will use a suite of financing instruments and trade facilitation interventions to implement this plan, which seeks to increase intra-African trade from USD170 billion in 2014 to over USD 250 billion by 2021.
Although the absolute value of intra-African trade has been growing, its share of Africa’s total trade is still very low. It is also relatively low in absolute terms. While there are several challenges affecting intra-African trade, the Bank has identified lack of access to trade and market information as one of the key challenges. To address this challenge, as well as to create a sustainable platform for connecting buyers and sellers across Africa, the Bank decided to, among other initiatives, introduce the Intra-African Trade Fair (IATF) to be held once every two years. The Inaugural IATF is being held in Cairo, Egypt from 11-17 December 2018 and the second one hold in 2020. The Trade Fair is one of the instruments that will support the implementation of the African Continental Free Trade Agreement and contribute towards boosting intra-African trade.
The Intra-African Trade Fair 2020 will involve all African countries, non-African countries as well as Africans in the diaspora. The objectives of IATF 2020 include: bringing together leading continental and global business enterprises to showcase and exhibit their goods and services whilst simultaneously providing business leaders with a platform to explore business and investment opportunities in Africa. IATF 2020 will comprise three main components:
An exhibition: Countries and large corporates can set up Pavilions/stands which will enable them to customise their exhibition to fit their unique requirements and to showcase their goods and services. It offers a platform for countries to identify credible partners that can facilitate Foreign Direct Investment flows necessary for expanding Africa’s productive capacity.
A B2B exchange platform where buyers and sellers (private and government entities) can meet to discuss and close business deals, seek advisory services, present and exchange information on their trade and investment projects.
A Conference running alongside the exhibition will discuss topical issues around boosting intra-African trade and promoting industrialisation and export manufacturing. The Conference will also discuss opportunities for trade facilitation (e.g. standards, customs, infrastructure and payments), among others.
In light of the foregoing, the Bank would like to inform Angola of the extension to submit a bid to host the second Trade Fair holding in 2020 to 20 November 2018. Meaning should Angola be interested in submitting a bid, we propose receiving it by 20 November 2018, 5:00 pm, Cairo Time at the latest. The bid should include the hosting package and provide relevant information required as set out in Annex 1 of the Revised Concept Note on the Intra-African Trade Fair attached. Please note that a number of countries have also been invited to bid as hosts of this very important event.
We look forward to receiving Angola’s Bid to host the Intra-African Trade Fair in 2020. We very much hope that you will engage with us in this exciting project that offers potential to promote Angola’s exports to other African countries and the diaspora, while at the same time contributing towards the continental agenda of boosting intra-African trade and achieving economic transformation of the continent. Au nom du conseil d’administration et de la direction de la Banque africaine d’import-export (Afreximbank), veuillez accepter nos meilleurs vœux.
Comme vous le savez, Afreximbank est une institution multilatérale de financement du développement basée au Caire, en Égypte. Elle a été créée en 1993 par des gouvernements africains, des investisseurs privés et institutionnels africains, ainsi que des institutions financières non africaines et des investisseurs privés, dans le but de financer et de promouvoir le commerce intra et extra-africain. L'Angola est un État participant de la Banque. Conformément à son mandat, Afreximbank a adopté en 2017 un plan stratégique quinquennal (IMPACT 2021: l’Afrique transformée). La stratégie vise, entre autres, à promouvoir le commerce intra-africain, à faciliter le développement des exportations grâce à l’industrialisation / la fabrication pour l’exportation et à renforcer le leadership de la Banque en matière de financement du commerce en Afrique, avec pour objectif ultime de contribuer à la transformation positive du continent africain. La Banque utilisera une série d'instruments de financement et d'interventions de facilitation des échanges pour mettre en œuvre ce plan, qui vise à augmenter le commerce intra-africain de 170 milliards USD en 2014 à plus de 250 milliards USD d'ici 2021.
Bien que la valeur absolue du commerce intra-africain ait augmenté, sa part dans le commerce total de l’Afrique reste très faible. Il est également relativement faible en termes absolus. Malgré que le commerce intra-africain ait à faire face à plusieurs défis, la Banque a identifié le manque d'accès au commerce et aux informations sur les marchés comme l'un des principaux défis. Pour relever ce défi et créer une plate-forme durable permettant de relier les acheteurs et les vendeurs en Afrique, la Banque a décidé, entre autres initiatives, de lancer la Foire commerciale intra-africaine (FCIA) qui se tiendra une fois tous les deux ans. La première FCIA se tiendra au Caire, en Égypte, du 11 au 17 décembre 2018 et la seconde en 2020. Le salon est l'un des instruments qui soutiendra la mise en œuvre de l'accord de libre-échange continental africain et contribuera à stimuler Commerce africain.
La Foire commerciale intra-africaine 2020 impliquera tous les pays africains, non africains ainsi que les Africains de la diaspora. Les objectifs de FCIA 2020 sont notamment les suivants: réunir les principales entreprises du continent et du monde entier pour présenter leurs produits et services, tout en offrant aux chefs d'entreprise une plate-forme leur permettant d'explorer les opportunités commerciales et d'investissement en Afrique. FCIA 2020 comprendra trois composantes principales:
• Une exposition: Les pays et les grandes entreprises peuvent installer des pavillons / stands qui leur permettront de personnaliser leur exposition en fonction de leurs besoins spécifiques et de présenter leurs produits et services. Il offre aux pays une plateforme pour identifier des partenaires crédibles pouvant faciliter les flux d’investissements directs étrangers nécessaires à l’accroissement de la capacité de production de l’Afrique.
• Une plateforme d’échange d' affaires commerciales, où les acheteurs et les vendeurs (entités privées et gouvernementales) peuvent se rencontrer pour discuter et conclure des accords commerciaux, rechercher des services de conseil, présenter et échanger des informations sur leurs projets commerciaux et d’investissement.
• Une conférence parallèlement à l'exposition abordera des questions d'actualité concernant le développement du commerce intra-africain et la promotion de l'industrialisation et de la fabrication pour l'exportation. La conférence examinera également les possibilités de facilitation des échanges (Par exemple: Des normes, des douanes, de infrastructures et des paiements), entre autres.
Compte tenu de ce qui précède, la Banque tient à informer l'Angola de la prolongation du délai imparti pour soumettre une offre visant à accueillir le deuxième salon professionnel entre 2020 et le 20 novembre 2018. Si l'Angola était intéressé à présenter une offre, nous proposons de la recevoir d'ici le 20. Novembre 2018, 17h00, heure du Caire au plus tard. L'offre doit inclure le pack d'hébergement et fournir les informations pertinentes requises conformément à l'annexe 1 de la note conceptuelle révisée sur la foire commerciale intra-africaine, jointe. Veuillez noter qu'un certain nombre de pays ont également été invités à soumissionner en tant qu'organisateurs de cet événement très important.

تم الاتفاق والتراضي والتعاقد بين كل من:
1- الطرف الأول: السيد/ أحمد بن سلطان اليوسف أحمد السويدي، ص.ب 26435 أبو ظبي، بصفته مالك العقار، ويشار اليه فيما بعد بـ "المؤجِر".
2- الطرف الثاني: السيد/ نضال عثمان السيد، ص.ب 40057 أبو ظبي، هاتف رقم 0504434272، سوداني الجنسية بموجب جواز السفر رقم 01648977 (السودان)، ويشار اليه فيما بعد بـ "المستأجِر".
1- "العقار": يقصد به العقار المقام على قطعة الأرض رقم 104 بمنطقة جزيرة أبو ظبي، حوض غرب 1/14 بمدينة أبو ظبي.
2- "العين المؤجَرة": يقصد بها الفيلا رقم 101 المُقامة على العقار المشار اليه أعلاه.
3- قام المؤجر بتأجير العين المؤجَرة للمستأجِر الذي قام بقبول الشروط الواردة في هذا العقد، ويلتزم المؤجِر بتسليم المستأجِر للعين المؤجَرة في تاريخ تحرير هذا العقد.
4- الغرض من الايجار: ايجار للسكن.
5- مدة الايجار: تبدأ من 2018/9/10، وتنتهي في 2019/3/10.
6- قيمة الايجار: 80,000 درهم (ثمانون ألف) درهم.
7- طريقة السداد: يتم دفع قيمة الايجار مقدَماً- عند التوقيع على هذا العقد- بشيك لأمر المؤجِر، أو بالايداع في حساب المؤجِر ببنك أبو ظبي الأول.
8- يلتزم المستأجِر ويتعهد بما يلي:
أ- سداد قيمة الايجار لصالح المؤجِر ف المواعيد المحدَدة في هذا العقد.
- أن يستخدم المستأجِر العين المؤجَرة وفقاً للغرض المنصوص عليه في هذا العقد.
ج- أن يلتزم المستأجِر بالعناية في استخدام العين المؤجَرة والمحافظة عليها ما يبذله الشخص المعتاد.
د- يقوم المستأجِر بدفع نفقات استخدام خدمات المياه والكهرباء والاتصالات والغاز.
9- يلتزم المؤجِر ويتعهد يما يلي:
أ- الامتناع عن كل ما من شأنه أن يحُول دون انتفاع المستأجِر بالعين المؤجَرة وفق هذا العقد، وأيقوم بصيانة العين المؤجَرة ومرافقها بشكل دوري.
ب- يقوم المؤجِر بثوثيق هذا العقد لدى الجهة المختصة بدائرة بلدية أبو ظبي.
10- تم تحرير هذا العقد في مدينة أبو ظبي من نسختين في اليوم والتاريخ المذكورين بعاليه، وقام كل طرف باستلام نسخة للعمل بموجبها.
11- يخضع هذا العقد في تفسيره وتطبيقه للقوانين السارية في دولة الامارات العربية المتحدة، وقانون ايجار الأماكن وتنظيم العلاقة بين المؤجِرين والمستأجِرين رقم (20) لسنة 2006، وتختص لجنة فض المنازعات الايجارية في امارة أبو ظبي بالنظر في أي نزاع قد ينشأ عن أيٍ من بنود هذا العقد.

Contract’s Date of Issue: 10/09/2018
By agreement and satisfaction, the contract has been concluded by and between:
First party: Mr. Ahmed Bin Sultan Al Yusuf Ahmed Al Suwaidi, P.O. Box 26435 Abu Dhabi, in his capacity as the property owner, hereinafter referred to as the "Lessor".
Second Party: NEDAL OSMAN ELSAYED, P.O. Box 40057 Abu Dhabi, Tel. No. : 0504434272, Passport No. 01648977 (Sudan), hereinafter referred to as "Tenant".
"Property" means the property located on Plot No. 104 in Abu Dhabi Island Area, West Sector No. 1/14 in Abu Dhabi City.
"Leased Premises” means the villa No. 101 located on the property referred to above.
The Lessor rents the Leased Premises to the Tenant who, has accepted the conditions stipulated herein. The Lessor undertakes to hand over the Leased Premises to the Tenant on this contract issuing date.
Purpose of rent: Residential.
Tenancy period: begins from 10/9/2018, and ends on 10/3/2019.
Rent Allowance: 80,000 AED (Eighty Thousand UAE Dirham).
Method of Payment: the rent allowance shall be payable in advance upon signing this contract by cheque for benefit of the Lessor or by depositing the same in the account of the Lessor in First Abu Dhabi Bank.
The Tenant shall be committed to and undertake the following:
Paying the rent allowance to the Lessor on the dates specified herein.
The Tenant shall use the Leased Premises for the purpose set forth herein.
The Tenant shall care for the use and maintenance of the Leased Premises like the ordinary person.
The Tenant shall pay the consumption expenses of the water, electricity, communications and gas services.
The Lessor shall be committed to and undertake the following:
Abstain from anything that would prevent the Tenant from using the Leased Premises in accordance with this Contract and maintain the Leased Premises and its facilities periodically.
The Lessor shall have this contract authenticated by the concerned authority at Abu Dhabi Municipality Department.
This contract has been drawn up in Abu Dhabi in two copies on the day and date mentioned first above, and each party received a copy thereof to work accordingly.
This contract shall be construed and implemented in accordance with laws applicable in United Arab Emirates; especially, the law concerning the rent of Places and Regulation of the landlord and Tenant relation No. (20) of 2006. The Dispute Settlement Committee of the Emirate of Abu Dhabi shall be competent to consider any dispute arising from this contract.

The Court issued the following judgment
After reading the case documents and hearing the clearance report prepared and read by the hearing session Judge Mr. Salah al-Jibali, and the deliberation that followed.
As the appeal had met its formalities.
The facts, as evidenced by the contested judgment and all the other papers, make it clear that the contestant, "Muhammad Azam Khan Swati", filed a lawsuit against the plaintiff, Hussein Fouad Mohsen Jawad Al-Sejwani, To disqualify the sale agreement dated 30-7-2017 and to require the defendant to refund AED 14.08,000, in addition to a legal interest of 12% and the amount of AED Two million as compensation with the inclusion of expedited access provision, on the basis of the statement that under a sale agreement dated 30/7/2007, the plaintiff delivered the defendant a sum of 6,276,000 UAE dirhams for the purchase of a plot of land on the 196 Al Baraha and other amounts of AED 7,805,000 for Union National Bank, which are due to the defendant in the dilapidated property, and that the defendant has acknowledged in the agreement that the property mentioned in the contract is authorized to be used as a hotel apartment, The validity of that order, with which the CISG has been built on a clear fraud revocable has an impact on the invalidity of the CISG, and then he filed the lawsuit.
The court appointed an expert in the case for the performance of the mission described in the sentence, and where the delegated expert began his usual mission to which he deposited his report, which ended with the following result:
1. The plaintiff has paid the total price of the property at a total amount of AED 7,473,000.
The property hasn't been transferred to the plaintiff because he is not a UAE national and the plaintiff did not pay UNB debt. The defendant's agent has also submitted, in the hearing of 18-8-2014, a memorandum containing a "paid fees" counter-claim against the plaintiff in the original case, requesting the judgment of the validity and effectiveness of the contract of sale dated 30-7-2007,

With the defendant being charged in return for the payment of the late installments, which the plaintiff charged to The United National Bank (UNB); as a precaution, in the event that the court annulled the agreement, an Arithmetic expert is delegated to assess the damage suffered by the plaintiff as a result of the defendant's failure to fulfill his obligations. The court received, in the hearing of 18-6-2015, a letter from the Land and Property Department, which included land plot
No. 169 in Al Baraha area within the areas allocated to the UAE citizens and the GCC countries and is not mentioned in Regulation No. 3 of 2006 for the acquisition of foreigners.
The plaintiff's agent submitted a memorandum note at the end of which considered the contract null and void, obliging the defendant to pay him AED 11,658,925 and legal interest at 12% from the date of the claim until full payment.
The defendant "Hussein Fouad Mohsen Jawad al-Sejwani" appealed this ruling by appeal No. 515 (Real Estate) for the year 2015. On 8 April 2015, the Court rejected the appeal and supported the precedent referee.
The defendant contested the verdict by way of cassation, according to an appeal document filed with the case management office on 8 April 2016, requesting a revocation; the defendant's lawyer submitted a memorandum of reply on the date in which he requested that the appeal of the court be dismissed in a Chamber of Counsel which considered that the appeal was worth considering, and a hearing had been scheduled.
As the appeal was based on three reasons that the appellant pleads for the contested judgment in violation of the law and error in its application and shortcomings and cause breach of the right of defense and violation of the fixed documents,

where the above provision was based on the assumption that "the intention of the two parties to the contract was to conclude a contract for the sale of all the pillars; however, these pillars were not completed to prove nullity, because the plaintiff is not a citizen of the State or the Gulf Cooperation Council countries (G.C.C.C), And that the plaintiff is a Pakistani national" although the contestant has admitted in his preliminary lawsuit that the agreement is the subject of the lawsuit is the use of the property and does not suffer from that the contestant decided that the appellant did not fulfill his obligations to transfer ownership and was cheated and sold him what is forbidden to sell to foreigners after he has disclosed in the contract the intention of the appellant to sell him the right to exploit the property and use it, and that the appellant does not mind if the laws change or allowed the ownership of foreigners in that region to transfer ownership to the plaintiff or to sell him the property to another UAE national when he wishes to sell, thus the applicant has carried out his contractual obligations, as determined by the report of the delegated expert of the case.

including the words in the light of the circumstances surrounding the codification with the emphasis on that fact and the common intention of the will of the contractors, and that the sermon of contracts is for purposes and meanings not words and buildings, and that if there is a way to interpret the contract, it is necessary to seek the common intention of the contractors without to understand the literal meaning of the terms with reference to the nature of the deal and the need to finfd the honesty and trust between the contractors, in accordance with the traditions of practicing transactions. The provisions of Article 4 of Law No. 7 of 2006 regarding real estate registration in the Emirate of Dubai stipulate that the right to own real estate is limited to citizens of the State and citizens of GCC States. And with the approval of the Governor in areas he determines in the Emirate, the following rights shall be granted to non-citizens:
(A) The right to own property is absolute and unrestricted property.
(B) The right to use or lease the property for a period not exceeding
99 years.

أصدرت المحكمة الحكم التالي
بعد الاطلاع على الأوراق وسماع تقرير التخليص الذي أعده وتلاه بجلسة المرافعة القاضي المقرر/ صلاح الجبالي، وبعد المداولة.
حيث أن الطعن قد استوفى أوضاعه الشكلية.
وحيث أن الوقائع- على ما يتبين من الحكم المطعون فيه وسائر الأوراق- تتحصل في أن المطعون ضده ، المدعو "محمد أعظم خان سواتي" قد أقام على الطاعن المدعو "حسين فؤاد محسن جواد السجواني" الدعوى رقم 15 لسنة 2014عقاري كلي أمام محكمة دبي الابتدائية بطلب لحكم بفسخ اتفاقية البيع المؤرخة في 30-7-2017، وبإلزام المدعى عليه برد مبلغ "14,08,000" درهم إماراتي، والفائدة القانونية بواقع 12% ، ومبلغ مليوني درهم اماراتي على سبيل التعويض مع شمول الحكم بالنفاذ المعجل، على سند من القول أنه بموجب اتفاقية بيع مؤرخة بتاريخ 30-7-2007، قام المدعي بتسليم المدعى عليه مبلغ وقدره " 6,276,000" درهم اماراتي لقاء شراء عقار على قطعة الأرض المستثمَرة رقم 196بمنطقة البراحة، ومبالغ أخرى بقيمة "7,805,000" درهم إماراتي لصالح بنك الاتحاد الوطني، وهي أقساط مستحقة على المدعى عليه في العقار محل التداعي، وأن المدعى عليه قد أقر في الاتفاقية بأن العقار محل العقد حاصل على تصريح لاستثماره كشقق فندقية، إلا أنه قد تبين للمدعي عدم صحة ذلك الأمر، مما تكون معه اتفاقية البيع قد بُنِيَت على غِش فاحش له أثره في بطلان اتفاقية البيع، ومن ثَم فانه قد أقام الدعوى.
ندبت المحكمة خبيراً في الدعوى لأداء المأمورية المبينة بمنطوق حكمها ، وحيث باشر الخبير المنتدَب مأموريته المعهودة اليه، التى أودع عنها تقريره الذي انتهى الى النتيجة الاتية:
1- أن المدعي قد سدد من ثمن العقار مبلغا اجماليا قدره "7,473,000" درهم اماراتي.
2- لم يتم نقل الملكية للمدعي لأنه ليس من مواطني دولة الامارات العربية المتحدة، وأن المدعي لم يسدد ديْن بنك الاتحاد الوطني. كما قدم الحاضر عن المدعى عليه بجلسة 18-8-2014 مذكرة تضمنت لائحة دعوى متقابلة "خالصة الرسوم" ضد المدعي في الدعوى الأصلية بطلب الحكم بصحة ونفاذ عقد البيع المؤرَخ بتاريخ 30-7-2007،

مع إلزام المدعى عليه في مقابل ذلك بسداد الأقساط المتأخرة عليه، والتي تحملها عنه المدعي تقابُلاً لدى بنك الاتحاد الوطني؛ وعلى سبيل الاحتياط، فانه في حالة قضاء المحكمة بفسخ الاتفاقية يتم ندب خبير حسابي لحصر قيمة الأضرار التي لحقت بالمدعي تقابلاً مع جراء إخلال المدعى عليه"تقابُلاً" بتنفيذ التزاماته، وبجلسة 18-6-2015، ورد للمحكمة كتاب دائرة الأراضي والأملاك الذي تضمن قطعة الأرض رقم "169" بمنطقة البراحة ضمن المناطق المخصصة ملكيتها لمواطني الدولة، ودول مجلس التعاون الخليجي وغير واردة في النظام رقم 3" لسنة 2006 المخصصة لتملُك الأجانب. وقدم الحاضر عن المدعي مذكرة طلب في ختامها اعتبار العقد باطلا بطلاناً مُطْلَقاً، وبالزام المدعى عليه بأن يؤدي له مبلغ 11,658,925 درهم اماراتي، والفائدة القانونية بنسبة 12% من تاريخ المطالبة حتى تمام السداد.
وبتاريخ 9-7-2015، حكمت المحكمة: 1- بقبول الطلب العارض المقدم من المدعى عليه شكلاً ورفضه موضوعاً. 2- حكمت المحكمة في الدعوى الأصلية ببطلان عقد التصرف عن قطعة الأرض رقم "169" بمنطقة البراحة والمبرم بين المدعي والمدعى عليه، والمؤرخ بتاريخ 30-7-2007 . 3-إلزام المدعى عليه أصلياً بأن يرد للمدعي أصلياً ومبلغاً وقدره " 8,938,925" درهم اماراتي، وهو مبلغ جملة ما سدده المدعي من ثمن العقار محل التداعي، بالإضافة الى الفائدة القانونية على هذا المبلغ بواقع 9% من تاريخ المطالبة القضائية وحتى إتمام السداد. ورفضت المحكمة ما عدا ذلك من طلبات.
استأنف المدعى عليه "حسين فؤاد محسن جواد السجواني" هذا الحكم بالاستئناف رقم 515 لسنة 2015 عقاري. وبتاريخ 8-4-2016، قضت المحكمة برفض الاستئناف وبتأييد الحكم المستأنَف عليه. طعن المدعى عليه في هذا الحكم بطريق التمييز بالطعن الماثل بموجب صحيفة أُودِعَت بمكتب إدارة الدعوى بتاريخ 8-4-2016، طالباً نقضه؛ وقدم المحامي الحاضر عن المدعى عليه مذكرة بالرد في الميعاد طلب فيها رفض طعن المحكمة في غرفة مشورة رأت أن الطعن جدير بالنظر فحددت جلسة للنظر فيه.
حيث أن الطعن قد أقيم على ثلاث أسباب ينعي بها الطاعن على الحكم المطعون فيه مخالفةً للقانون وخطأ في تطبيقه والقصور والتسبب في الإخلال بحق الدفاع ومخالفة الثابت بالأوراق ،

حيث قام الحكم سالف الذكر على افتراضه "أن نية طرفي العقد اتجهت لإبرام عقد بيع كاملا لأركان؛ إلا أن هذه الأركان لم تكتمل لثبوت بطلانه، لأن المستأنَف ضده ليس من مواطني الدولة أو دول مجلس التعاون الخليجي، وأن الأرض محل التعاقد لا يمكن تسجيلها سوى لهاتين الفئتين المذكورتين فقط دون الأجانب، وأن المستأنَف ضده باكستاني الجنسية" رغم أن المطعون ضده قد أقر بصحيفة دعواه الابتدائية أن الاتفاقية موضوع الدعوى هي الانتفاع بالعقار ولا ينال من ذلك ما عاد المطعون ضده وقرر أن الطاعن لم يوفِ بالتزاماته بنقل الملكية وأوقع عليه الغش وباع له ما هو محظور بيعه للأجانب بعد أن أفصح في التعاقد وتبين نية الطاعن معه في بيع حق استغلال العقار والانتفاع به، وأن الطاعن لا يمانع اذا تغيرت القوانين أو سمح بتملك الأجانب في تلك المنطقة أن ينقل الملكية للمطعون ضده أو أن يبيع المطعون ضده العقار لمواطن إماراتي آخر عند رغبته في البيع، وبذلك يكون الطاعن قد قام بتنفيذ التزاماته التعاقدية كما هو ثابت بتقرير الخبير المنتدب في الدعوى. إلا أن المطعون ضده تقاعس عن سداد الأقساط المستحقة عليه لبنك الاتحاد الوطني ولم يتطرق لباقي عناصر الدعوى، الأمر الذي ترتب عليه رفض الدعوى المتقابلة المقامة من جانبه وكانت طلباته الطاعن في الدعوى المتقابلة أصلياً رفض الدعوى الأصلية واحتياطياً في حالة فسخ أو بطلان الاتفاقية ندب خبير حسابي في الدعوى لتقدير قيمة الأضرار التي لحقت بالمدعي تقابلاً نتيجة إخلال المدعى عليه تقابلاً بتنفيذ التزامه العقدي، وحيث أنه قد رفض الحكم المطعون فيه الطلب الأصلي ولم يبحث الطلب الاحتياطي للطاعن مما يُعيبه ويستوجب نقضه.
وحيث أن هذا النعي غير سديد، ذلك لأنه من المقرر- في قضاء هذه المحكمة- أنه يتعين على محكمة الموضوع عند فصلها في النزاع المعروض عليها أن تتصدى لتكييف العقد الذي يربط بين الخصوم، وذلك للتعرف على حقيقة مرماه وبما تضمنه

من عبارات على ضوء الظروف التي أحاطت بتحريره مع الاعتداد في ذلك بحقيقة الواقع والنية المشتركة التي اتجهت إليها إرادة المتعاقدين، وأن العبرة في العقود للمقاصد والمعاني لا للألفاظ والمباني، وأنه اذا كان هناك محل لتفسير العقد فانه يتوجب البحث عن النية المشتركة للمتعاقدين دون الوقوف على المعنى الحرفي للألفاظ مع الرجوع لطبيعة التعامل ولما ينبغي أن يتوافر من الأمانة والثقة بين المتعاقدين وفقاً للعُرف الجاري في المعاملات ولا يعتد بما تفيده عبارة معينة دون غيرها من عبارات، بل ينبغي الأخذ بما تفيده العبارات بأكملها وفي مجموعها، وأنه من المقرر وفقاً لأحكام المادة الرابعة من القانون رقم 7 لسنة 2006بشأن التسجيل العقاري في إمارة دبي أنه يقتصر حق تملك العقارات على مواطني الدولة ومواطني دول مجلس التعاون الخليجي وعلى الشركات المملوكة لهم بالكامل وكذلك على شركات المساهمة العامة، ويجوز بموافقة الحاكم في مناطق يحددها في الامارة منح أشخاص من غير المواطنين الحقوق الآتية: (أ) حق تملك العقار ملكية مطلقة غير مقيدة بزمن. (ب) حق الانتفاع بالعقار أو حق استئجاره لمدة لا تتجاوز 99 عام.
ولما كان ذلك هو الثابت بالأوراق مما حصله الحكم المطعون فيه منها أنه أقام قضاء سالف البيان على ما أورده بأسبابه وما استخلصه من بنود العقد سند الدعوى ومن كافة أوراقها والمستندات المقدمة فيهاعلى أن نية طرفيْ الدعوى قد اتجهت في كافة بنود العقد الى قيام المستأنَف ضده بشراء العقار موضوع الدعوى وأنهما قد أبرما عقد بيع كامل الأركان، الا ان هذه الأركان لم تكتمل لثبوت بطلانه، حيث أن المستأنَف ضده ليس من مواطني الدولة أو دول مجلس التعاون الخليجي، ولا يمكن تسجيل الأرض باسمه كونه أجنبياً "باكستاني الجنسية"؛ وكان ما خلص اليه الحكم المطعون فيه وأقام عليه قضاؤه قد أُقيم على أسباب سائغة لها معينها الثابت بالأوراق وفيها الرد المسقِط لكافة دفاعات وأقوال الطاعن التي تمسك بها والتي أدرجها في حيثيات طعنه، ولا ينال من ذلك عدم رد الحكم المطعون فيه على طلب الطعن الاحتياطي "بندب خبير" بعد قضائها

ببطلان العقد ورفض دعوى الطاعن المتقابلة، ذلك لأن هذا الطلب يُعَد وسيلة إثبات لدعواه وليس طلباً احتياطياً، ويكون النعي عليه بما سلف جدلا موضوعيا يدخل في سلطة محكمة الموضوع التقديرية مما تنحسر عنه رقابة محكمة التمييز وبالتالي غير مقبول.
وحيث انه ولما تقدم، فانه يتعين رفض الطعن
ولذلك
حكمت المحكمة: برفض الطعن و بإلزام الطاعن بالمصروفات وبمبلغ ألفيْ درهم اماراتي مقابل أتعاب المحاماة، مع مصادرة مبلغ التأمين.
