INTERPRETATION AND LIMITATION OF LIABILITY
(1) The regulations contained in the Model Articles for Private Companies Limited by Shares set out in Schedule 1 of The Companies (Model Articles) Regulations 2008 (SI 3229/2008), shall not apply to the Company.
(2) In the articles, unless the context requires otherwise:
"the 2006 Act" means the Companies Act 2006;
"articles" means the Company's articles of association;
"bankruptcy" includes individual insolvency proceedings in a jurisdiction other than England and Wales or Northern Ireland which have an effect similar to that of bankruptcy;
"chairman" has the meaning given in article 12;
"chairman of the meeting" has the meaning given in article 40;
"Companies Acts" means the Companies Acts (as defined in section 2 of the Companies Act 2006), in so far as they apply to the Company;
"director" means a director of the Company, and includes any person occupying the position of director, by whatever name called;
"distribution recipient" has the meaning given in article 32;
"document" includes, unless otherwise specified, any document sent or supplied in electronic form;
"electronic form" has the meaning given in section 1168 of the 2006 Act;
"fully paid" in relation to a share, means that the nominal value and any premium to be paid to the Company in respect of that share have been paid to the Company;
"hard copy form" has the meaning given in section 1168 of the 2006 Act;

1 Termini definiti
(1) Le norme contenute nello Statuto standard per le società private limitate per azioni come descritto nell’Allegato 1 delle norme delle Società (Statuto standard) 2008 (SI 3229/2008), non si applicano alla società.
(2) Negli articoli, tranne ove diversamente richiesto dal contesto:
"Atto 2006" si riferisce al Companies Act 2006 (Legge sulle società);
"articoli" si riferisce agli articoli costitutivi della società;
"fallimento" comprende le procedure individuali di insolvenza in una giurisdizione fatta eccezione l’Inghilterra e il Galles o l’Irlanda del Nord, le quali hanno un effetto simile a quello della bancarotta;
"Presidente del C.d.A." ha il signifcato dato dall‘articolo 12;
"Presidente dell’assemblea" ha il signifcato dato dall‘articolo 40;
"Companies Act" si riferisce alle Leggi sulle Società (come definito nella sezione 2 del Companies Act 2006) nella misura in cui si applicano alla società;
"dirigente" si riferisce al responsabile della società e comprende qualsiasi persona occupi la posizione di dirigente, qualsiasi sia il nome datogli;
"destinatario della distribuzione" ha il significato dato dall’articolo 32;
"documento" include, se non diversamente specificato, qualsiasi documento inviato o fornito in formato elettronico;
"formato elettronico" definizione data nella sezione 1168 dell‘Atto 2006 (Legge sulle società);
"versato interamente" in merito all’azione, significa che il valore nominale e l’eventuale sovrapprezzo deve essere versato alla società nei confronti di tale azione pagata alla società;
"formato cartaceo" definizione data nella sezione 1168 dell’Atto 2006 (Legge sulle società);
