Source text - English By and between x.y., whose registered office is in ___, represented by its legal representative Mr ___ (hereinafter referred to as the SELLER);
and
T.Z., whose registered office is in ___ represented by its legal representative Mr ___ (hereinafter referred to as the BUYER);
WITNESSETH:
- whereas the SELLER is an Italian company which manufactures and markets ___ as of Annex 1 hereto (hereinafter the PRODUCTS);
- whereas the parties agree that all the PRODUCTS supplied by the SELLER to the BUYER shall be governed by the general conditions as provided herein;
Therefore, in consideration of the mutual covenants herein contained, it is agreed as follows:
1. RECITAL AND ANNEXES
1.1 The recitals and the Annexes are an integral part of these general conditions of sale.
2. ORDERS AND DELIVERIES OF THE PRODUCTS
2.1 No order of the BUYER shall be binding for the SELLER unless expressly accepted in writing by the SELLER.
2.2. The PRODUCTS shall be delivered by the SELLER to the BUYER Ex Works (EXW) - SELLER’s plant at ___ within ___ days from the SELLER’s acceptance of the relevant order.
2.3 The SELLER shall not be liable for any loss or damage to the PRODUCTS after delivery to the BUYER; in no case shall the BUYER be relieved from its obligation to pay the price of the PRODUCTS when loss or damage to the PRODUCTS occurs after the transfer of risk on the BUYER.
2.4 The SELLER shall be entitled to withhold the delivery of the PRODUCTS in the event that the BUYER fails to make payment thereof.
2.5 In the event of delay in delivery of the PRODUCTS, for which the SELLER may be responsible, the BUYER shall not be entitled to any compensation, under any form, for the damages it may suffer.
3. TECHNICAL CHARACTERISTICS OF THE PRODUCTS
3.1 The technical characteristics or specifications of the PRODUCTS, as may have been indicated in brochures, price lists, catalogues and similar documents, shall be binding, for the purpose of assessing conformity thereof, only if specifically referred to in the relevant order and accepted by the SELLER.
3.2 At all times the SELLER shall be entitled to modify the PRODUCTS as necessary ar appropriate, provided that the SELLER informs the BUYER of any such modifications.
4. PRICES AND PAYMENT OF THE PRODUCTS
4.1 Unless otherwise agreed, prices of the PRODUCTS are to be considered Ex Works; any additional costs or charges whatsoever relating to delivery and/or transport shall be exclusively for the account of the BUYER.
4.2 The parties may agree that payment of the PRODUCTS is made by means of an irrevocable docuemtary credit, to be issued in accordance with the ICC UCP 600; such credit shall be notified to the SELLER at least 60 days before the agreed date of delivery; the documentary credit shall have to be confirmed by an Italian bank approved by the SELLER.
4.3 If the parties agree that payment of the PRODUCTS is to be made after delivery thereof, the BUYER shall pay the price of the PRODUCTS within ___ days from the date on which the relevant invoice was issued.
4.4 In case of delay in payment, the BUYER shall pay the SELLER an interest equals to ___%.

1. PREMESSE E ALLEGATI
1.1 le Premesse e gli Allegati sono parte integrante delle presenti condizioni generali di vendita.
2. ORDINI E CONSEGNE DEI PRODOTTI
2.1 Nessun ordine dell’ACQUIRENTE sarà vincolante per il VENDITORE, salvo se non sia stato espressamente accettato per iscritto dal venditore stesso.
2.2. I PRODOTTI dovranno essere consegnati dal VENDITORE all’ACQUIRENTE Franco Fabbrica (EXW) presso lo stabilimento del VENDITORE, in ___, entro ___ giorni dall’accettazione del rispettivo ordine.
2.3 Il VENDITORE non sarà responsabile di eventuali perdite o danni ai PRODOTTI successivi alla consegna all’ACQUIRENTE; in nessun caso l’ACQUIRENTE sarà esonerato dall’obbligo di pagamento dei PRODOTTI se la perdita o il danno ai prodotti stessi, avvengano dopo il trasferimento dei rischi all’ACQUIRENTE.
2.4 A tale riguardo, il VENDITORE avrà diritto di sospendere la consegna dei PRODOTTI nel caso in cui l’ACQUIRENTE non effettuasse il pagamento.
2.5 In caso di eventuale ritardo nella consegna dei PRODOTTI, per il quale il VENDITORE possa essere considerato responsabile, l’ACQUIRENTE non avrà diritto ad alcun risarcimento, di nessuna forma, per i danni che abbia potuto subire.
3. CARATTERISTICHE TECNICHE DEI PRODOTTI
3.1 Le caratteristiche tecniche o le specifiche dei PRODOTTI, come eventualmente indicate in brochures, listini prezzi, cataloghi e documenti analoghi, saranno obbligatorie ai fini della valutazione di conformità prevista, solo se specificamente richiamate nel relativo ordine e accettate dal VENDITORE.
3.2 Il VENDITORE si riserva di modificare in qualsiasi momento i PRODOTTI, quando necessario e opportuno, a condizione che il VENDITORE informi l’ACQUIRENTE di tali modifiche.
4. PREZZI E PAGAMENTO DEI PRODOTTI
4.1 Salvo diverso accordo, i prezzi dei PRODOTTI si intendono resa Franco Fabbrica; qualunque costo aggiuntivo o onere relativo alla consegna e/o al trasporto saranno a carico esclusivo dell’ACQUIRENTE.
4.2 Le parti concordano che il pagamento dei PRODOTTI dovrà essere eseguito per mezzo di credito documentario irrevocabile, emesso in conformità con le ICC UCP 600; tale credito dovrà essere notificato al VENDITORE almeno 60 giorni prima della data concordata della consegna; il credito documentario dovrà essere confermato da una banca italiana approvata dal VENDITORE.
4.3 Se le parti concordano nello stabilire che il pagamento dei PRODOTTI avvenga dopo la consegna, l’ACQUIRENTE dovrà pagare il prezzo dei PRODOTTI entro ___ giorni dalla data di emissione della fattura ad esso corrispondente.
4.4 In caso di ritardo del pagamento, l’ACQUIRENTE dovrà pagare al VENDITORE un interesse pari a ___%.

Source text - English The cathedral situated between Piazza Martiri della Libertà and Piazza Orsini, has undergone various phases of construction, and currently comprises two main structures: the older eastern part, known as the “Guidi nave”, built in 1158-74, commissioned by Bishop Guido II, has a nave and two aisles with alternating columns and pillars. On a higher level behind the transept is the western part, or “Arcioni nave”, which dates back to the extension requested by Bishop Niccolò degli Arcioni from 1332-35, and is subdivided into six spans with ogival arches. The centre of the three-part transept has an octagonal segmented dome, of mid-northern influence and uncertain date. Near the centre of the nave, there is a cross-section with the Baroque chapel of San Berardo built from 1731-1776. During the Baroque restorations its interior was completely reinterpreted with original features, which were subsequently removed during the 1932-35 restorations. The exterior has a series of significant features such as the main portal dated 1332 by the Roman sculptor Deodato di Cosma, with a round archivolt enhanced by a golden mosaic decoration, a high cusp tympanum decorated with statues and a large rose window. The two columns, at each end, support two sculptures by Nicola da Guardiagrele. The double-lancet and oval windows lighten the square belfry, begun in the 12th century and finished in 1493 by Antonio da Lodi, who built the soaring octagonal structure covered by majolica and culminating in a pyramidal cusp.
The cathedral has many masterpieces, such as, Nicola da Guardiagrele’s silver paliotto, made between 1433 and 1448, and found today on the high altar, the beautiful marble aedicule by Antonio da Lodi, the precious Sagrestia Nuova wooden altar (1594-1632), with 17th century paintings by the Pole, Sebastiano Majewski. The 15th century polyptych by Venetian Jacobello del Fiore decorates the Baroque altar in the San Berardo chapel. In the apse we find a large round window with polychromatic glass, by Duilio Cambellotti.
Translation - Italian La cattedrale, situata tra Piazza Martiri della Libertà e Piazza Orsini, ha attraversato diverse fasi costruttive e attualmente è costituita da due strutture principali. La parte più antica, quella orientale, conosciuta come “navata guidiana”, costruita negli anni 1158-74 e commissionata dal vescovo Guido II, ha una navata centrale e due laterali, con colonne e pilastri alternati. A un piano superiore, dietro il transetto, troviamo la parte occidentale, detta anche “navata arcioniana”, che risale all’ampliamento voluto dal vescovo Niccolò degli Arcioni tra il 1332 e il 1335, ed è suddivisa in sei campate con archi ogivali. Al centro del transetto tripartito vi è una cupola a spicchi ottagonale, di influenza centro-settentrionale, della quale non si conosce con precisione la data di costruzione. Accanto al centro della navata si sviluppa una struttura trasversale contenente la cappella barocca di San Berardo, costruita negli anni 1731-1776. Durante il periodo barocco, i lavori di restauro ne hanno completamente reinterpretato lo spazio interno, arricchendolo con elementi originali che sono stati successivamente rimossi nel restauro degli anni 1932-35. La facciata presenta una serie di importanti caratteristiche, come il portale principale del 1332, realizzato dallo scultore romano Deodato di Cosma, sopra il quale si erge un archivolto circolare arricchito da un mosaico dorato, un alto timpano a cuspide, decorato con delle statue, e un ampio rosone. Le due colonne esterne sorreggono due sculture di Nicola da Guardiagrele. Le finestre a bifore e gli oculi illuminano il campanile a pianta quadrata, cominciato nel XII secolo e terminato nel 1493 da Antonio da Lodi, che realizzò la struttura ottagonale ricoperta di maiolica e terminante in una cuspide piramidale.
La cattedrale conserva al suo interno numerosi capolavori, come: il paliotto d’argento di Nicola da Guardiagrele, realizzato tra il 1433 e il 1448, che oggi si trova sull’altare maggiore; la splendida edicola marmorea di Antonio da Lodi; il prezioso altare ligneo della Sagrestia Nuova (1594-1632), che conserva le tele seicentesche del polacco Sebastiano Majewski. Il polittico del veneziano Jacobello del Fiore, risalente al XV secolo, decora l’altare barocco nella cappella di San Berardo. Nell’abside troviamo una grande finestra circolare con vetrata policroma, realizzata da Dulio Cambellotti.
