A. License Fee: Distributor represents and warrants that Distributor shall pay to Licensor, on a timely basis pursuant to the schedule below, the following license fee (“License Fee”):
US$ net, payable without any offset or other deductions of whatsoever kind or nature, including, without limitation, withholding tax and/or remittance tax.
The License Fee is a minimum net sum and no deductions of any kind may be made from it.
B. Payments: Distributor will pay to Licensor the License Fee in the following instalments:
(i). 50% (US$) due upon execution of this Agreement and Distributor’s receipt of the IFTA Certificate of Origin, Chain of Title Affidavit, and Letter of Authorization (the “Copyright Documents”) and Notice of Censorship Approval;
(ii) 50% (US$) due upon Notice of Delivery and Distributor’s receipt of the authenticated and notarized Copyright Documents. In this Agreement, “Notice of Delivery” shall mean Licensor’s notification to Distributor that the materials necessary to manufacture the Initial Materials of the Picture (as hereinafter defined) are available at Distributor’s sole cost and expense.
All costs (not to exceed USD$) incurred with the Authentication and Notarization of any Distributor-requested Copyright documents shall be borne entirely by Distributor and paid in accordance with any materials fees.
V. ADDITIONAL DEAL TERMS
8. Anti-Piracy Rights: Distributor is legally and exclusively authorized to enforce its rights under this Agreement against such infringements in the Territory and Licensor agrees to give any necessary assistance to Distributor in such case of anti-
piracy. The parties agree that Distributor and any previously approved third party delegated by Distributor shall have the exclusive right to enforce the rights granted under this agreement against infringements on Distributor's own behalf in the licensed Territory pursuant to all the terms and conditions of this Agreement. Further, Distributor is entitled to all compensations and other incomes resulting from such actions.

III. 金融交易条款
A．版权费：平台声明并保证，将依照以下计划，及时向版权方支付以下版权费：
美元净额，无任何抵押或任何种类或性质的扣除，包括但不限于欲扣税和/或汇款税。
版权费为最低净额，不得以任何形式从中扣除。
B．付款: 平台将按以下条例分期向版权方支付版权费
(i). 在签署本协议并且平台收到IFTA证书原件、所有权链宣誓声明、授权书（版权文件）和审查批准通知后，支付50%（美元）
(ii) 交付通知书发出，平台收到经认证和公证的版权文件后，支付50%（美元）。本协议中，“交付通知”是指版权方向平台发出的通知，其中说明制作图片的初始材料（定义见下文）所必需的材料由平台自行承担成本和费用。
任何平台要求的版权文件的认证和公证产生的一切费用（不超过美元范畴）应完全由平台自行承担，并根据任何材料费用支付。
V. 附加交易条款
8. 反盗版权：平台在法律上仅被授权在区域内针对此类侵权行为行使本协议中的权利，且版权方同意在此类反盗版情况下向平台提供任何必要的协助。双方同意，根据本协议的所有条款和条件，平台和平台先前批准的第三方委托人应享有专有权执行本协议中授予的权利，以防止平台代表自己在许可区域内发生侵权行为。此外，平台有权获得因此类行为导致的所有赔偿和其他收入。
