Source text - English 13. REPRESENTATIONS AND WARRANTIES
Each of the Borrowers represents and warrants to and for the benefit of the Lender as follows:
(a) Such Borrower is duly incorporated, validly existing and in good standing under the laws of its country of incorporation.
(b) Such Borrower has the corporate power and authority, and the legal right, to make, deliver and perform this Agreement and has taken all necessary corporate action to authorize the execution, delivery and performance of this Agreement.
(c) This Agreement has been duly executed on behalf of such Borrower.
(d) This Agreement constitutes the legal, valid and binding obligation of such Borrower enforceable against such Borrower in accordance with its respective terms, except as enforceability might be limited by applicable bankruptcy, insolvency, reorganization, moratorium or similar laws affecting the enforcement of creditors' rights generally and by general equitable principles.
Translation - Spanish 13. DECLARACIONES Y GARANTIAS
Cada una de las PRESTATARIAS declara y garantiza al PRESTAMISTA para su beneficio, lo siguiente:
(a) Que dicha PRESTATARIA es una compañía debidamente constituida, válidamente existente y con buena reputación de acuerdo con las leyes de su país de constitución.
(b) Dicha PRESTATARIA cuenta con el poder y la autoridad corporativa, así como el derecho legal, para celebrar, otorgar y cumplir este CONVENIO y ha tomado todas las acciones corporativas necesarias para autorizar la ejecución, otorgamiento y cumplimiento de este CONVENIO.
(c) Este CONVENIO ha sido debidamente firmado en nombre de dicha PRESTATARIA.
(d) Este CONVENIO constituye una obligación legal, válida y vinculante de dicha PRESTATARIA, exigible a dicha PRESTATARIA de acuerdo con sus respectivos términos, excepto que la exigibilidad pudiera estar limitada por leyes aplicables de quiebra, insolvencia, reorganización, mora o similares que afecten la exigibilidad de los derechos de acreedores en general y por principios generales equitativos.
