4. Ownership of Content
You acknowledge that we own or control all relevant intellectual property rights in the Site and the Content, including but not limited to data, text, software, music, sound, photographs, graphics, video, messages or other materials. You may not publish, distribute, extract, utilize, or reproduce any part of the Site or Content in any form (including storing it in any medium) other than as expressly allowed herein or as permitted on the Site. Powers and liabilities of directors
Directors owe fiduciary duties to the company. These duties include a duty to act honestly in good faith and in what the directors believe to be in the best interests of the company. A director shall act with proper purpose and shall not act or agree to the company acting in a manner that contravenes the Business Companies Act of the Memorandum and/or the Articles. A director when acting exercising his powers or performing his duties shall exercise the care, diligence, and skill that a reasonable director would exercise in the same circumstances taking into account, but without limitation, (i) the nature of the company; (ii) the nature of the decision; and (iii) and the position of the director and the nature of the responsibilities undertaken by the director. These duties are owed to the company itself, and not generally to individual shareholders except in a joint venture arrangement where the Articles expressly permit a director to act in the interests of a particular shareholder.
