Explanation:
This is a very specific legal term that does not exist in common law, Giovanni is correct, and I think it is specific to Italy. It is a deposit, but much more complicated than that, so you should leave the italian in brackets as well.

Essentially, a caparra confirmatoria is a deposit that binds both parties. For example, in real estate, if you are buying a property you would pay a caparra, usually confirmatoria, for example 10,000 euros.

If you, the buyer, pull out after paying this caparra (specified as such in the offer letter or preliminary contract), you would lose that deposit.

However, if the seller were to pull out after receiving it, not only would they have to pay it back, they would have to pay back DOUBLE the amount of the deposit. Not only that, but the buyer could force the sale through the courts or alternatively could seek additional damages.

If the caparra were a caparra penitenziaria, the "double the deposit back" rule still applies, but it would not be possible to force the sale through the courts. The double deposit (or loss of the deposit on the part of the buyer) acts as compensation with no possibility of further recourse.

The two different kinds of caparra are regulated by the Italian Civil Code, articles 1385 and 1386.

They differ from a "deposito cauzionale", which is why I think it better to use the term "deposit" with the Italian left in brackets and a translator's note if at all possible, as it is absolutely essential that the English speaking party understand the concept.


Here is what the Italian Civil Code says about them:

Art. 1385 Caparra confirmatoria
Se al momento della conclusione (1326) del contratto una parte dà all'altra, a titolo di caparra, una somma di danaro o una quantità di altre cose fungibili, la caparra, in caso di adempimento, deve essere restituita o imputata alla prestazione dovuta (1194).
Se la parte che ha dato la caparra è inadempiente (1218), l'altra può recedere dal contratto, ritenendo la caparra; se inadempiente è invece la parte che l'ha ricevuta, l'altra può recedere dal contratto ed esigere il doppio della caparra (1386,1826; att. 164).
Se però la parte che non è inadempiente preferisce domandare l'esecuzione o la risoluzione (1453 e seguenti) del contratto, il risarcimento del danno è regolato dalle norme generali (1223 e seguenti; att. 164).

Art. 1386 Caparra penitenziale
Se nel contratto è stipulato il diritto di recesso per una o per entrambe le parti, la caparra ha la sola funzione di corrispettivo del recesso.
In questo caso, il recedente perde la caparra data o deve restituire il doppio di quella che ha ricevuta.
