categories of institutional investors, with the assistance or intermediation of an SECregistered
broker-dealer (the establishment of such an arrangement is typically
referred to as a “chaperoning arrangement” and the SEC-registered broker-dealer
is often referred to as the “chaperoning broker-dealer”)
