Defaults and Events of Default
The Lead Arranger shall not be deemed to have knowledge or notice of the occurrence of a Default or an Event of Default (other than the non-payment of principal of or interest on the Credit, of the Commitment Fee, of the Management Fee or of the Arrangement Fee) unless the Lead Arranger has received notice from a Lender or the Borrower specifying such Default or Event of Default and stating that such notice is a "Notice of Default" or a “Notice of Event of Default. In the event that the Lead Arranger receives such notice, the Lead Arranger shall give prompt notice thereof to the Lenders (and shall give each Lender prompt notice of each such non-payment). The Lead Arranger shall take such action with respect to such Default or Event of Default as shall be directed by the Lenders, provided that unless and until the Lead Arranger shall have received such directions, the Lead Arranger may (but shall not be obligated to) take such action, or refrain from taking such action, with respect to such Default or Event of Default as it shall seem advisable and in the best interest of the Lenders.
