Protiplnění objednatele

Discussion

Nathaniel2 May 24, 2013:
what this sounds like to me is a condition precedent, a duty that must be fulfiled before the contractor can deliver the equipment
Stuart Hoskins May 24, 2013:
This is precisely my point Counter-performance cannot come before performance.
simiki (asker) May 24, 2013:
yes, it must be before the delivery itself, e.g in order to deliver a cutting machine, the client needs to adjust the floor (leveling) and provide supply cables etc. so in order to deliver A, the client must privde/do B. in the offer it is stated "protiplnění", which is usually meant as "if I do A for you, I will get B from you for free", but this is not such a case.
Stuart Hoskins May 24, 2013:
Consider the asker's question Ms Simiki implies they are not contemporaneous. This is precisely why she has asked her question.
Stuart Hoskins May 24, 2013:
performance/counter-performance: logical sequence “if in terms of the contract the performance and counter-performance are not contemporaneous, then one party can sue for performance without tendering counter-performance”

By your description, the “protiplnění” here is more in the context of “vzajemné plnění”

“The acquis does not contain any clear provision allowing one party to withhold its performance when the other party's reciprocal performance is delayed.”

neutral Hannah Geiger (X) : reciprocal is used, more often than not, in 'reciprocal promises' any contract in which parties enter into a mutual agreement is a reciprocal contract

in order for frustration to be used as a defense for nonperformance, the value of the anticipated counter performance must have been substantially destroyed and the frustrating occurrence must have been beyond the contemplation of the parties at the time the agreement was made.

Restitution is not required where the performance was due in separate parts or was otherwise divisible and what was received by each party resulted from due performance of a part for which counter performance was duly carried out.

neutral Stuart Hoskins : I think this is the wrong sequence. "Counter-performance” is usually provided after the “performance”.

Unless we agree otherwise, the law requires performance and counter-performance to take place simultaneously. In other words, at the same time as I hand over the widget to you, you must pay me the price, and vice versa. http://www.roodtinc.com/newslette

Client's attendance
