Under a complicated set of rules and mathematical calculations set out in the Plan, as required by the Code, the Plan may become a Top-Heavy Plan. Simply stated, a Top-Heavy Plan is one where more than 60% of the contributions or benefits have been allocated to “Key Employees,” which are generally owners, officers, shareholders, or highly compensated individuals. The Committee is responsible each year for determining whether the Plan is Top-Heavy.
