Indemnification

SELLER agrees to defend, indemnify and hold harmless BUYER, its Affiliated Entities, and all their respective directors, officers, employees, agents, customers and distributors from and against any and all claims, actions, demands, legal proceedings, liabilities, damages, losses, judgments, authorized settlements, costs and expenses, including without limitation reasonable attorney’s fees, arising out of or in connection with the Products, BUYER’s use of any Products, and/or Technical Information for any alleged or actual:
(a)claim that a Product provided under this Agreement has caused bodily injury (including death) or has damaged real or tangible personal property; provided that such bodily injury or real or damaged tangible personal property caused in combination with other devices or equipment not purchased hereunder ***** is excluded to the extent not caused by a Product ****;
