English to Polish Law/Patents Law: Contract(s)

Right of First Negotiation.
Provided that:
(a) this Agreement is in full
force and effect; (b) LICENSEE is fulfilling all of its obligations under the Agreement;
and (c) no condition exists which, with the passage of time would constitute an event of
default under this Agreement by LICENSEE, then with regard to xxx and any new products that xxx develops and
publishes after the Effective Date in the United States and which xxx decides to offer
for international publication by third-party licensees (collectively, “xxx Extension
Magazines”), xxx shall not during the Initial Term offer any third party a license to
publish a Local Language edition of any xxx Extension Magazines in the Principal
Market without first making an offer for such distribution to LICENSEE.
