Novation as a loan / Legal and tax aspects

At present, the Russian company has an outstanding debt to the Polish company for the goods delivered.
The Polish company is contemplating granting a loan to the Russian company. This loan would be deducted by an amount equal to the indebtedness of invoices issued by the Polish company.
In fact, the contemplated transaction is an operation of a novation nature.

...a Russian company is obliged to open a ***deal passport*** (formal document issued by the bank) under supply and loan agreements signed with a Polish company, provided that any settlements and remittances are to be effected within the framework of these agreements.
