4.1.2 in the event that the Farm-in Agreement is terminated because the Conditions Precedent are not satisfied by the ***Backstop Date*** as a direct result of an act or omission of xxx in which case any and all amounts paid by yyy to xxx or an xxx Affiliate by virtue of the Farm-in Agreement and/or this Agreement. including but not limited to the Carry shall be repaid by xxx within forty (40) days of such termination of the Farm-in Agreement. The repayment of any and all amounts paid by yyy by virtue of the Farm-in Agreement and/or this Agreement, including but not limited to the Carry in the circumstances detailed in this Clause shall be the sole and exclusive remedy and neither xxx (nor xxx under the Farm-in Agreement) shall have any further liability in respect thereof.
