I believe the clue comes from the buying and selling of securities. The person or people are prohibited from buying or selling securities of companies that are publicly held or traded that are targets for takeover or purchase, based on confidential information received through their interaction with the company. I believe this would come under the sphere of insider trading.

companies which are candidates for acquisition, with quoted shares

I believe the phrase refers to companies which may be targets for acquisition by the company in question, and which have traded shares. Obviously, the person signing this contract would have confidential information, and could buy up shares expecting them to appreciate in value. Insider trading is illegal in most countries, and certainly in all multinational companies.
